Forex license in Armenia: CBA licence for professional clients only.

A forex license in Armenia is a Central Bank of Armenia (CBA) licence for an investment company, and since 18 January 2019 it covers professional clients only: forex and CFD services to retail clients are banned. Dealing in forex on own account needs AMD 1 billion of capital; the CBA decides within one month of the application. We prepare the file from our Yerevan office.

Armenia in brief

Forex license in Armenia: professional clients only since January 2019.

Armenia licenses forex and CFD brokerage as investment services under the Law on the Securities Market (No. HO-195-N of 2007, in force since 29 February 2008) and the CBA's Board regulations. No separate forex licence exists. CBA Regulation 4/07 defines a forex transaction as an OTC derivative whose price depends on an exchange rate and which is concluded with leverage; CFDs on other underlyings fall under its wider term, transactions with leverage. Point 76 has banned services tied to either for non-professional clients since 18 January 2019. Decision 212-N, which inserted the ban, names its aim: restricting non-professional investors' access to this market. Banks, investment firms, insurers, funds and companies passing two of three size tests are professional per se. Anyone else needs two of three: 10 or more trades a quarter averaging AMD 1 million over the last four quarters, a portfolio above AMD 100 million, two years of relevant work in the financial market.

Regulation 4/02 sets capital by model and raises it once leverage is involved. A firm that receives and executes orders without holding client money needs AMD 60 million of total capital, one that holds client money AMD 150 million, and an own-account dealer AMD 1 billion, against AMD 300 million for ordinary own-account dealing. Each professional client then posts at least AMD 5,000,000 of margin if resident and AMD 2,500,000 if not, trades at up to 1:300 or 1:400 respectively, and cannot lose more than that margin. The clock is short. Under Art. 37(3) of the Securities Market Law the CBA registers the company and grants the licence, or refuses, within one month of the application; the annual state duty is AMD 500,000. CBA Board Decision 23-N of 30 January 2026, in force since 12 August 2026, left the ban, the caps and the margin floors as they were and added a chapter on sanctions-circumvention risk.

A CBA licence for an investment company under the Law on the Securities Market. Since 18 January 2019 forex and CFD services reach professional clients only, with leverage caps of 1:300 and 1:400.

Capital runs from AMD 60 million to AMD 1 billion by model, each client posts AMD 5,000,000 or AMD 2,500,000 of margin, and the CBA decides within one month. Profit tax is 18%.

The two builds

AMD 1 billion to deal on own account, AMD 60-150 million to pass orders on.

The CBA issues one licence per investment service, and Regulation 4/02 sets a higher capital tier for each once it covers forex or other transactions with leverage. Both builds serve professional clients only. What separates them is whether the firm takes the other side of its clients' trades.

AMD 1 billion to deal on own account; AMD 60-150 million to pass orders on.

01 - OWN-ACCOUNT DEALER

The dealer for professional clients

An investment company licensed to deal at its own expense and on its own behalf (Art. 25(1)(4)) can be the counterparty to its professional clients' forex and CFD trades. Regulation 4/02 sets AMD 1 billion of total capital for that, against AMD 300 million for ordinary dealing, and the N1 ratio of total capital to risk-weighted assets must stay at 12% or above.

02 - ORDER EXECUTION
AMD 60-150 million

Passing orders to a partner

A firm that receives, transmits or executes orders and books them with a partner needs AMD 60 million of total capital if it never holds client money and AMD 150 million if it does (Regulation 4/02 point 5). The partner must pass two of the three tests in point 83. Neither build may take retail clients, so a retail book for clients outside Armenia needs a licence elsewhere, in Kazakhstan's AIFC or in Cyprus; a foreign licence does not open Armenia itself (Art. 49).

Orders passed to a partner: AMD 60 million without client money, AMD 150 million with it. Retail clients abroad need a licence elsewhere.

  • ✓Partner: two of three tests, point 83
  • ✓Platform access is a licensed service
  • ✓Retail abroad: AIFC or Cyprus licence

Costs and timelines are confirmed for your case before any work begins. The CBA's licensing guide fixes the annual state duty at AMD 500,000; any one-off duty at filing is confirmed in the quote.

Why Armenia

A one-month CBA decision and rules written for professional clients.

Armenia gives a broker for professional clients leverage up to 1:400 and a short statutory clock, and asks for capital and a client base to match.

✓
Company and licence in one decision

The CBA registers an investment company itself, and the company becomes a legal person on that registration (Securities Market Law Art. 37(5)). Registration and licence come in one decision, due within one month of the application; adding a service later takes 20 days (Art. 37(3)).CBA registers and licenses within a month.

✓
Leverage up to 1:400

Professional clients trade at up to 1:300 if resident and 1:400 if not (Regulation 4/07 points 78-79). Losses stop at the margin the client posted (point 82). The contract states the maximum leverage, how it may change, how losses are compensated and how margin is transferred (point 38(8.1)).Losses capped at the margin posted.

✓
Built for non-resident professionals

A non-resident professional client needs at least AMD 2,500,000 of margin, half the AMD 5,000,000 asked of a resident (points 80-81), and gets the higher 1:400 cap. Residency is established before anything else (point 77).AMD 2,500,000 margin, 1:400 cap.

✓
Client assets kept apart

The Securities Market Law requires separate records for each client and for own and client funds (Art. 67(1)). Client cash and securities cannot be seized for the firm's debts and go back to the clients if it goes bankrupt (Art. 67(6)).Safe from the firm's creditors.

✓
Four licences granted in 2026

On 23 October 2026 the CBA's list of licensed investment companies counted 27 firms, four of them licensed in 2026: two on 1 July, one on 28 July and one on 11 August. The list does not show which of them offer forex or other leveraged products.27 investment companies listed on 23 October 2026.

✓
Warning: education counts as advice

Courses, seminars, analyses and information on forex trading and online platforms are investment advice under point 1(13)(c) of Regulation 4/07, unless an accredited higher-education institution gives them. Giving clients platform access counts as order reception or execution (point 14.6(1)), so the usual affiliate and education funnel needs a licence.Forex education counts as investment advice.

How it compares

How Armenia differs from other routes.

Armenia shuts out retail clients. Kazakhstan's AIFC lets them trade CFDs on its COB 5.7 terms, and Cyprus applies the 30:1 to 2:1 retail scale. The capital story differs too: the AFSA asks USD 500,000 of base capital to deal as principal and Cyprus €750,000 to deal on own account, while Georgia's NBG asks GEL 500,000 of a broker that trades currency or derivatives and decides within 45 working days.

Art. 36(1) of the Securities Market Law lists the documents, and Regulations 4/02 and 4/07 add the capital and the client rules. For a broker serving professional clients the file comes down to ten points.

01
Legal form - a joint-stock or limited liability company that carries on no other business unless the CBA permits a closely related one (Securities Market Law Art. 28), or a CBA-registered branch of a foreign investment company (Art. 43).
02
Scope - one licence per investment service under Art. 25(1), with an additional licence for each service added later (Art. 34); forex and other transactions with leverage raise the capital tier rather than needing a licence of their own.
03
Capital - AMD 60 million, AMD 150 million or AMD 1 billion of total capital by model (Regulation 4/02 point 5), fully paid before licensing and credited to an account at the CBA or a non-affiliated bank operating in Armenia; combined services take the strictest tier (point 8).
04
Capital adequacy - an N1 ratio of total capital to risk-weighted assets of at least 12%, met on the monthly average of daily figures (points 9 and 11); a norm that falls 10% or more below its level can cost the licence (point 20); a firm that only advises or transmits orders without client money does not calculate N1 (point 10).
05
Owners - prior CBA Board consent for a qualifying holding of 10% or more and for crossing 20%, 50% and 75%, with proof of the legitimate source of funds; persons from CBA-listed offshore territories need consent for a holding of any size (Art. 54).
06
Executive officers - board members, the executive body, the chief accountant, internal audit and the heads of subdivisions, each with a CBA professional qualification (Arts. 50 and 58, Regulation 4/05); residence rules are confirmed per case.
07
Staff and audit - at least one qualified employee for order reception or execution and one for dealing, the only two roles one person may combine (Art. 52), plus an internal audit unit or contracted auditors who report violations to the CBA within 5 working days (Art. 60).
08
Application file - a three-year business plan (Art. 40), draft rules of activities, the charter in six copies, staff and premises statements and the state duty receipt (Art. 36(1)), filed electronically, by registered mail or on paper as the CBA's licensing guide allows.
09
Client onboarding - residency established first (point 77), a signed professional-client assessment (point 14.2) reported to the CBA within one working day, and a risk notice with a signed risk-awareness statement in the form of Annex 1 before trading (point 14.6).
10
AML and sanctions - beneficial owners reported to the CBA under the AML law (Art. 61.1) and, since 12 August 2026, a sanctions-circumvention programme under Chapter 25 of Regulation 4/07: a responsible person who is a CBA-registered manager, a yearly risk assessment and screening before each transaction.
01
JSC, LLC or foreign branch.
02
One licence per service.
03
AMD 60M, 150M or 1bn paid in.
04
N1 ratio of at least 12% where it applies.
05
Owners from 10% need CBA consent.
06
Officers with CBA qualification.
07
Qualified staff, internal audit.
08
Three-year plan, rules, charter.

Professional status signed, reported.

FAQ

What founders ask about the CBA, leverage caps and professional clients.

Can a forex broker in Armenia serve retail clients?+

No. Since 18 January 2019 point 76 of CBA Regulation 4/07 has prohibited investment and non-basic services related to forex and other transactions with leverage for non-professional clients. Every client must be professional per se or pass the elective test of point 14.1.

Who counts as a professional client in Armenia?+

Banks, investment firms, insurers, funds, states and companies with two of three size markers (assets above AMD 500 million, turnover above AMD 1 billion, capital of AMD 50 million) qualify per se. Others need two of three: 10 trades a quarter averaging AMD 1 million over the last year, a portfolio above AMD 100 million, two years of relevant work.

What leverage can an Armenian broker offer?+

Up to 1:300 for a resident professional client and 1:400 for a non-resident (Regulation 4/07 points 78-79). The client first posts at least AMD 5,000,000 or AMD 2,500,000 of margin respectively, and the broker must keep the client's loss within that margin (point 82).

How long does a forex license in Armenia take?+

The CBA's decision on registration and licence is due within one month of the application under Art. 37(3) of the Securities Market Law, and an added service takes 20 days. Changed data restart the clock. With capital, qualified officers and documents prepared first, we plan for 4-6 months end to end.

What does a forex license in Armenia cost?+

Only a licence for professional clients is on offer, and its cost starts with capital: AMD 60 million, AMD 150 million or AMD 1 billion by model under Regulation 4/02. The annual state duty is AMD 500,000. Any one-off duty at filing and our fees are confirmed in the quote.

Can a foreign broker serve clients in Armenia?+

Only through an Armenian subsidiary or branch: Art. 49 of the Securities Market Law allows foreign investment services in Armenia exclusively that way. The CBA decides on registering a branch within 30 days (Art. 43(8)), on a file with the home licence and three years of audited IFRS accounts. There is no passport.

Does forex education need a licence in Armenia?+

Yes. Point 1(13)(c) of Regulation 4/07 treats education, courses, analyses and information on forex trading and on online platforms as investment advice, unless an accredited higher-education institution provides them. An education funnel aimed at clients in Armenia is licensed business.

Which liquidity providers can an Armenian broker use?+

A partner whose platform clients use, or with whom their trades are concluded, must meet two of three tests in point 83: a regulator in IOSCO Appendix A, at least 10 years of operating history, or a rating of at least Baa1/P-2 (Moody's), BBB+/A-2 (S&P) or BBB+/F2 (Fitch).

Armenia or Georgia for a regional broker?+

Georgia, if tax on retained profit weighs most: 0% until distribution, then 15%, with GEL 500,000 of minimum capital for a broker trading currency or derivatives and an NBG decision within 45 working days. Armenia asks AMD 1 billion of a dealer and serves professionals only, but writes leverage up to 1:400 into its rules.

Why Prifinance for Armenia?+

We test your client base against the professional-client rules before anything is filed, then build the investment company, the capital plan, the qualified officers and the CBA application. The work runs through our Yerevan office, and a retail book for clients outside Armenia goes to a licence elsewhere.

Retail clients?+

Banned since 18 January 2019.

Who is professional?+

Per se, or two of three tests.

Leverage?+

1:300 resident, 1:400 non-resident.

How long?+

One month at the CBA; 4-6 months planned.

Cost?+

AMD 60M-1bn capital; AMD 500,000 duty a year.

Foreign brokers?+

Subsidiary or branch only.

Education?+
