Forex license in Andorra: AFA licence for a financial investment company.
A forex license in Andorra is the Andorran Financial Authority (Autoritat Financera Andorrana, AFA) authorisation to create a financial investment company (societat financera d'inversió, SFI), our vehicle for a CFD market maker. Founders first lodge a non-interest-bearing €200,000 deposit and pay the 2026 fee of €15,117; the AFA decides within 12 months. On 24 October 2026 its register listed one SFI, from 1988. We file from Andorra la Vella.

Forex license in Andorra: open on paper, with one SFI on the register.
Andorra has no licence called forex or CFD. Law 10/2008 lists derivatives on currencies and contracts for differences among financial instruments (preliminary title, point 7), and the firms that trade them for clients or for themselves are operating entities of the financial system under Law 7/2013 of 9 May 2013, consolidated on 19 February 2020. The AFA's guide sorts the financial investment entities into four types: the societat financera d'inversió (SFI), the agència financera d'inversió (AFI), the wealth manager (SGP) and the financial adviser. Dealing on own account is one of the investment services of Art. 20 of Law 7/2013. Andorra uses the euro, yet as a non-EEA state it offers no passport, and neither the IFD capital classes nor the ESMA product measures apply there. The SFI field is close to empty. On 24 October 2026 the AFA's register of SFIs listed one firm, authorised in 1988.
Law 35/2010 on authorising new financial entities runs the procedure, and the creation authorisation names every service the firm may provide (Art. 5(3 bis)). Before filing, the promoters of an SFI lodge a non-interest-bearing €200,000 deposit with the AFA (Art. 8(1)) and pay the 2026 creation fee of €15,117; the minimum capital of Law 7/2013 is confirmed in the quote. The AFA rules on prior authorisation within six months (Art. 5(1)). The applicant then has three months to file the deed and final articles of a societat anònima, and the whole decision must come within 12 months of the application (Art. 5(3)). An SFI that does not start business within 12 months of authorisation loses it (Art. 9(1)). The tests reach past prudence: the project's contribution to the Andorran economy, any sponsorship of education, culture, research or sport, jobs for Andorrans or residents of three years or more, and a source-of-funds report from UIFAND, the financial intelligence unit.
We build an Andorran CFD broker as an SFI, a financial investment company the AFA authorises in two steps. CFDs and currency derivatives are financial instruments; there is no passport. In October 2026 the SFI register held one firm, from 1988.
Before filing: a €200,000 deposit without interest and the 2026 creation fee of €15,117. The AFA decides within 12 months, the firm then has 12 months to start, and corporate tax is 10%.
An SFI for the market maker, an AFI for the agency model.
Form 2 of Comunicat tècnic 1/2023 serves all four financial investment entity types, but a broker chooses between two of them, the SFI and the AFI. The choice fixes the deposit and the creation fee before anything else is decided.
An SFI for a market maker, or an AFI for an agency model.
The SFI as market maker
We build a CFD market maker as an SFI: an Andorran societat anònima whose creation authorisation lists dealing on own account next to reception and transmission, execution, custody and FX services. Its prior deposit is €200,000 and its creation fee €15,117 in 2026. Each service authorised and actually exercised then carries an annual AFA fee, €6,301 a year for that set of five.

The AFI for an agency model
A broker that passes client orders to a liquidity provider instead of taking the other side can look at the AFI, the second type in the AFA's guide. It needs a €60,000 deposit and a €10,079 creation fee in 2026. Which services an AFI may carry, and whether an STP book fits them, is confirmed with the AFA before filing. The procedure, the 12-month window and the economic tests are those of the SFI.
AFI: €60,000 deposit, €10,079 creation fee; scope for an STP book confirmed with the AFA.

Costs and timelines are confirmed for your case before any work begins. The 2026 fee notice also charges process fees for the prior-authorisation and registration steps (Art. 40), and those go into the quote.
Low tax and the euro, but no passport out of Andorra.
The euro, prudential rules built on the EU's CRD and CRR and a 10% corporate tax come with an Andorran licence. A passport does not, and the SFI register holds a single firm.
Andorra uses the euro under its Monetary Agreement with the EU and takes over EU banking and financial law on an agreed calendar. Law 17/2024 of 28 November 2024 brought CRD V and CRR2 into Law 35/2018, which sets the solvency and liquidity rules for SFIs and AFIs on the CRD and CRR model; the IFR and IFD do not apply.Prudential law on the CRD and CRR model.
Andorran corporate tax has a general rate of 10%, lower than Spain's 25% and Liechtenstein's 12.5%. Malta gets to an effective 5% only through a six-sevenths refund to shareholders when profits are distributed.Liechtenstein 12.5%; Malta 5% only after a refund.
The AFA publishes its fees in Comunicat tècnic 1/2026-AFA of 28 January 2026, which raised the amounts of Law 10/2013 by the 2025 consumer price index of 2.7% (Decret 9/2026). A broker can price its annual supervision before the file goes in.2026 notice, raised by CPI of 2.7%.
The AFA does not ask whether Andorra needs another investment firm (Law 35/2010, Art. 20(2)). It looks at the project's soundness, the shareholders, the people in charge, the technical means and internal control, and where the money comes from.Art. 20(2) of Law 35/2010.
The €200,000 SFI deposit is parked cash, not a fee. It earns no interest while the file runs, and the AFA returns it within 20 working days of confirming that business has really started, or of a refusal.Within 20 working days of the start.

How Andorra differs from other routes.
Spain and Malta license a CFD market maker under MiFID II at €750,000 of initial capital and passport it across the EEA; Liechtenstein asks the same €750,000 plus a CHF 35,000 fee. Andorra takes a €200,000 deposit and a €15,117 fee before filing, and its licence carries no passport, so access abroad follows each target country's rules.

Taxation of forex brokers in Andorra.
An Andorran SFI pays corporate tax at the general rate of 10%; the tax on dividends it pays to a foreign parent is confirmed per structure.

Founders' questions on the AFA, the SFI and the deposit.
Does Andorra license forex and CFD brokers?+
Yes, through the AFA, though not under a forex label. Andorran law counts currency derivatives and CFDs among financial instruments, and the AFA authorises the creation of a financial investment entity whose authorisation names its services, dealing on own account among them. The SFI register held one firm on 24 October 2026, authorised in 1988.
What is an SFI in Andorra?+
A societat financera d'inversió, one of the four financial investment entity types in the AFA's guide, next to the AFI, the SGP and the financial adviser. It is an Andorran societat anònima, and its €200,000 prior deposit is the highest of the four. We build a CFD market maker as an SFI.
How long does a forex license in Andorra take?+
Up to 12 months for the AFA's decision under Art. 5(3) of Law 35/2010, with prior authorisation due within six months of filing or of the file's completion (Art. 5(1)). The authorised SFI then has 12 months to start business or loses the authorisation (Art. 9(1)). We plan for 12-15 months from filing to the start of business.
What does a forex license in Andorra cost?+
In Andorra an SFI's promoters lodge a €200,000 deposit with the AFA before filing, interest-free and returned once business starts, and pay the €15,117 creation fee for 2026. AFA supervision fees then run per service, €6,301 a year for a five-service market maker. The minimum capital of Law 7/2013, the process fees and our fees are confirmed in the quote.
Can a foreign group own an Andorran SFI?+
Yes. Law 35/2010 lists Andorran or foreign participation in the capital and the board among the points the AFA assesses (Art. 20(1)(a)). Foreign direct investment needs the Government's prior authorisation, and where a third-country financial firm will control the SFI, the AFA first obtains its home supervisor's non-objection (Art. 17(8)).
Does an Andorran SFI have to hire locally?+
Local hiring is one of the AFA's criteria. Art. 20(1)(c) of Law 35/2010 looks at the number and qualification of the jobs created and at how many go to Andorrans or to foreigners resident for at least three years. Residence rules for directors and a minimum headcount are confirmed with the AFA per case.
Which retail CFD rules apply in Andorra?+
Andorran law names no leverage cap, close-out level or negative balance rule for CFDs, and the ESMA measures end at the EEA border. Conduct rules are in Law 7/2024 on the organisation and functioning of financial entities and market abuse; the terms of a retail CFD offer are confirmed with the AFA before launch.
Can an Andorran SFI serve clients in the EU?+
Only as far as each country's own rules allow. Andorra is outside the EU and the EEA, so an SFI has no MiFID passport. Spain, next door, has banned CFD advertising to its retail investors on every medium since 3 August 2023, and that ban binds every firm marketing there.
Andorra or Spain for a CFD broker?+
Spain, for a broker that needs EU clients: a sociedad de valores at €750,000 passports into the other 29 EEA states, the CNMV decides within six months and its €10,000 fee falls due only on grant, though CFD advertising to Spanish retail investors is banned. Andorra offers 10% tax against Spain's 25%, with no passport.

The hiring plan the AFA reads against Art. 20(1)(c) goes into the same file.

A societat anònima for investment services.
