Forex license for sale: you buy the company, the regulator approves you.

A forex licence is never sold on its own. It belongs to the company that holds it, so a licence for sale is a sale of shares, and in most countries the regulator has to approve the buyer before the deal closes. Prifinance has its own licensed forex companies for sale in Mauritius, Vanuatu and Cyprus. Below: the approval and notice rules in 8 jurisdictions, how to check an offer and when a new licence is the better buy.

What you buy

A licence is not for sale. A company is.

You buy the shares of the company that holds the licence. The licence stays where it is, with the staff, systems and client contracts, and so does everything the company did before you arrived.

✓What comes with the sharesThe licence and its conditions, the capital on the balance sheet, the people and the contracts, plus open complaints, disputes and any liabilities.✓What the regulator looks atYour reputation, the people who will run the firm, your financial soundness and the source of the money, and whether the firm will still meet the prudential rules after the deal.
An objection in the EU has teeth: shares bought against it can lose their votes (MiFID II art. 11(4)).

Due diligence

How to check a forex company for sale

Four checks catch most bad deals. We run them before you pay any deposit, and nothing that commits money should be signed until they are done.

01
The licence itself

Find the company in the regulator's public register and compare its permissions with your model: dealing on own account, client money, retail clients. A company from St Vincent or Saint Lucia holds only a registration, and an Anjouan or Mwali certificate is no licence either.

02
Capital and accounts

Audited accounts, the current capital position and any letters from the regulator about capital or reporting.

03
Supervisory history

Inspections, warnings, fines, open complaints and how each one was closed. In Vanuatu a licence can be revoked if services have stopped for 6 months.

04
People and contracts

Who stays after the sale, and whether the platform, liquidity, payment and bank contracts survive a change of owner.

Important: Pay nothing up front that you cannot get back. Write the regulator's approval into the share purchase agreement as a condition and hold the price in escrow until it comes.
Change-of-control file

What a regulator asks from the buyer of a forex company

For EU investment firms, Delegated Regulation (EU) 2017/1946 lists what a buyer files and the joint guidelines JC/GL/2016/01 explain how regulators assess it; offshore regulators run similar fit and proper checks.

01
Who you are Identity documents and a CV for individuals; registration documents, directors and beneficial owners for companies.
02
Your reputation Criminal and administrative records, your history with regulators and any refused licences.
03
Your financial soundness Accounts or personal financial statements showing you can pay for the deal and support the firm afterwards.
04
Source of funds Where the purchase money comes from and whether it is really available (Delegated Regulation 2017/1946, art. 9), checked for money-laundering risk.
05
A plan for the firm For a stake of 50% or more, a business plan: strategy, forecast financial statements and the effect on the firm's governance (art. 12 of the same regulation).
06
The people who will run it New directors and key officers, each approved in their own right: Labuan approves directors and the principal officer before they start.
07
Prudential fit after the deal Whether the firm will keep meeting capital and other prudential rules inside your group (MiFID II art. 13(1)(d)).
08
Forms and fees Cyprus and the UK have their own notification forms; an approval costs US$500 at the normal speed in both Seychelles and Labuan.
Note: We prepare the file with you and answer the regulator's questions until it decides.

Step by step

How buying a licensed forex company works

STEP 01
Brief

Country, permissions and budget, or the offer you already hold. We tell you in writing whether buying beats a new licence.

STEP 02
Due diligence

Register entry, licence scope, accounts, capital, supervisory history, contracts, people.

STEP 03
Share purchase agreement

The regulator's approval as a condition of the deal, the price in escrow until it comes.

STEP 04
Change-of-control file

Forms, CVs, financial statements, source of funds and the business plan, filed by the buyer or by the licensee, as the law requires.

STEP 05
Regulator review

Questions answered until it decides: 60 working days plus a pause for questions in the EU and the UK, service standards of 6 weeks in Seychelles and 3 weeks in the BVI, no published deadline in Mauritius or Labuan.

STEP 06
Closing

Shares transferred, new directors registered, banks and partners told; in Vanuatu, notice within 14 days after the change.

Why Prifinance

A law firm, not a licence reseller.

The forex market is full of intermediaries selling flags by the unit. Including flags that are not licences at all. We are a legal and advisory firm: we tell you what a route actually buys, build the file the supervisor reads, and stay on it after the licence is issued.

01
In-house licensing team

60+ specialists work on applications directly. Lawyers, compliance and finance people, not an outsourcing chain of resellers.

02
The written review first

Before you pay anyone, you get a written view of what the licence does, where its limits run, and whether it is a licence at all. We have written that opinion about offers already sitting on a client's desk.

03
Fixed, itemised fees

The quote you approve is the price you pay. Government, regulator, audit and capital costs are stated separately and upfront.

04
Regulator-ready documentation

Business plans, capital models, client-money and conduct architecture and AML/CFT packs drafted to the standards CySEC, the FCA, ASIC and the FSA actually check.

05
Support after issuance

Fee and reporting calendars, renewals, representative filings, audits, and the migration path when a project outgrows the licence it started on.

FAQ

Forex license for sale: the questions buyers ask.

Can I buy a forex license?+

Not on its own. A licence belongs to the company the regulator granted it to, so you buy that company's shares and the regulator approves you as the new owner. Vanuatu's law says it outright: a licence may not be assigned or transferred. What you can buy is a licensed company, after due diligence and with approval written into the deal.

Does Prifinance sell its own licensed forex companies?+

Yes, in Mauritius, Vanuatu and Cyprus. The route to ownership differs: in Cyprus you notify CySEC before buying and it has 60 working days to assess you, in Mauritius the FSC approves the transfer of the shares, and in Vanuatu the company tells the VFSC within 14 days after the change. Ask which companies are available now, and we will send the licence, the price and the approval steps for each one.

How much does a licensed forex company cost?+

There is no list price. Sellers price the licence class, the country, the capital already in the company, the client book and the partner contracts, and the company's history can move the price either way. Compare any offer with a new application, where the costs are the official fees, the capital you keep in the company and the work on the file.

Is buying a licensed company faster than applying?+

Sometimes. In the EU and the UK the regulator has 60 working days to assess a buyer once the notification is complete, plus one pause of up to 20 working days (30 for buyers from outside) while it waits for answers, against 6 months for a new EU application. Due diligence, the seller's documents and the regulator's questions add weeks to both. Offshore, no law sets a deadline for approving a buyer: Seychelles and the BVI publish service standards of 6 and 3 weeks, Mauritius and Labuan nothing.

What does the regulator check about the buyer?+

In the EU: your reputation, the reputation and experience of whoever will run the firm, your financial soundness, whether the firm will keep meeting prudential rules, and any suspicion of money laundering (MiFID II art. 13). It may object only on those grounds or if your file is incomplete. Offshore regulators apply their own fit and proper tests to new owners and directors.

Do I need approval to buy a small stake?+

It depends on the country. In the EU and the UK prior approval starts at 10% of the capital or votes. Mauritius lets a stake under 5% through on notice unless control changes, while Seychelles and Belize need approval for any issue or transfer of shares. In Vanuatu an owner is anyone with 25% or more, and changes are notified within 14 days after they happen.

What happens if the regulator refuses?+

The deal should not close. Write approval into the share purchase agreement as a condition and keep the price in escrow, so the money comes back if approval does not. In the EU, shares bought despite the regulator's opposition can have their votes suspended or annulled (MiFID II art. 11(4)); in the UK, completing before approval is a criminal offence.

What should I check before paying a deposit?+

The register entry and the permissions, the audited accounts and the capital, letters from the regulator, complaints and disputes, the people who will stay and the contracts that survive a change of owner. A company that has stopped trading is a warning sign: Vanuatu can revoke a licence once services have stopped for 6 months.

Are ready-made forex companies in St Vincent or Saint Lucia licensed?+

No. Neither country licenses forex brokerage, so a company formed there carries a registration, not a permission to deal. Certificates sold from Anjouan or Mwali are no better: the Comoros central bank has called the bodies issuing them fictitious structures and referred them to prosecutors.

Can I move the license to my own company?+

No. The licence stays with the company it was granted to. Vanuatu forbids assigning or transferring a licence outright, and elsewhere the route is the same: buy the licensed company's shares, or apply for a new licence for your own company.

Should I buy a licensed company or apply for a new license?+

Buy when a clean company with the permissions you need is on offer at a fair price and its partners stay after the sale. Apply when no clean target exists, when you need different permissions, or when the seller's history would follow you. We set out both routes for your case in writing before you decide.
