Forex license in Rwanda: CMA leveraged FX broker licence.

A forex license in Rwanda is one of three Capital Market Authority (CMA) licences under the leveraged FX Regulations of February 2024, which cover CFDs too; a dealing broker needs FRW 500 million of paid-up capital. Rwanda's CMA must decide within 30 days of a complete file, but its notice of 12 November 2024 says it has licensed no one yet. We prepare the file from Kigali.

Rwanda in brief

Forex license in Rwanda: three CMA licences under one 2024 rulebook.

Rwanda wrote rules for online forex before it had a single licensee. Regulations Nº 001/CMA/2024 of 26 February 2024, made under Law nº 057/2021 bis establishing the CMA and published in the Official Gazette on 27 February 2024, govern OTC, internet-based trading on rising or falling FX prices, CFDs included (Art. 2(n)). Art. 4 creates three licences. A dealing broker trades as principal and market maker and may take the opposite position to a client's order; a non-dealing broker earns a commission or a spread mark-up for connecting clients with the FX market; a money manager trades clients' accounts for a fee based on trading profit. Nobody holds any of them yet. The CMA's public notice of 12 November 2024 says it "has not yet licensed any person or entity" for this business and calls unlicensed dealing, forex trainings included, unlawful. On 24 October 2026 its list of licensees still had no leveraged FX category.

Only a Rwandan company limited by shares may apply (Art. 6(a)), and its capital stays in the country: unimpaired paid-up capital of FRW 500 million as a dealing broker, FRW 300 million as a non-dealing one or FRW 100 million as a money manager, held in banks licensed in Rwanda. A broker also keeps liquid capital of FRW 300 million or 30% of total liabilities, whichever is higher, at all times, and an independent auditor certifies both (Art. 6(f)-(h)). The chief executive and every key person, including the compliance and money laundering officers, need five years in leveraged FX and derivatives; the head of trading needs three. A foreign broker's subsidiary adds its home regulator's non-objection letter (Art. 5(3)(c)). Art. 26 governs the leverage ratio and Annex 2 the fees, both confirmed with the CMA before quoting. The CMA then has 30 days from a complete file to decide (Art. 8(1)).

Rwanda's 2024 Regulations create three CMA licences for leveraged FX and CFDs: dealing broker, non-dealing broker, money manager. The CMA's notice of 12 November 2024 says no one is licensed yet.

A Rwandan company holds FRW 500 million (dealing) or FRW 300 million (non-dealing) in Rwandan banks. Rwanda's CMA must decide within 30 days of a complete file. No franc pairs, no binary options.

The two broker licences

Take the other side of client orders, or pass them on: the CMA's two broker licences.

Art. 15(2) reserves principal trading and market making to the dealing broker. Otherwise the two broker licences do the same work: opening client accounts, taking deposits and withdrawals, giving platform access and sending end-of-day reports (Art. 15(1)).

Take the other side for FRW 500 million, or pass orders on for FRW 300 million.

01 - DEALING LEVERAGED FX BROKER

The market maker on FRW 500 million

A Rwandan dealing broker trades leveraged FX as principal and market maker and may take the opposite position to a client's order (Art. 2(h)). It holds FRW 500 million of paid-up capital and liquid capital of FRW 300 million or 30% of total liabilities, whichever is higher, both in banks licensed in Rwanda. A head of trading runs the desk. The post needs three years in leveraged FX trading and a financial markets certification, preferably from the Association Cambiste Internationale - Financial Markets Association (ACI FMA) (Art. 6(d)).

02 - NON-DEALING LEVERAGED FX BROKER
FRW 300 million

The agency broker, and the money manager that needs one

The non-dealing broker never makes a market: it passes client orders to the FX market and is paid by commission or a mark-up in spreads (Art. 2(u)). Its paid-up capital is FRW 300 million; its liquid capital floor is the dealer's. A money manager is the third licence, with FRW 100 million paid up and no client money in its hands, and it can file only once it has an agreement with a broker the CMA has licensed (Arts. 5(4), 15(3)).

Passes orders on and never trades as principal; FRW 300 million paid up. Money managers need FRW 100 million and a licensed broker.

  • ✓Commission or spread mark-up - Art. 2(u)
  • ✓FRW 300 million paid-up
  • ✓Liquid capital: the dealer's floor applies
  • ✓Platform agreement and trading rules
  • ✓Money manager: FRW 100 million
  • ✓Manager files with a CMA-licensed broker

Costs and timelines are confirmed for your case before any work begins. The Regulations charge an application fee, a licence fee on grant and an annual supervision fee, all set in Annex 2 (Arts. 5(2), 8(2), 10); we confirm the amounts with the CMA before quoting, together with the professional indemnity insurance of Art. 31.

Why Rwanda

A 30-day clock written into the rules, and a CMA that invited applications in March 2024.

Rwanda's rules are written and its clock is short; the price is capital kept in Rwandan banks.

✓
A 30-day decision

The CMA approves or rejects within 30 days of receiving a complete file (Art. 8(1)). It may not refuse without a hearing, it gives reasons in writing within 15 working days, and the applicant then has 14 days to appeal to the Capital Market Independent Review Panel (Art. 8(3)-(5)).From a complete file; refusal needs a hearing.

✓
Demand the CMA has named

When it announced the Regulations on 5 March 2024, the CMA said many Rwandans, especially the youth, had traded online with local and foreign players without knowing whether they were licensed. It called on interested firms to apply for a licence.Rwandans traded online, unsure who was licensed.

✓
CFDs inside the FX rules

FX is in scope by default, and the CFD definition reaches commodities, shares, indices and exchange traded funds (Arts. 2(f), 3). Any CFD category beyond FX goes to the CMA for review and approval before roll-out (Art. 15(4)).FX by default; other CFDs need approval.

✓
Client funds at Rwandan banks

Client money is held in a client segregated account at a bank licensed to operate in Rwanda (Arts. 2(e), 16(b)). A money manager trades the account through a licensed broker and never receives the client's money (Art. 15(3)).Segregated at a bank licensed in Rwanda.

✓
28% corporate tax

The Rwanda Revenue Authority (RRA) taxes business profit at 28% for income from 2024, down from 30% for income up to 2023. Registered investors can reach preferential rates of 0%, 3% or 15%, and whether a broker qualifies is confirmed per structure. From 2024; incentive rates per structure.

✓
Warning: FRW 500 million tied up in Rwanda

A dealing broker keeps FRW 500 million of paid-up capital in Rwandan banks before it trades and meets a liquid capital test of at least FRW 300 million there at all times. An independent auditor certifies both, and the paid-up capital may not be impaired (Art. 6(f)-(h)).FRW 500 million kept in Rwandan banks.

How it compares

How Rwanda differs from other routes.

Kenya runs the regime closest to Rwanda's, with KES 50 million of paid-up capital for a dealing broker and a 400:1 leverage ceiling written into its regulations. South Africa splits the work into two FSCA files, FSP and ODP, and Mauritius licenses an FSC Investment Dealer on MUR 1 million. Rwanda asks FRW 500 million of a dealer, and its CMA must decide within 30 days of a complete file, a clock Kenya's Capital Markets Act does not set.

How it works

Capital and people first; the CMA's 30 days come last.

01
Licence first

We fix the licence before anything else, because it fixes the capital: FRW 500 million to make markets, FRW 300 million to pass orders on, FRW 100 million to manage accounts through a licensed broker. The licence fixes the capital.

02
Incorporation and capital

The company is incorporated and registered with the RDB. Paid-up and liquid capital go into banks licensed in Rwanda, and an independent auditor certifies that both are there.RDB registration, capital in Rwandan banks.

03
People and platform

The file needs the chief executive and key personnel with five years in leveraged FX, the head of trading, the platform agreement and, for a foreign group, the home regulator's non-objection letter.Key personnel, platform agreement, home letter.

04
Filing and review

The file goes in with the Annex 1 form and the Annex 2 application fee. The CMA may ask about earlier dealings and call key personnel in; once the file is complete it has 30 days to decide (Arts. 7, 8(1)).Annex 1 form; 30 days once complete.

05
Grant and launch

On approval the CMA writes to the applicant and the Annex 2 licence fee falls due (Art. 8(2)). A refusal comes only after a hearing, and the applicant may appeal to the Capital Market Independent Review Panel within 14 days.Licence fee due; appeal within 14 days if refused.

Taxation of forex brokers in Rwanda.

Rwanda taxes a licensed broker's 2026 profits at 28% and withholds 15% on the dividends it pays out, unless they go to another resident company.

28% from 2024

The RRA taxes business profit at 28% for income from 2024. Profits up to 2023 bore 30%. Taxable profit is rounded down to the nearest 1,000 Rwandan francs, and the RRA's October 2023 guide ties the 28% rate to Law Nº 027/2022 as amended by Law nº 051/2023.30% applied to income up to 2023.

15% on dividends

Dividends bear 15% withholding unless they pass between resident companies. A foreign parent receives them net of 15% unless a treaty lowers the rate, which we confirm per structure.Except between resident companies.

Incentive rates, if they apply

Registered investors under the Investment Promotion and Facilitation Law of 2021 can reach preferential rates of 0%, 3% or 15%; an international company with its headquarters or regional office in Rwanda is one example the RRA gives for 0%. Whether a leveraged FX broker qualifies is confirmed per structure.0%, 3% or 15%, if the broker qualifies.

Listing rates

A company newly listed on the Rwandan capital market pays 20% for five years if it sells at least 40% of its shares to the public, or 25% if it sells at least 30%.20% or 25% for five years.

Who pays corporate tax

The tax reaches companies established under Rwandan law, foreign companies registered in Rwanda and non-residents with a permanent establishment there. A CMA broker is the first kind, since Art. 6(a) admits only Rwandan companies.Rwandan companies and registered foreign ones.

Board fees and salaries

Allowances paid to board members are taxed by withholding at 30%. Employment income is taxed at progressive rates of 0%, 10%, 20% and 30%.30% withheld; salaries 0-30%.

FAQ

The CMA licenses only Rwandan companies for leveraged FX.

Has the CMA licensed any forex broker in Rwanda?+

Not so far. The CMA's public notice of 12 November 2024 says it has not yet licensed any person or entity for leveraged FX trading, forex trainings included, and its list of licensees had no leveraged FX category on 24 October 2026. The first licensee sets the precedent on timing and on how the CMA applies its rules.

Which CMA licence fits an FX or CFD broker in Rwanda?+

One of three CMA licences under Regulations Nº 001/CMA/2024, chosen by role: the dealing broker makes markets, the non-dealing broker passes orders on, and the money manager runs client accounts for a fee based on trading profit. Art. 4 bars anyone from carrying on these businesses without the relevant licence.

How long does a forex license in Rwanda take?+

Thirty days once the file is complete: Rwanda's CMA must approve or reject within that period (Art. 8(1)), and it may call key personnel in before it decides. The time to a complete file turns on the capital certification, the platform agreement and any home regulator's letter, so we set the timetable per case.

What does a forex license in Rwanda cost?+

A Rwandan dealing broker needs FRW 500 million paid up and a non-dealing one FRW 300 million, and each meets a liquid capital test of FRW 300 million or 30% of liabilities, whichever is higher, all in Rwandan banks. Annex 2 sets the application, licence and annual supervision fees; we confirm them, with our own fees, in the quote.

Does a foreign broker need a Rwandan subsidiary?+

Yes. Art. 6(a) admits only a company incorporated in Rwanda and limited by shares, and a subsidiary of a foreign leveraged FX broker files a non-objection letter from its home regulator (Art. 5(3)(c)). The licensing chapter provides no branch route and no recognition of a licence from abroad.

What leverage may a Rwandan FX broker offer clients?+

Whatever Art. 26 of the Regulations allows: it governs the leverage ratio, and we confirm the current figure with the CMA before a business plan relies on it. The Regulations define leverage as a loan to investors, as a ratio to a small deposit called margin (Art. 2(l)), and also define negative balance protection and margin stop-out (Art. 2(q), (s)).

Which products may a Rwandan broker not offer?+

Currency pairs involving the Rwanda franc, and binary options, which Art. 15(5) bans outright. CFDs on commodities, shares, indices or exchange traded funds are possible, but each category beyond FX needs the CMA's review and approval before roll-out (Art. 15(4)).

Can a money manager be licensed before any broker?+

Not in practice. A money manager must file an agreement with a leveraged FX broker licensed by the CMA (Art. 5(4)), so its file follows a broker's licence. It also needs FRW 100 million of paid-up capital, and it may never receive clients' money (Arts. 6(f), 15(3)).

Rwanda or Kenya for an East African FX broker?+

Kenya, if you want a regulator with a track record: its CMA register showed 16 licensed brokers on 23 October 2026, 2 of them dealing, and a dealer needs KES 50 million and may offer up to 400:1. Rwanda suits a group that wants Rwandan clients, has FRW 500 million to commit and values a 30-day decision.

Why Prifinance for Rwanda?+

Our Kigali office confirms the Art. 26 leverage ratio and the Annex 2 fees with the CMA before you commit any capital. It also assembles what the CMA reviews: the Rwandan company, the auditor's capital certificate, the key people with five years in leveraged FX and the platform agreement.

Anyone licensed?+

Not yet, per the CMA's 2024 notice.

Which licence?+

Dealing, non-dealing or money manager.

How long?+

30 days from a complete file.

Cost?+

FRW 300M-500M capital; fees in the quote.

Subsidiary needed?+

Yes; a Rwandan company, no branch.

Leverage?+

Art. 26 figure confirmed with the CMA.

Banned products?+

Franc pairs and binary options.

Money manager first?+

No; it needs a licensed broker.

Or Kenya?+

Kenya has a track record; Rwanda a 30-day clock.

Why you?+

Kigali office; the whole file built.
