Forex license in Canada: OSC registration and CIRO membership.

A forex license in Canada is three approvals for an Ontario dealer: Ontario Securities Commission (OSC) registration as an investment dealer, membership of the Canadian Investment Regulatory Organization (CIRO), and an OSC exemption for the CFD and FX contracts, valid four years at most. CIRO admits only Canadian-formed firms, sets CAD 250,000 of minimum capital and a CAD 30,000 entrance fee, and estimates about nine months. We file from Toronto.

Canada in brief

Forex license in Canada: a securities dealer with a four-year exemption for its CFDs.

Canada has no forex or CFD licence. Securities law is provincial, and in Ontario a firm that offers CFDs or OTC FX contracts to retail clients needs three things: registration with the OSC in the category of investment dealer, CIRO membership, and an exemption from the prospectus requirement in s. 53 of the Securities Act, R.S.O. 1990, c. S.5, which the OSC grants under s. 74(1). The terms come from OSC Staff Notice 91-702 of 30 October 2009. The OSC's decision of 19 June 2025 for Plus500CA Ltd. restates them: every CFD with a resident is executed through the filer, trades follow CIRO's rules and its Acceptable Practices for CFDs, and the relief expires after four years, or earlier if a CFD rule comes into force. The dealer category matters for margin. Under s. 13.12 of NI 31-103, only an investment dealer may lend money, extend credit or provide margin to a client.

CIRO is the gate in practice. It admits only firms formed under Canadian federal, provincial or territorial law, so a foreign group sets up a Canadian entity instead of a branch, and it refuses to review applications that are incomplete or materially deficient. Its own estimate for a membership review is about nine months. Complex or novel business models can take much longer. The capital line is CAD 250,000 of minimum capital under Form 1 (February 2024 version), deducted when risk adjusted capital is computed, and risk adjusted capital must stay positive at all times; the entrance fee is CAD 30,000. The product shelf is narrow. Underlyings must qualify for reduced margin, CFDs on a single US sector or on mini-indices may not be margined, and crypto CFDs need CIRO's prior written consent. And the relief does not reach all of Canada: the 2025 decision covered every province and territory except Alberta and Québec.

Canada has no forex licence. A CFD dealer based in Ontario registers with the OSC as an investment dealer, joins CIRO and needs an OSC exemption for its contracts, valid four years at most.

CIRO takes only Canadian-formed firms, asks CAD 250,000 of minimum capital and CAD 30,000 to enter, and estimates about nine months. The 2025 relief left out Alberta and Québec.

The dealer and the exemption

A CIRO dealer that takes the other side, and an OSC exemption for its contracts.

OSC registration makes the firm an investment dealer, and an investment dealer must be a CIRO member. The exemption is what lets it offer CFDs and OTC FX contracts without a prospectus, so the two applications run side by side, and the second carries an end date.

01 - CIRO INVESTMENT DEALER

The investment dealer as counterparty

In the OSC's 2025 decision the dealer is the counterparty to its clients' CFD trades. It works execution-only, with no advice and no discretionary accounts, and hedges back-to-back with an affiliate that must be an acceptable counterparty or a regulated entity under CIRO Form 1. Its minimum capital is CAD 250,000, and it pays CIRO CAD 30,000 to enter.

02 - OSC PRODUCT EXEMPTION
Four years at most

The exemption and what it leaves out

The OSC exempts the contracts from the prospectus requirement case by case, on the terms of Staff Notice 91-702. The relief expires after four years at most, earlier if a CFD rule comes into force, and the dealer then applies again. It does not open every product: underlyings must qualify for reduced margin, crypto CFDs need CIRO's written consent, and the 2025 relief left Alberta and Québec out.

Costs and timelines are confirmed for your case before any work begins. The OSC's registration and participation fees under OSC Rule 13-502 and CIRO's annual fees go into the quote, and CIRO may bill its own costs where a review needs excessive attention, time and resources (By-law No. 1, para. 3.5(4)).

Why Canada

A lower capital floor and written margin rules, with a four-year sunset.

Canada asks a smaller minimum-capital figure than the UK or Cyprus and prints its FX margin method, but it sends a CFD dealer back to the OSC within four years.

✓
Minimum capital of CAD 250,000

Form 1 sets the minimum capital of an investment dealer at CAD 250,000, against £750,000 in the UK and €750,000 in Cyprus for dealing on own account. Risk adjusted capital, which carries extra capital for margin and other risks, must stay positive at all times, so the working figure sits above the floor.Minimum capital; risk adjusted capital stays positive.

✓
One SRO for the country

CIRO is the national self-regulatory organisation, and investment dealers must become CIRO Dealer Members to carry on business in Canada. Its Membership Intake team runs a readiness questionnaire and an introductory meeting before an application is filed.CIRO membership to do business in Canada.

✓
Relief that travels

Under the passport system of MI 11-102 an OSC decision extends to the provinces that accept it. In 2025 the OSC acted as principal regulator for a Toronto-based filer, and its relief reached every province and territory except Alberta and Québec.OSC decision passported, except Alberta and Québec.

✓
FX margin by currency group

CIRO sorts currencies into four groups, each with a base spot risk margin rate (IDPC s. 5461). It raises a currency's rate when volatility crosses the s. 5462(2) threshold of four offside days in 60 trading days, and cuts it back only after at least 30 trading days; the latest list took effect on 13 August 2025.Four currency groups, rates move with volatility.

✓
26.5% in Ontario

On the CRA's rate table, modified on 21 October 2026, a broker taxed at the general rates pays 15% federal and 11.5% Ontario tax. That is 26.5% in all.15% federal plus 11.5% Ontario.

✓
Warning: the relief has an end date

The OSC exemption lasts four years at most, less if a CFD rule comes into force, and the dealer then files again. We put the renewal file into the business plan from the first year. The OSC relief lasts four years at most.

How it compares

How Canada differs from other routes.

A market maker holds £750,000 of own funds in the UK and €750,000 of initial capital in Cyprus, and an Australian CFD issuer keeps net tangible assets of at least A$1 million. CIRO's minimum capital is CAD 250,000, and risk adjusted capital must stay positive once it is deducted. Canada adds a step at product level: the contracts themselves need an OSC exemption, granted for four years at most.

Forex license requirements in Canada: what CIRO checks.Canada forex license requirements.

CIRO reviews the dealer for membership, while the OSC registers it and rules on the product relief, so the file has to satisfy both. The list follows the order in which the pieces are built.

01
Canadian entity - a firm formed under Canadian federal, provincial or territorial law; a foreign broker creates a Canadian entity that applies for CIRO membership itself, since CIRO does not admit a branch.
02
Registration - OSC registration as a dealer in the category of investment dealer, and registration in each other province or territory where the business requires it.
03
CIRO membership - the readiness questionnaire, an introductory meeting with Membership Intake and a complete application built against CIRO's documentation checklist; incomplete files are not accepted for review.
04
Capital - CAD 250,000 of minimum capital under Form 1, deducted from net allowable assets when risk adjusted capital is computed, with risk adjusted capital positive at all times and monthly financial reports to CIRO from the month the application is accepted.
05
Entrance fee - CAD 30,000, non-refundable, paid when CIRO accepts the application for review; CIRO may also charge its own costs where a review needs excessive attention, time and resources (By-law No. 1, para. 3.5(4)).
06
Product exemption - relief from the prospectus requirement of s. 53 of the Securities Act (Ontario), granted under s. 74(1) on the terms of OSC Staff Notice 91-702 through a separate application under NP 11-203, for four years at most.
07
Dealing model - every CFD with a resident executed through the dealer, a condition of the OSC's 2025 decision; the dealer in that decision was the counterparty, worked execution-only and hedged with an affiliate that had to be an acceptable counterparty or regulated entity under Form 1.
08
Product shelf - underlyings eligible for reduced margin, such as equities on an acceptable exchange; no convertible CFDs, no margin on single-US-sector or mini-index CFDs, and crypto only with CIRO's prior written consent.
09
People - KYC and suitability staff registered with CIRO as Investment Representatives in the Futures Contracts and Futures Contract Options category, a fully qualified Supervisor (Futures) and NRD filings under NI 33-109; residence of the UDP, CCO and CFO confirmed per case.
10
Clients and AML - a CIRO-approved risk disclosure document acknowledged separately before the first trade, an appropriateness assessment, cumulative loss limits for each account, trade reporting under OSC Rule 91-507 and AML duties under the PCMLTFA with reports to FINTRAC.

FAQ

Founders' questions on CIRO, the OSC and CFDs.

Does Canada have a forex licence?+

Not as such. A firm offering CFDs or OTC FX contracts to retail clients in Ontario registers with the OSC as an investment dealer, becomes a CIRO member and obtains an OSC exemption from the prospectus requirement for the contracts, granted case by case on the terms of Staff Notice 91-702.

Why does a CFD dealer need CIRO membership?+

Because the OSC's relief depends on it: the 2025 decision requires the dealer to stay an investment dealer and a CIRO member, and CIRO says investment dealers must become Dealer Members to carry on business in Canada. Margin points the same way, since NI 31-103 s. 13.12 lets only an investment dealer provide it.

Can a foreign broker serve Canadian clients through a branch?+

No. CIRO accepts only firms formed under Canadian federal, provincial or territorial law, so a foreign broker creates a Canadian entity and that entity applies. In the OSC's 2025 decision the dealer was a federally incorporated, wholly owned subsidiary of a foreign group, based in Toronto.

How long does a forex license in Canada take?+

CIRO puts its own review at about nine months, says complex or novel models can take much longer, and does not accept incomplete applications for review. The OSC exemption is a parallel application. With the readiness questionnaire and the entity work first, we plan for 12-18 months to admission.

What does a forex license in Canada cost?+

CIRO charges a non-refundable CAD 30,000 entrance fee when it accepts the application for review, and the dealer holds CAD 250,000 of minimum capital with risk adjusted capital kept positive. OSC registration and participation fees under OSC Rule 13-502, CIRO's annual fees and our own fees are confirmed in the quote.

Which CFDs can a Canadian dealer offer?+

Those whose underlyings qualify for reduced margin under CIRO's rules, such as equities listed on an acceptable exchange. CFDs on a single US sector or on mini-indices may not be margined, convertible CFDs are excluded, and CFDs linked to bitcoin or other crypto assets need CIRO's prior written consent.

How does CIRO limit client losses?+

Through loss limits and margin. CIRO requires a cumulative loss limit for each client's account, and in the 2025 decision the dealer's platform issues margin calls and liquidates positions automatically to help reduce the risk of a negative account balance. Clients acknowledge a CIRO-approved risk disclosure document before their first trade.

Does an OSC exemption cover all of Canada?+

Not automatically. Through the passport system of MI 11-102 an OSC decision extends to provinces that accept it, and the 2025 relief reached all but two: Alberta, whose staff have public interest concerns about retail CFD trading, and Québec, which regulates CFDs under its own Derivatives Act.

Canada or the UK for a CFD broker?+

The UK, for a broad CFD shelf and an FCA stamp that banks and liquidity providers know: one FCA authorisation covers CFDs and rolling spot forex, with £750,000 of own funds for dealing on own account. Canada is the route to Ontario retail clients, with a lower minimum of CAD 250,000, narrower underlyings and relief capped at four years.

Why Prifinance for Canada?+

We form the Canadian corporation, take the file through CIRO's readiness questionnaire and Membership Intake, and draft the OSC exemption application alongside the membership file. CIRO itself encourages applicants to work with a compliance consultant or counsel; for Canadian files that work runs through our Toronto office.

A forex licence?+

None as such; three approvals.

Why CIRO?+

Investment dealers must be CIRO members.

A branch?+

No; a Canadian entity applies.

How long?+

About nine months at CIRO; 12-18 planned.

Cost?+

CAD 30,000 fee; CAD 250,000 capital.

Which CFDs?+

Reduced-margin underlyings; crypto needs consent.

Client losses?+

Loss limits, margin calls, auto-liquidation.

All of Canada?+

Not Alberta or Québec in 2025.

Or the UK?+

UK for a wider CFD shelf.

Why you?+

Toronto office, CIRO and OSC files together.
