Three licences, one capital figure, and no clock.

Israel licenses the advice-and-management side under the Regulation of Investment Advice, Investment Marketing and Investment Portfolio Management Law 5755-1995. Section 2 draws three licences: the investment adviser, who advises independently; the investment marketer, whose advice is tied to product providers; and the portfolio manager, who runs discretionary mandates - and an individual may manage portfolios only as an employee of a licensed company. Companies qualify under section 8: no underwriting, equity at the regulated figure, professional-liability insurance, regulated work done only by licensees, no convicted officers. Individuals qualify under section 7 - adult, Israeli resident, no conviction, examinations passed, an internship of six months for an adviser or marketer and nine for a portfolio manager (regulation 19(b) of the 1997 Regulations). Execution sits outside this law: exchange transactions need TASE membership, underwriting the ISA register (Securities Law section 56), fund management an approval under section 13 of the Joint Investment Trust Law 5754-1994.

The capital floor is a single figure: regulation 2 of the Equity Capital and Insurance Regulations 5760-2000 sets NIS 200,000 for every licensed corporation, indexed each 1 January to the CPI against the November 1998 base - the current indexed sum is confirmed with the ISA before filing. Fees are printed to the shekel in the ISA's notice of 21 January 2025: NIS 721 for a company's application, NIS 4,984 a year for an adviser or marketer company, NIS 4,984 to NIS 598,243 for a portfolio manager by AUM. Two candid points. No section of the Law or the Regulations sets a decision period; section 6 guarantees notice and a hearing before a refusal, nothing more. And no investor-compensation scheme appears on the ISA's pages. Corporate tax is 23%, VAT 18% since 1 January 2025, dividends to a foreign company bear 23%. We build the file from Tel Aviv.

What licence does an investment firm need in Israel?+

One of three under section 2 of the Investment Advice Law 5755-1995 from the ISA: investment adviser, investment marketer or portfolio manager. Execution needs Tel Aviv Stock Exchange membership, underwriting the ISA register under section 56 of the Securities Law, and fund management the ISA's approval under section 13 of the Joint Investment Trust Law.

What capital is required?+

NIS 200,000 of equity at all times for a licensed corporation under regulation 2 of the Equity Capital and Insurance Regulations 5760-2000, indexed to the CPI each 1 January against the November 1998 base. The current indexed figure, the fund-manager minimum and the TASE member minimum are confirmed with the regulator and the exchange before the quote.

Can an individual manage portfolios?+

Only as an employee of a licensed company - section 2 is explicit. An individual may hold an adviser or marketer licence in his own name after the examinations and a six-month internship; the portfolio-manager internship is nine months (regulation 19(b)).

How long does the ISA take?+

No section of the Law or the 1997 Regulations sets a decision period, and the ISA publishes no processing statistics. Section 6 guarantees notice and a hearing before a refusal. The file we control - examinations, internships, insurance, section 8 conditions - is complete at submission.

What does licensing cost?+

Per the ISA notice of 21 January 2025: NIS 362 to apply as an individual, NIS 543 as a partnership, NIS 721 as a company, NIS 543 per examination; annual fees of NIS 759 or NIS 1,518 for individuals, NIS 4,984 for a company, and NIS 4,984 to NIS 598,243 for a portfolio manager by assets under management.

Can a foreign firm serve Israeli clients without a licence?+

Only inside the exemptions: services to a qualified client listed in the First Schedule (section 3(a)(11)) and advice or management for no more than five clients a year (section 3(a)(3)). There is no passport; the foreign-ownership position of a licensed company is confirmed per structure.

Is there an investor-compensation scheme?+

The ISA's pages carry none. Client portfolios are held at banks or exchange members in the client's own name, and a licensed company carries professional-liability insurance with a year of run-off under regulations 3-4 - that is the protection the Regulations print.

How are Israeli investment firms taxed?+

Corporate tax 23% since January 2020; dividends withheld at 25%, 30% to a substantial shareholder, 23% to a foreign company, subject to treaty; VAT 18% since 1 January 2025, with financial institutions paying profit tax and salary tax in its place.

Israel or Cyprus for a new firm?+

Cyprus buys the 30-state EU passport at 12.5% tax and IFD capital of €75,000 to €750,000, on a practised 8-14 month rhythm; Israel is a domestic licence at NIS 200,000 with no clock and no passport, for firms whose clients are in Israel.
