Indonesia licenses capital-market intermediaries under Law 8/1995 on the Capital Market, in force since 1 January 1996, amended by Law 4/2023 (P2SK) and again by Law 4/2026 of 17 June 2026. Article 30(1) reserves the business of a perusahaan efek to a perseroan holding an OJK business licence; article 30(2) names the three activities - penjamin emisi efek, the underwriter; perantara pedagang efek, the broker-dealer; manajer investasi, the investment manager - and article 34(1) gives the penasihat investasi its own licence. Two regulations of April 2026 rebuilt the tiers. POJK 3/2026, in force from 1 April, grades underwriters and broker-dealers into PEKU 1 for marketing securities without client accounts, PEKU 2 for a limited scope and PEKU 3 for the full scope with clearing membership, at paid-up capital of Rp1 billion, Rp55 billion and Rp110 billion (article 20). POJK 5/2026 grades investment managers into MIKU 1 at Rp25 billion and MIKU 2 at Rp50 billion (article 12).

The clock is in the regulation. Article 45(4) of POJK 3/2026 and article 35(4) of POJK 5/2026 oblige the OJK to grant the licence within 30 working days of a complete application, with 30 working days to cure a deficient file (article 45(2)) and six months to start (article 51(1)). Foreign ownership is capped at 99% for a foreign securities firm and 85% for any other foreign financial institution (POJK 3/2026 article 54(2); POJK 5/2026 article 44). Every director must be domiciled in Indonesia. Government Regulation 41/2024 prints the fees: Rp50 million for a broker-dealer or adviser licence, Rp100 million for an investment manager, then an annual levy of 0.975% or 3% of revenue, at least Rp10 million.
