New York LLCs are formed under the Limited Liability Company Law by filing Articles of Organization with the Department of State's Division of Corporations. Online filing goes through the E-Corp system, which emails an acknowledgment with a PDF receipt. The fee is $200; a corporation's Certificate of Incorporation has a $125 filing fee. The Articles name the county where the LLC's office will be and designate the Secretary of State as its agent for service of process, with an address where the Secretary mails on any process. The Department of State's recurring filing is a $9 Biennial Statement every two years, in the calendar month the Articles were filed. If your clients or staff are in New York, forming here is the plain choice: an LLC from another state that registers here pays $250 and has to publish too.
The awkward part is print. Within 120 days after the Articles take effect, the LLC must publish a notice once a week for six weeks in two newspapers of its county, one daily and one weekly, both designated by the county clerk. Each publisher gives an affidavit, and the Certificate of Publication goes to the Department of State with a $50 fee. Skip it and the LLC's authority to carry on business is suspended until the proof is filed. Then tax. A corporation pays franchise tax of 6.5% of its business income base, or 7.25% if the base exceeds $5 million, on top of 21% federal tax. Unless it elects to be taxed as a corporation, an LLC with New York source income files Form IT-204-LL and pays $25 to $4,500 a year, depending on that income. A single-member LLC with a non-US owner also files Form 5472 with a pro forma 1120 every year, and missing it costs $25,000.

Can I form a New York company from abroad?+
Yes. The Department of State takes filings online through E-Corp, by email or by mail; it no longer accepts faxes, and the formation itself needs no trip. The EIN comes from the IRS without an SSN: a responsible party who has no SSN or ITIN and cannot get one writes "foreign" on line 7b of Form SS-4. The form then goes by phone, fax or mail, because the online application needs one of those numbers.
How much does it cost?+
Formation starts from $2,400 all-in, including the New York filing fee ($200), the registered agent for the first year, the EIN and the operating agreement. With a fintech or bank account set up, from $4,400. Newspaper publication and the $50 Certificate of Publication are not in the price; we itemise them once the county is known. After that, the state charges $9 every two years for the Biennial Statement, and an LLC with New York source income pays the IT-204-LL fee, from $25 a year, unless it is taxed as a corporation.
What is the newspaper rule, and what if we miss it?+
Within 120 days after its Articles take effect, a new LLC must publish a notice once a week for six weeks in two newspapers of the county where its office is: one daily, one weekly, both designated by the county clerk. The notice gives the LLC's name, filing date and county, the Secretary of State's designation as agent and other details. Each publisher gives an affidavit, and the Certificate of Publication goes to the Department of State with a $50 fee. Miss the deadline and the LLC's authority to carry on business is suspended. Filing the proof late lifts the suspension, and the suspension alone does not void the LLC's contracts or make members or managers personally liable. The Department points to an exemption in Section 23.03 of the Arts and Cultural Affairs Law; we check whether it applies to you.
LLC or C-Corp?+
For a founder billing clients, usually the LLC. It costs $200 to file, a single-member LLC is disregarded for federal income tax, and the company's regular filings include the Biennial Statement, Form 5472 and, with New York source income, the IT-204-LL fee. A C-Corp has a $125 filing fee for its Certificate of Incorporation and pays 21% federal tax plus New York franchise tax of 6.5%, but investors buy shares in corporations, so fundraising plans usually decide it. An S corporation is not an option for a non-resident alien owner: the IRS does not allow such shareholders.

How long does formation take?+
We confirm the standard processing time for Articles of Organization when we file. Expedited handling is official and priced per document: $25 within 24 hours, $75 the same business day if the request reaches the Division by noon, $150 within two hours if it arrives by 2:30 p.m. The expedite fee is not refunded if the filing is rejected. The EIN is generally issued within 4 business days by fax, or in about 4 weeks by mail. Then the newspapers run for six weeks, and the proof must be filed within 120 days.
Can the company open a US bank account?+
Yes, subject to each bank's own checks. The banking pack weighs fintech platforms against traditional banks for your documents and prepares the applications; ACH, wires and Stripe are set up as part of it. A traditional bank is the route when the company has a US footprint, such as staff or premises. Applications go in once the EIN is issued and the operating agreement is signed.
Would a Delaware LLC registered in New York avoid publication?+
No. New York law calls an LLC formed in another state a foreign LLC, whoever owns it. To register here it files an Application for Authority for $250, must publish in two newspapers for six weeks within 120 days of that filing and file the $50 Certificate of Publication. It also owes the $9 Biennial Statement, on top of its home state's own fees. If the business will work in New York, forming here is simpler. If it will not, Delaware or Wyoming may suit better, and we will say so on the first call.
Does a New York LLC file a BOI or ownership report?+
No. According to the Department of State, New York's LLC Transparency Act, in effect since 1 January 2026, covers only LLCs formed under the law of a foreign country and authorised to do business in New York. LLCs formed in New York or in another US state are exempt, whoever owns them. An LLC formed outside the United States that registers here does file, within 30 days of its application for authority, at $25 per filing. Federally, FinCEN's final rule, effective 14 August 2026, exempts US companies from BOI reporting.
What does a non-US owner file every year?+
For a single-member LLC, the IRS wants Form 5472 with a pro forma Form 1120 by the 15th day of the fourth month after the tax year (15 April for a calendar year), or by the extended date. It goes by fax or mail, because a foreign-owned disregarded entity cannot e-file it, and not filing costs $25,000. With New York source income, Form IT-204-LL and its $25 fee are due by the 15th day of the third month, with no extension. Every second year, in the month the Articles were filed, the $9 Biennial Statement goes to the Department of State. Whether you also owe a personal US return depends on the LLC's income; we check that with you.
