Set up a Scottish Limited Partnership remotely - the UK structure with a trick English law never learned: separate legal personality. A Victorian statute the fund industry still loves.
The Scottish Limited Partnership dates to the 1907 Act, but Scots law gave it something its English twin never had: separate legal personality. An SLP holds property, signs contracts and sues in its own name while remaining fiscally transparent - profits are taxed at partner level, so non-resident partners with foreign income owe the UK nothing. That combination made the SLP the backbone of British private equity: most UK PE and venture funds still run through Scottish partnerships today.
The modern rules deserve equal billing. After a period of misuse a decade ago, the UK put SLPs under the transparency lamp: controllers are disclosed on the public PSC register at Companies House, confirmation statements are filed annually, and identity verification now applies under the latest company-law reforms. For founders who want the UK flag, transparency-proof structure and partnership taxation - funds, joint ventures, family investment vehicles - the SLP remains a superb instrument. For privacy-first cases we will point you to Ireland or Canada instead.

Talk to a specialist →Scottish LP: the working questions.
Can I open an SLP without visiting Scotland?+
Yes. Everything is filed electronically at Companies House; original documents follow by courier after registration.
How much does it cost?+
Turnkey registration starts from £1,900 including state fees, the partnership agreement and the first year of the Edinburgh office. With an account arranged, packages start from £3,500.
What does separate legal personality actually give me?+
The SLP itself owns assets, signs contracts, holds bank accounts and sues in its own name - unlike an English LP, which acts through its partners. For holding structures and funds that difference is the whole point.
How is an SLP taxed at 0%?+
A partnership is fiscally transparent - it pays no tax itself. Profits belong to the partners, and when the partners are non-resident and the income arises outside the UK, there is nothing for HMRC to tax. Partners declare income where they live; we map that before you commit.
Will my name be public?+
Yes. Controllers of an SLP appear on the public PSC register at Companies House, with identity verification under current reforms. If public disclosure is a dealbreaker, we will recommend an Irish or Canadian LP instead, and mean it.
Why do funds use SLPs?+
Separate personality plus transparency plus limited-partner protection made the SLP the standard wrapper of UK private equity - the fund holds assets in its own name while investors stay limited partners. Decades of case practice mean every UK counsel knows the form.
Does the SLP file accounts?+
Standard SLPs file an annual confirmation statement and PSC updates - but no financial statements. Bookkeeping is kept privately for the partners and banks. Qualifying partnerships within corporate groups have separate rules we flag where relevant.
Why do I need two partners?+
The 1907 Act requires a general partner, who manages and carries liability, and a limited partner, whose liability is capped. One person cannot hold both roles, so we typically add a corporate partner - yours or one we provide.
How is banking for an SLP?+
Good - the UK flag helps: EMIs onboard SLPs routinely with multi-currency accounts, and high-street banks follow where there is UK substance. The public PSC register actually smooths compliance checks.
SLP or UK LLP?+
Both are transparent with 0% for non-residents. The LLP has members instead of partners and must publish annual accounts; the SLP files none but discloses controllers. Funds and holding structures lean SLP; operating businesses wanting a corporate feel lean LLP.
