The market that mints unicorns.
Sweden mints more billion-dollar startups per capita than anywhere outside Silicon Valley: Spotify, Klarna, King and the network of talent, capital and second-time founders around them, on top of an industrial base (Volvo, Ericsson, ABB, the NATO-era defence boom) that anchors the largest Nordic market. Corporate tax is a moderate 20.6%. Two famous abolitions still surprise people: no inheritance tax since 2005, no wealth tax since 2007 - the founder-friendly footnotes behind the high-tax reputation. An AB registers at Bolagsverket on SEK 25,000 within a couple of weeks.
Employer social contributions run 31.42% on top of gross - the real cost line, unlike Denmark next door. The 3:12 rules for closely-held companies decide whether your dividends tax at 20% within the annual allowance or climb toward salary rates above it; working those rules is the planning craft of Swedish ownership. The board needs an EEA-resident majority (solved on day one), the krona floats, and banks such as SEB, Swedbank and Handelsbanken run post-scandal-thorough KYC. Come for the market, the talent and the ecosystem; we make the rules work in your favour.
More unicorns per capita than anywhere in Europe: Spotify, Klarna and a network of repeat founders, on an industrial base from Ericsson to the defence boom. 20.6% corporate; inheritance tax gone since 2005, wealth tax since 2007.

Talk to a specialist →Ten questions about the Swedish AB.
Can I open a Swedish company without visiting?+
Yes. With an apostilled power of attorney the founding, capital confirmation and Bolagsverket registration run remotely; F-tax and VAT follow. Banks decide their own meetings, and a clean file often onboards by video. We pick the right first door for your profile.
How much does it cost?+
Turnkey registration starts from €2,400 including Bolagsverket fees and the first year of the registered address. With a bank account arranged, packages start from €4,200. The SEK 25,000 capital stays the company's money. Renewals with accounting run from €1,800 a year.
What taxes will the company pay?+
20.6% on profits, VAT at 25% on domestic supplies, and employer contributions of 31.42% on payroll - the big line. Dividends to you follow the 3:12 rules: 20% within your annual allowance, more above it. We model the whole chain, salary included, before you commit.
What are the 3:12 rules?+
Sweden's framework for closely-held companies. Each year you earn a dividend allowance (a base amount, or a salary-based amount that grows with payroll), taxed at just 20%; dividends beyond it climb toward ~52% salary rates. The craft is setting the owner's salary to maximise the allowance - a yearly calculation our accountants run as standard, because done right it changes everything.
Is it true there's no inheritance or wealth tax?+
True and famous: inheritance tax abolished in 2005, wealth tax in 2007, by governments that watched capital leave and reversed course. A Swedish founder's company passes to heirs untaxed and its value carries no annual levy. It is the great counterweight to the payroll costs, and few outside Sweden know it.
What is the expert tax relief?+
Qualifying foreign specialists, researchers and executives recruited to Sweden pay tax on only 75% of salary for up to seven years, with a salary-threshold route that skips the qualification debate. For senior hires it materially trims Sweden's headline personal rates. The application has a deadline after arrival; we file it with the hire.
What is the EEA board requirement?+
Half the board and the managing director must reside in the EEA. Non-EEA founders solve it with an EEA-resident board member (ours available) or a Bolagsverket exemption in qualifying cases. Settled on day one, it never delays the registration.
How is banking?+
Nordic-thorough. SEB, Swedbank and Handelsbanken run deep post-scandal KYC on foreign-owned companies (ownership chain, substance, flows) and reward clean files with excellent SEK/EUR banking. Fintechs cover the operating layer faster. We prepare the file to their standard and pick the first door.
Sweden or Denmark / Estonia?+
Denmark wins on registry speed, minimal employer costs and holding rules. Estonia wins for reinvesting startups on deferral. Sweden wins when the market itself, the talent pool or the unicorn network is the point - and its abolished wealth-and-inheritance taxes beat both for founders planning decades ahead.
How long does it take?+
Plan one to two weeks: days for documents and the board solution, capital confirmation, then Bolagsverket (three to ten days) and Skatteverket registrations. Banking adds one to two weeks. The 3:12 and expert-relief planning start at incorporation, because both reward early design.
