Antigua es un paraíso fiscal en el sentido clásico del término, ya que permite a un representante (de cualquier país del mundo) registrar una sociedad. La legislación del país (incluida la Ley de Sociedades Comerciales Internacionales que regula las inversiones externas) se perfecciona constantemente.

El registro de empresas en Antigua y Barbuda resulta favorable por los siguientes motivos:

Proceso y características del registro offshore en Antigua

Permite la presencia de un director, una persona física o una entidad jurídica. También se necesita un secretario, que puede ser un no residente de la jurisdicción. La sociedad debe contar con al menos un accionista, que puede ser una persona física o jurídica. La información sobre los beneficiarios no se divulga a entidades externas ni al público general.

Para obtener el certificado de registro, el representante debe dirigirse a la oficina especial y aportar:

  • Una versión verificada del nombre de la empresa.
  • Los formularios de inscripción y la solicitud, completados y certificados.
  • Los documentos constitutivos apostillados de la sociedad: estatutos, contrato, acta de la junta de accionistas, decisión sobre la aprobación de la dirección de la sede social, notificación del registro de la dirección de la sede social, etc.
  • Una confirmación del pago de las tasas y de los derechos de inscripción.

Las sociedades deben elaborar informes sobre los directores y accionistas, certificando ante notario y apostillando toda la documentación presentada en el registro. Se permite un servicio nominal, para lo cual es necesario suscribir un acuerdo sobre los servicios pertinentes y emitir un poder notarial. Tras el registro, la empresa recibe un certificado, crea el libro principal de la sociedad y encarga el sello. En los estatutos se especifican todos los tipos de actividades que se van a ejercer. Una vez registrada, la sociedad debe abrir una cuenta bancaria, lo cual se puede hacer a distancia.
