Wisconsin forms LLCs under chapter 183 of its statutes, the Uniform Limited Liability Company Law, and corporations under chapter 180. Both are filed with the Department of Financial Institutions. Articles of Organization cost $130 online and $170 on paper, and DFI says that in most cases an online filing is accepted on receipt, with notice sent immediately. Paper can be rushed: $100 buys processing by the close of the next business day, and the counter offers four-hour service for $250 or one-hour service for $500. The LLC's annual report costs $25 a year online. Business entities are not required to reveal ownership information to DFI, and a corporation's annual report lists officers and directors, not shareholders.

How does banking work for a Wisconsin company?+

The LLC's annual report does name at least one member, or a manager if managers run the company, so a name appears every year. A corporation's report lists officers and directors, not shareholders. Under FinCEN's final rule, effective 14 August 2026, companies formed in the US file no BOI report. The IRS still learns who controls the company, because the EIN application names a responsible party, who must be an individual.
LLC or C-Corp - which should I choose?+
For a trading or service business with one or two owners, usually the LLC: it is a pass-through by default, and Wisconsin's 7.9% applies to an LLC that is taxed as a corporation. A C-Corp fits when investors will buy shares; it pays 21% federally plus Wisconsin's 7.9%, and its Articles of Incorporation cost $100. S-corporation status is closed to non-resident alien shareholders. We settle the choice on the first call, before anything is filed.
Is Wisconsin the right state if my business is elsewhere?+
Only if something ties you to it. Wisconsin is quick to file and $25 a year to keep, but its 7.9% corporate rate sits in the upper part of the 1% to 10% range PwC gives for state corporate taxes. With premises or staff in Wisconsin, forming here is the direct route. An LLC formed in another US state that registers here - a "foreign" LLC in Wisconsin's terms - pays from $100 for the foreign registration statement and $65 a year online for its annual report, due in the first calendar quarter.
