Oklahoma is an inexpensive state to keep a US company in. The Secretary of State in Oklahoma City takes the LLC filing online for $100, and the fee table prices a professional or registered series LLC the same; a C-Corp's Certificate of Incorporation starts at $50. If the paperwork needs time, a $10 online reservation holds an LLC name. From then on an LLC files an Annual Certificate for $25 online, and we confirm its due date for your company. There has been no franchise tax return since tax year 2024; the old tax charged corporations $1.25 for each $1,000 of capital invested or used in Oklahoma. Does an Oklahoma company file a BOI report with FinCEN?+
No. FinCEN's final rule, in force since 14 August 2026, exempts US companies, and an Oklahoma LLC or corporation is a US company even when every owner lives abroad. Reporting is left to companies formed under another country's law that register to do business in a US state, and they report only their non-US owners.
I already have a company in another state. Do I need an Oklahoma one?+
Not necessarily. An LLC formed in another state can register in Oklahoma for $300 online. Oklahoma calls it a foreign LLC; the word refers to the state of formation, not to the owners. A corporation formed outside Oklahoma pays the Oklahoma Tax Commission a $100 Annual Registered Agent Fee every year, due 1 July. If Oklahoma is where the business actually runs, forming here costs $100 and leaves no second home state to keep in good standing.
