Low upkeep and a falling tax rate, after one step from another century.
A Nebraska LLC exists once the Secretary of State has filed its Certificate of Organization and the company has at least one member, unless a later effective date is set. The certificate is short: a name with an LLC ending, the street and mailing addresses of the designated office, and the registered agent's name and addresses. Members are not listed. Filing costs $100 online or $110 on paper, and a corporation's Articles of Incorporation cost the same. From then on an LLC files a Biennial Report between 1 January and 1 April of each odd-numbered year, at the Act's general filing fee of $25 online. Nebraska has no general business licence. For a C-Corp the state rate is flat and set in statute: 5.20% for 2025, 4.55% for 2026 and 3.99% from 2027, the same steps as the top personal income tax rate.
The plain part starts after filing. Section 21-193 requires a new LLC to publish a notice of organization for three successive weeks in a legal newspaper of general circulation near its designated office, then to file proof of publication with the Secretary of State, $25 online. A missed notice can be cured by publishing late and filing the proof, which keeps the company's acts valid, but the notice still has to run. The state publishes no processing time and lists no expedite option, so we quote no filing date. A Biennial Report still unfiled at the 16 June delinquency date ends in administrative dissolution. One more rule for owners abroad: an LLC taxed as a partnership with Nebraska-source income pays 5.20% (tax year 2025) of a nonresident member's share unless that member signs Form 12N and files a Nebraska return.

The trap is the newspaper notice. Once the certificate comes back filed the LLC exists, so nothing looks unfinished, yet § 21-193 still requires three weeks in a legal newspaper and a proof of publication on file. A late notice can be published and proved afterwards, which keeps the company's acts valid. Better to run it straight after filing than to repair it later.

Is there a Nebraska business licence to get?+
Not a general one: the Secretary of State says there is no general business licence in Nebraska. A regulated activity may still need its own licence. Collecting sales tax needs a permit, and registering for income tax withholding needs the EIN; both go through the Department of Revenue, online or on Form 20. Owners of depreciable business property also file an annual return with the county assessor by 1 May.
Do I have to report the owners to FinCEN?+
No. Under FinCEN's final rule, in force since 14 August 2026, companies formed in the US are exempt from BOI reporting, so a Nebraska LLC or corporation files no BOI report, even when every owner lives abroad. The rule still covers companies formed under a foreign country's law that register to do business in a US state, and they report their foreign owners, not US persons. Nebraska's Secretary of State does not collect beneficial-ownership information.
