A Missouri LLC is formed under the Missouri Limited Liability Company Act, Chapter 347 of the Revised Statutes, in force since December 1993. The Articles of Organization (form LLC-1) go to the Corporations Division of the Secretary of State in Jefferson City: $50 online, $105 on paper. The office gives no official processing time in days, but says many online filings are processed immediately after submission. The form asks for organisers, not members, and an organiser need not be a member, manager or owner. After that the LLC side is quiet. Chapter 347 has no annual-report section, the state fee schedule lists no LLC report fee, and Missouri has charged no franchise tax for tax years since 2016.
The taxes are those of an ordinary state. A C-Corp pays 4% on its Missouri taxable income on top of the 21% federal rate. Individuals pay up to 4.7% (the 2025 top rate), and cities and counties add their own rates to the 4.225% state sales tax. Corporations also report. The first registration report is due within 30 days of incorporation and lists officers and directors; each late 30-day period adds $15, and a report never filed ends in administrative dissolution. An LLC must keep a registered agent at a Missouri street address, or it can be cancelled. Federal duties do not change with the state: a single-member LLC owned by a non-US person files Form 5472 with a pro forma 1120, and missing it costs $25,000.

The name must include LLC, L.C. or another listed designator. If filing has to wait, a $25 reservation holds it for 60 days and can be renewed twice.
Form LLC-1 goes to the Secretary of State with the $50 fee. Many online filings are processed immediately, and an effective date up to 90 days later can be set.

We confirm the position for your company when we file. What the state does enforce is the registered agent - an LLC that fails to keep one can be cancelled. Corporations are different: the first registration report is due within 30 days of incorporation, then each year by the end of the incorporation month, with $15 added for every late 30-day period.
What taxes will the company pay?+
A C-Corp pays 21% federal tax, plus 4% Missouri tax on its Missouri taxable income. A single-member LLC is disregarded and a multi-member LLC is a partnership, so profit is taxed on the owners. Income effectively connected with a US business is taxed at graduated rates, and a partnership withholds 37% (21% for corporate partners) on that income when it is allocated to non-US partners. A non-resident with Missouri income files Form MO-1040 with MO-NRI or MO-CR; under $600 of Missouri income, a return may not be needed. State sales tax is 4.225% plus local rates.
What is the catch with Missouri?+
Tax. Missouri is not one of the no-income-tax states: corporate profit pays 4% and individuals up to 4.7%, with sales tax from 4.225% before local rates. PwC lists Wyoming, Nevada and Texas among the states with no personal income tax, and we form companies there too. If the state tax decides it for you, we will say so on the first call.
How long does formation take?+
The Secretary of State gives no official processing time in days, but says many online filings are processed immediately after submission. The EIN usually follows within 4 business days by fax, or about 4 weeks by mail. If you also need an ITIN, allow 7 weeks, or 9-11 weeks when you apply from overseas or in tax season. Banking starts once the EIN is in hand.
Can the company open a US bank account?+
That is what the second package is for. The traditional-bank route works where you have a US footprint. Approval is the provider's decision, so we do not promise an account before it is opened.
What do I file with federal agencies each year?+
It depends on the classification. A single-member LLC with a non-US owner files Form 5472 with a pro forma Form 1120 by the 15th day of the fourth month after year-end, by fax or mail only, and the penalty for missing it is $25,000. A multi-member LLC files Form 1065, and a C-Corp files Form 1120. Beneficial ownership reports to FinCEN are off the list: under the final rule in force since 14 August 2026, US companies no longer file them.
My LLC was formed in another state. Do I need to register in Missouri?+
If it will transact business in Missouri, yes, and before it starts. Missouri law calls an LLC from another US state a foreign LLC - the word refers to where the company was formed, not to the owner's nationality. The application needs a certificate of existence and a good standing certificate from the home state, dated within 60 calendar days of filing, and a Missouri registered agent; the paper fee is $105. We handle this as a state qualification, from $700.
