Cheap to form, cheaper to keep, but not a no-tax state.
Mississippi's legislature sets business filing fees in statute, and it set them low: $50 for an LLC's Certificate of Formation, $50 for a corporation's Articles of Incorporation, $25 to reserve a name. Every business filing can be submitted and paid online, and the Secretary of State's FAQ says the emails confirming acceptance should arrive the same day the document goes in. Keeping the company costs even less. A Mississippi LLC files its annual report between 1 January and 15 April for $0; a profit corporation pays $25. An LLC formed in another state that operates here pays $250 to register and $250 for each Mississippi annual report, so a business that will really run in the state is usually better formed in it.
The tax side is ordinary. Corporate income is taxed at 0% on the first $5,000, 4% on the next $5,000 and 5% above $10,000, and corporations add a franchise tax on capital employed in Mississippi: $0.50 per $1,000 above $100,000 for tax years beginning in 2026, $0.25 in 2027, never less than $25. Individuals pay 4% on taxable income over $10,000 in 2026. An LLC keeps its federal classification here, so one taxed as a corporation owes both taxes. The $0 report is still a filing. It goes in online by 15 April, and missing it can end in administrative dissolution. Above all this sits the IRS, where a foreign-owned single-member LLC files Form 5472 with a pro forma 1120 and a missed filing costs $25,000.

What taxes will the company pay?+
A C-Corp pays 21% federal tax plus Mississippi's 0% on the first $5,000 of taxable income, 4% on the next $5,000 and 5% above that, and a franchise tax of $0.50 per $1,000 of capital employed in the state above $100,000 for tax years beginning in 2026, with a $25 minimum. An LLC follows its federal classification. A single-member LLC owned by a non-US person is disregarded for federal income tax, so the question is whether it earns income effectively connected with a US trade or business; we look at that in the free consultation. In a multi-member LLC, foreign members face federal withholding on their share of that income - 37% for individuals, 21% for corporate members - and Mississippi taxes individual partners on their share of its Mississippi income. Retail sales in the state carry 7% sales tax.
Should I choose an LLC or a C-Corp?+
An LLC if profit should be taxed at owner level and you have no plan to sell shares; in Mississippi it also files a $0 annual report. A C-Corp if investors will buy shares or profits will stay in the company: it pays 21% federal tax plus up to 5% in Mississippi, franchise tax and a $25 annual report, and its bylaws are required by statute though not filed with the state. Dividends to non-resident shareholders carry 30% withholding unless a treaty lowers it. One route is closed to foreign owners: an S corporation cannot have non-resident alien shareholders.
How do I get a US bank account?+
The account comes after the Certificate of Formation, the EIN and the operating agreement. Fintech platforms of the Mercury or Relay class accept remote applications. A traditional bank makes sense where the business has a US footprint - staff, premises or American customers. Can I be my own registered agent?+
Only with a physical address in Mississippi. Under the Registered Agents Act any individual, corporation or LLC may act as agent, but the address must be in the state, so a founder abroad uses an agent. A non-commercial agent must give permission before being named on any form; a commercial agent on the Secretary of State's list accepts any company that selects it, though it may file a statement of non-acceptance within 14 days. The first year is included in our package.
Does a Mississippi LLC file a BOI report with FinCEN?+
No. FinCEN's final rule, issued on 11 August 2026 and effective 14 August 2026, made the exemption for US companies permanent, so an LLC or corporation formed in Mississippi files no beneficial ownership report, even when every owner lives abroad. The duty remains only for companies formed under foreign law that register to do business in a US state, and they report their foreign owners only.
What is the biggest risk for a foreign owner?+
Form 5472. A single-member LLC wholly owned by a non-US person is treated as a corporation for this purpose and files a pro forma Form 1120 with Form 5472 attached, reporting its dealings with you, including the money you put in to form it and anything you take out. It cannot be filed electronically; it goes by fax or mail. The penalty for not filing is $25,000, plus $25,000 for each 30 days the failure continues more than 90 days after an IRS notice. Why Mississippi and not Delaware or Wyoming?+
Because of where the business will run. An LLC formed in another state that operates in Mississippi registers here for $250, with a certificate of good standing from its home state dated within six months, and then pays $250 for each Mississippi annual report on top of its home-state fees. The Secretary of State's guidance expects that registration once any of your employees will be in the state for 30 days in a year, and an employee here also creates nexus for state tax.
