Massachusetts LLCs are formed under Chapter 156C of the General Laws. The company exists once its Certificate of Organization is filed with the Corporations Division of the Secretary of the Commonwealth, and one member is enough. The certificate names the resident agent, any managers and, if there are none, at least one person authorised to sign filings - not the members. Filing works online, by fax, by mail or at the counter at 1 Ashburton Place in Boston. We recommend the state to founders who will hire or lease space here. An LLC formed in another state that starts doing business in Massachusetts must register within ten days, pay the same $500 and file the same $500 annual report, on top of whatever its home state charges.
It is not a cheap state to keep a company in. The certificate costs $500, and the annual report is another $500 every year, due on or before the anniversary of the original filing; online filings are paid by credit card only. The resident agent has to be a Massachusetts resident or a corporation authorised here, and the LLC must keep an office in the state for its records, though not necessarily where it trades. Can I form a Massachusetts company from abroad?+
Yes. The Corporations Division accepts filings online, paid by credit card, and also by fax and mail, so nobody has to travel to Boston. The IRS issues EINs to applicants outside the US by phone, fax or mail. The resident agent must be in Massachusetts, which is why the first year of agent service is part of our package.

Why does Massachusetts cost more than other states?+
The state sets its LLC fees high: $500 for the certificate and $500 for every annual report, where Connecticut charges $120 and $80 and Maine $175 and $85. If nothing ties your business to Massachusetts, a cheaper state is usually the better choice, and we will say so on the first call. If you will work here, though, an LLC formed in another state has to register in Massachusetts within ten days of starting business, for $500, and then files the same $500 report every year.

Can the company open a US bank account?+
Yes, subject to the bank's own checks. The banking pack weighs a fintech platform against a traditional bank for your file, prepares the applications and sets up ACH, wires and Stripe. A traditional bank is the route when the company has a footprint in the US, such as staff or premises. We apply once the EIN has been issued.
Do I need an SSN or ITIN?+
Not to form the company or get its EIN. On Form SS-4, a responsible party who has neither and is not eligible for one writes "foreign" or N/A on line 7b. The online EIN form needs one of the two numbers, so we file by fax or mail instead. An ITIN is a separate personal number for federal tax purposes; the IRS allows 7 weeks to process it, or 9-11 weeks from abroad or in tax season, and our ITIN support is an add-on from $900.
Will my name be public, and is there a BOI report?+
The certificate and the annual reports list managers and people authorised to sign, not members, so a member who neither manages nor signs is not named. There is no BOI report for a Massachusetts company: FinCEN's final rule, effective 14 August 2026, exempts US companies, and the Secretary of the Commonwealth tells filers to keep beneficial-ownership details out of state filings.
What does a non-US owner file every year?+
For a single-member LLC, two company filings. Massachusetts wants the $500 annual report by each anniversary of the filing. The IRS wants Form 5472 with a pro forma Form 1120, due by the 15th day of the fourth month after the tax year - 15 April for a calendar year - sent by fax or mail, because it cannot be e-filed. Not filing costs $25,000. Whether you also need a personal US or Massachusetts return depends on the income, and we confirm that for your case.
