Kansas is a practical home for a US company run from abroad. The Secretary of State's Business Services Division takes Articles of Organization (Form DL) online for $85, or $90 on paper, and processes an online filing within minutes; the certified copy prints from the same site straight away. The formation steps contain no newspaper notice, and Kansas has charged no franchise tax for tax year 2011 and after. From then on the company files one Information Report every two years - $90 online, due 15 April - in even years if it was formed in an even year, odd years if formed in an odd one. Series, professional and public benefit LLCs each have their own form. The federal side works as in any state: the IRS issues the EIN without an SSN, and under FinCEN's final rule, in force since 14 August 2026, a US-formed company files no beneficial ownership report.
Kansas taxes income: a C-Corp pays 3.5% on its Kansas taxable income plus a 3% surtax on the part above $50,000, on top of the 21% federal rate, and individuals reach a top rate of 5.58%. The state sales tax is 6.5%, and cities and counties may add their own. An LLC's Information Report names every member who owns 5% or more of capital, with an address, so Kansas suits owners who are comfortable being on the state's file. The report date is the real trap. Three months after 15 April a late filer forfeits, and reinstating an LLC costs a $35 fee, an $85 penalty and $110 for every missed report; losing the resident agent or registered office ends in forfeiture too. Two, honestly. Kansas taxes income, so a C-Corp's profit carries state tax on top of the federal 21%. And it does not suit owners who want to stay off state records: every LLC Information Report names the members holding 5% or more of capital, with addresses. If anonymity is the brief, we will say at the first call that Kansas is the wrong state.
Does a Kansas company file a BOI report with FinCEN?+
No. FinCEN's final rule, in force since 14 August 2026, exempts US companies, and a Kansas LLC or corporation is a US company even when every owner lives abroad. Reporting is left to companies formed under another country's law that register to do business in a US state, and they report only their non-US owners.
Are there Kansas rules for non-US owners of property?+
One to check before any purchase. Since 1 July 2025, the governments, political parties, corporate entities, agents and citizens of China (including Hong Kong), Cuba, Iran, North Korea, Russia and Venezuela must register real property within 100 miles of a military installation in Kansas, Nebraska, Colorado, Oklahoma, Iowa or Texas with the Kansas Attorney General.
