Iowa keeps formation short. An LLC exists once its Certificate of Organization takes effect, and the certificate carries the company's name, the principal office's street and mailing addresses and the registered agent's name and Iowa addresses - nothing about who owns the company. The fee is $50, the same as for a corporation's Articles of Incorporation. Filing runs online through Fast Track Filing; the office reviews each upload and emails the filer when it is done, and no publication step follows. When a date matters, the office sells speed per document: $15 for five business days, $50 for two, $125 for the same business day, $200 for one hour. A C-Corp pays Iowa corporate income tax on its Iowa net income, 5.5% on the first $100,000 and 7.1% above, and the Department of Revenue has kept those rates for 2027.
Now the plain part. Iowa's Secretary of State does not publish a standard review time, so without an expedite fee we cannot promise a filing date. The Biennial Report falls between 1 January and 1 April of each odd-numbered year; Iowa lists no late fee, but 60 days after the due date the state can start administrative dissolution. For founders from abroad the larger issue is land. Under Iowa Code chapter 9I, a business majority-owned, directly or indirectly, by nonresident aliens - people who are neither US citizens nor green-card holders - may not purchase or otherwise acquire agricultural land, and a holding company in between changes nothing. The exceptions are narrow, such as up to 320 acres for an immediate or pending use other than farming.

The name has to meet the permitted-names rule in § 489.112. A reservation is optional: $10 holds it for 120 days and can be transferred by signed notice.

The quiet trap is the gap between reports. An LLC formed in an even-numbered year files its first Biennial Report early the next year; one formed in an odd-numbered year waits for the next odd year, long enough to forget. Iowa lists no late fee, so the first sign of trouble can be a dissolution notice. And the Secretary of State's FAQ says 31 March while the statute says 1 April: file by 31 March and both are met.

What taxes will an Iowa company pay?+
A C-Corp pays federal tax at 21% and Iowa corporate income tax at 5.5% on the first $100,000 of Iowa net income and 7.1% above, with the Iowa return due by the last day of the 4th month after the year ends. An LLC passes its income to its owners by default; a single-member LLC owned from abroad files Form 5472 with a pro forma 1120. How Iowa taxes a foreign member's share - the Department lists a 3.8% composite rate for 2025 or later - is confirmed for your case. Sales tax is 6%, plus 1% local option where adopted.
Can a foreign-owned Iowa LLC buy farmland?+
Generally, no. Iowa Code § 9I.3 bars a "foreign business" from purchasing or otherwise acquiring agricultural land, and § 9I.1 defines that as an entity majority-owned, directly or indirectly, by nonresident aliens - people who are neither US citizens nor green-card holders. A holding company in between does not change the count, and "agricultural land" means any land suitable for farming. Exceptions exist, such as inheritance or an interest of up to 320 acres for an immediate or pending use other than farming. Do not confuse this with a "foreign LLC". In Iowa law that term simply means an LLC formed in another state.
What happens if the Biennial Report is missed?+
Nothing is charged at first: the fee page lists no late fee. Once the report is 60 days overdue, the Secretary of State can serve a notice, and if the problem is still there 60 days after that notice, the company is administratively dissolved. The Secretary of State says a company dissolved for a missed report may be entitled to reinstatement, and the application costs $5, but until then the company is inactive on the state's records. For a new LLC, the first report falls between 1 January and 1 April of the first odd-numbered year after formation.
Does an Iowa company have to report its owners?+
Not to FinCEN. Under its final rule of 11 August 2026, effective 14 August 2026, US companies are exempt from BOI reporting, including those owned from abroad. Iowa's own filings do not ask for members' names either. The certificate names the registered agent and the principal office, and the Biennial Report repeats them. Federal tax is a different matter: the IRS learns who owns a foreign-owned single-member LLC from the EIN application and from Form 5472, and any bank will ask as well.
How does banking work for an Iowa company?+
Without a US footprint, the usual route is a fintech platform of the Mercury or Relay type, applied for remotely with the filed certificate and the EIN. A traditional bank is realistic when you have a US presence it can see.
