Cheap to run, unforgiving about the two-year report.
Indiana handles formation through the Secretary of State's Business Services Division, and the state side runs online on INBiz: the Articles of Organization first, the reports later. On paper the Articles (State Form 49459) cost $100, and a name can be reserved for 120 days while you decide. After that the state wants one Business Entity Report every two years, $32 online or $50 on paper. Certified copies of your filings download free. For 2026 the individual income tax rate is 2.95%. Since 1 January 2026, a business run only from a governing person's home may keep that address off the public record, and ID documents do not have to go with any filing - identifying information goes to the Secretary of State only if it asks.
County income tax comes on top of the 2.95%, and sales tax is 7%. A retail business in Indiana registers to collect it; a remote seller has to once its Indiana revenue passes $100,000 in the current or previous calendar year. Corporations owe Indiana corporate income tax as well, and we confirm the current rate for your case before you choose the entity. The registered agent needs an Indiana address, and the company cannot be its own agent. The real trap is the report. The first one falls due two years after formation, a missed one ends in administrative dissolution, and reinstatement waits on a Department of Revenue tax clearance of 4 to 6 weeks. How long does formation take?+
The Secretary of State's review time is confirmed when we file; we don't quote a state turnaround we can't back with an official figure. Plan around the EIN instead. The IRS generally answers a faxed SS-4 within 4 business days, while a mailed one takes about 4 weeks. If you need to hold a name while you decide, a reservation lasts 120 days.
Can the company get a US bank account?+

Does an Indiana company file a BOI report?+
No. FinCEN's final rule, in force since 14 August 2026, exempts companies formed in the US from beneficial ownership reporting, even when every owner is a non-US person. Indiana has no filing of its own: INBiz says this reporting is completed only with FinCEN, not with the Secretary of State. The companies that still report are those formed abroad that register to do business in a US state.
What is Form 5472, and does it apply to me?+
It applies if you, as a non-US person, own the whole LLC. The IRS then treats the LLC as a corporation for this one purpose: every year it files Form 5472 with a pro forma Form 1120, by fax or mail, because a foreign-owned disregarded entity cannot file it electronically. It is due with the 1120, generally by the 15th day of the 4th month after the tax year ends. Not filing costs $25,000. Our accounting and 5472 add-on starts from $800 a year.
What happens if the Business Entity Report is missed?+
The state sends a Past Due Notice, and an unfiled report ends in administrative dissolution. Getting the company back needs a tax clearance from the Department of Revenue, which takes 4 to 6 weeks, and you may lose the rights to the business name. The first report is due two years after formation, in the anniversary month - long enough to forget. Envelopes from private companies charging $125 and up for the same report are not state notices.
Indiana or Delaware?+
If you are raising venture money, a Delaware C-Corp is the usual default and we will say so in the triage. If the company will actually work in Indiana, forming here saves a second registration: an out-of-state company registering in Indiana files a Foreign Registration Statement ($125) with a certificate of existence issued within the last 60 days. For a holding or service LLC, Indiana's state upkeep is $32 online every two years.
LLC or C-Corp?+
An LLC suits most founders who run a service or trading business and take the profit out. A C-Corp suits a company that will raise equity or keep its profit in the business. A non-resident alien owner cannot use the S-Corp election, so those two are the real options.
