An Illinois LLC starts with Articles of Organization, form LLC-5.5, filed online with the Secretary of State's Department of Business Services. The fee is $150 for the standard service of 10 business days, or $250 for 24-hour service, and a payment processor fee is added to every transaction. The department examines the articles and emails the confirmation once it approves them. Illinois also lets an LLC establish series: those articles cost $400, or $500 with 24-hour service, and each series needs its own Certificate of Designation, filed on form LLC-37.40. Individuals pay a flat 4.95% income tax, in force since 1 July 2017. The state sales tax on general merchandise is 6.25%, and local taxes can raise the rate depending on location.
A C-Corp pays Illinois a 7% income tax and a 2.5% personal property replacement tax on net income, 9.5% together, as well as the federal 21%. Should I choose an LLC or a C-Corp?+
An LLC suits founders who will take profit out rather than raise equity: for federal tax, a single-member LLC is disregarded and one with two or more members is a partnership, unless it elects otherwise. A C-Corp pays the flat federal 21% plus 9.5% in Illinois, and it is the usual choice when investors are coming. S-corp status is closed to you, because non-resident aliens cannot hold S-corp shares. Because of where the business runs. In US law a foreign LLC is one formed in another state, whoever owns it.
