Georgia, the US state with Atlanta as its capital, forms LLCs under the Georgia Limited Liability Company Act (O.C.G.A. Title 14, Chapter 11). You file Articles of Organization with the Secretary of State's Corporations Division at ecorp.sos.ga.gov, and the online system generates the articles itself. The fee is $110: a $100 filing fee plus a $10 service charge. Online filings are generally processed within 7 to 10 business days, and the one-hour expedite costs $1,200 on top. An LLC runs no newspaper notice; a Georgia corporation must. After that, the yearly state filing is a $60 annual registration between 1 January and 1 April. A single-member LLC is disregarded for Georgia filing purposes, and an LLC that keeps its default tax status pays no net worth tax.

The registered agent needs a Georgia street address and must actually be there - no PO box, no mail drop - and the company cannot act as its own agent. Ours is included for the first year. A C-Corp pays federal income tax at a flat 21%, Georgia corporate income tax at 5.19% (the rate stated for tax years from 2025) and a net worth tax that is $0 up to $100,000 of net worth. Can I set up a Georgia company without travelling to the US?+

Yes. The Articles are filed online, and the signer can be an organiser, member, manager or attorney-in-fact using a full legal name. The registered agent we provide gives the company the Georgia street address the law requires. The EIN comes from the IRS by phone, fax or mail for founders with no SSN or ITIN. Banking is the one step that depends on your file: fintech platforms take applications remotely, and a traditional bank is a route where the business has a US footprint.

How much does a Georgia company cost?+

Formation starts from $2,400 all-in, including the Georgia filing fee ($110), the registered agent for the first year, the EIN and the operating agreement. Expediting cuts that to two business days ($120), the same day ($275, if received by noon) or one hour ($1,200). The Articles can also carry a delayed effective date, up to 90 days after filing. Then comes the EIN. By fax the IRS generally replies within 4 business days; by mail it takes about 4 weeks.

Should I form an LLC or a C-Corp in Georgia?+

An LLC suits most owner-run businesses: pass-through by default, $60 a year and no net worth tax. A C-Corp fits when investors will buy shares. It pays 21% federal tax plus Georgia's 5.19% (2025 rate), files its first annual registration within 90 days naming three principal officers, runs the newspaper notice and files a net worth tax return every year. An S corporation is off the table with a non-resident alien shareholder, so that election does not help a foreign founder.

What taxes will the company pay?+

A C-Corp pays 21% federal tax and 5.19% Georgia corporate income tax, the rate stated for tax years from 2025. The Department of Revenue says later years may change, so we confirm it for your filing year. An LLC is pass-through by default. In a multi-member LLC with foreign members, the LLC withholds federal tax on their share of effectively connected income at 37%, or 21% for corporate members. Dividends to non-residents carry 30% withholding unless a treaty reduces it. Selling taxable goods in Georgia means 4% state sales tax plus local rates, up to 9% combined.

What is the catch with Georgia?+

It taxes income. Florida and Tennessee have no personal income tax; Georgia charges individuals a flat 4.99% in 2026 and corporations 5.19%, the rate stated for tax years from 2025. A corporation also carries extra paperwork: the newspaper notice, an initial registration within 90 days and a net worth tax return each year, even at $0. And for foreign founders, Georgia's tax registration asks for an SSN or other valid taxpayer number of a principal officer, owner, member or manager, so we plan for it before your first taxable sale or hire.

What is Form 5472, and does it apply to me?+

It does if one foreign person owns the whole LLC. For this rule a foreign-owned single-member LLC is treated as a corporation: every year it files a pro forma Form 1120 with Form 5472, reporting transactions with its owner, including money put in and taken out. It cannot be filed electronically - fax or mail only - and it is due with Form 1120, normally by the 15th day of the 4th month after year-end. Not filing costs $25,000, plus $25,000 for each further 30 days once 90 days have passed after an IRS notice.

Can the company get a US bank account?+

Nobody can promise an account before the bank has seen your file, and we will not. We scope the route with you: Mercury or Relay-class fintech platforms take applications online, and a traditional bank is a route where the business has a US footprint. We prepare the application file around the Articles, the EIN and the operating agreement, then set up ACH, wires and Stripe once the account is open.

Do I have to report beneficial owners?+

Not for a company formed in Georgia. FinCEN's final rule, effective 14 August 2026, made permanent the exemption for US companies first introduced in March 2025, so a Georgia LLC or corporation files no BOI report, even when all its owners live outside the US. The duty remains for companies formed abroad that register to do business in a US state. Georgia's Corporations Division links to an information page on the federal rule; we know of no state-level ownership filing.
