Connecticut sits between New York and Boston, and its Secretary of the State runs business filings through one online hub, Business.CT.gov. An LLC is formed under the Connecticut Uniform Limited Liability Company Act with a Certificate of Organization: $120, and appointing the registered agent is part of that fee. Most online filings are accepted automatically, which is the state's own reason for calling its $50 expedite unnecessary. From the year after formation the LLC files an $80 annual report, online, between 1 January and 31 March. A C-Corp costs more to start (from $250 for the Certificate of Incorporation, depending on its authorised shares, and $150 for the Organization and First Report) and pays 7.5% corporation business tax. The 10% surtax for 2026-2028 reaches only companies with $100 million of income or combined groups.
The certificate and every annual report must give the name, business address and residence address of at least one member or manager, so somebody's home address sits on file with the state. The report also wants a working email address and a NAICS code, and it is accepted online only. A non-resident individual who owns an LLC pays Connecticut income tax on Connecticut-source income, at 2% to 6.99%, and a company selling goods here needs a $100 sales tax permit from the Department of Revenue Services. The heavier rules are federal. A single-member LLC owned from abroad files Form 5472 with a pro forma 1120 every year, by fax or mail because it cannot go electronically, and missing it costs $25,000. For a services or online business owned from abroad we usually start with an LLC. Profit is taxed through the owners, and a single-member LLC pays no corporate tax itself, though it files Form 5472 every year. If investors are coming, form a C-Corp: 21% federal and 7.5% Connecticut tax, with dividends to non-residents withheld at 30% before treaties. The S-corporation election is closed to you, because the IRS does not allow non-resident alien shareholders.

A single-member LLC pays no income tax itself: a non-resident individual owner pays federal tax on effectively connected income at graduated rates and Connecticut tax on Connecticut-source income at 2% to 6.99%. A multi-member LLC withholds on its foreign members' share of that income - 37%, or 21% for corporate members - and falls under the state's 6.99% pass-through entity tax law, whose current application we confirm case by case. Sales in Connecticut carry 6.35% on most goods and 1% on computer and data processing services.

The EIN sets the pace: by fax the IRS generally issues it within 4 business days, by mail in about 4 weeks. Banking starts once the EIN is in hand.
Can the company get a US bank account?+
That is the job of the $4,400 package. We choose the route for your file - a Mercury- or Relay-class fintech platform opened remotely, or a traditional bank where you have a US footprint - prepare the application, then set up ACH, wires and Stripe onboarding. The bank decides every application. What we control is a clean file: the certificate, the EIN and the operating agreement.
Will my home address go on file?+
For at least one member or manager, yes. Connecticut requires the name, business address and residence address of at least one member or manager in the Certificate of Organization and again in every annual report (§§ 34-247 and 34-247k). The registered agent's address does not replace it. Changing the named person later is a $20 interim notice. We settle whose details go in before anything is filed.
What is Form 5472, and does it apply to me?+
If one foreign person owns the LLC, yes. The IRS treats a foreign-owned single-member LLC as a corporation for this purpose: every year it files a pro forma Form 1120 with Form 5472 attached, reporting dealings with its owner, money put in or taken out included. It is due with the 1120, generally by the 15th day of the fourth month after the tax year ends, and it cannot be filed electronically - fax or mail only. Missing it costs $25,000, plus $25,000 for each further 30 days once 90 days have passed after an IRS notice.
Do I need to file a BOI report with FinCEN?+
No. FinCEN's final rule, effective 14 August 2026, exempts companies formed in the US, so a Connecticut LLC or C-Corp files no BOI report even if every owner is foreign. Reporting now covers only entities formed under a foreign country's law that register to do business in a US state. The rule moved twice in 2025 and 2026, so it stays on your compliance calendar.
