Shams in brief

A media city by name, a general business zone in practice.

Shams is the Sharjah Media City Free Zone, created by Emiri Decree No. 11 of 2017, launched in February that year and based in Al Messaned, Al Bataeh. Its companies run under the zone's own Companies and Licensing Regulations 2024, and the federal companies law applies there only where those Regulations provide for it or the Authority applies it in writing. The name undersells the zone. The Media Package takes up to five media activities, the Standard Package any five business activities. Licences come as service, trade or light industrial. The company is a limited liability company registered as an LLC, with no FZ in its name, and 1 to 50 shareholders, people or companies, with no local partner. You register, pay and receive the licence from abroad, and the zone's own timeline for that step is 1-2 working days.

The zone's part of the bill is not public. Shams shows its packages without AED prices and its calculator gives estimates only, so zone fees reach you in a quote. Visas are capped at 50 per licence: above 10 the zone asks for a business plan and bank statements, above 20 for an annual audited financial report. Each allocation costs AED 1,600, and an approved allocation is not yet a visa: the company also needs a valid e-channel account and immigration card before it applies. A licence left to expire costs AED 200 a month after a 30-day grace period. On tax, the free zone 0% covers only qualifying income of a Qualifying Free Zone Person, and media or consulting income from clients outside the free zones qualifies only within a small de minimis allowance. Selling to the UAE mainland goes through a licensed mainland distributor or a mainland branch or company.

Sharjah Media City, set up by Emiri Decree No. 11 of 2017, runs on its own 2024 Regulations. The Media Package takes up to five media activities, the Standard Package any five. An LLC without FZ, 1 to 50 shareholders, licence online in 1-2 working days.

Zone fees are quoted, not published. Visas: up to 50, a business plan above 10, an audit above 20, AED 1,600 per allocation. The free zone 0% covers qualifying income only, and media or consulting for clients outside the free zones only within the de minimis. Mainland via a distributor or branch.

What Shams rules actually demand.

1 to 50 shareholders - Individuals or companies entered in the register of shareholders. Foreign ownership can be 100%, with no local partner.

Director and general manager - The 2017 Regulations, which the 2024 text amends, ask for at least one director, an individual, and at least one general manager. They state no residence rule and no secretary; we confirm the 2024 wording for your filing.

Capital you set - Stated in the Memorandum in UAE dirhams, with no minimum amount stated. Shares are paid in full when allotted unless the Authority allows partly paid shares, and bearer or fractional shares are not allowed.

Desk, address and visa quota - Both packages include a flexi desk and lease agreement, and the company keeps a registered address in the zone at all times. Visas depend on activity and office space, up to 50 per licence.

Immigration card before visas - A visa needs a valid e-channel account, an immigration card and an available allocation (AED 1,600 per allocation). Staff are sponsored under an Employee Sponsorship Agreement with the Authority, and the company bears every employment cost.

Corporate tax is 0% on taxable income up to AED 375,000 and 9% above it. A Qualifying Free Zone Person pays 0% on qualifying income and 9% on the rest if it meets the conditions, among them adequate substance, transfer pricing compliance, audited financial statements and non-qualifying revenue within the de minimis, 5% of total revenue or AED 5,000,000, whichever is lower. Media and consulting are not on the federal list of qualifying activities, so their income qualifies when the client is a free zone person that receives the work itself; income from other clients fits only inside the de minimis. Shams company registration, answered honestly.

Can I set up a Shams company without travelling to the UAE?+

Yes. Shams says the whole setup runs online and that non-residents can form a company, so the licence itself needs no trip. On the 0-visa package that is the end of onboarding. A residence visa is different: the medical test and biometrics happen in the UAE, so plan a stay for those steps.

How much does it cost?+

Our registration work starts from $2,900; with a UAE bank account set up, from $5,400. Zone fees come on top: Shams publishes no price list, so we quote its fees for your case. Visa allocations cost AED 1,600 each and are renewed with the licence, and multi-year licences cut licence and visa allocation fees by 2% to 10%. Shams's terms do not accept cancellation once you have paid, so we fix the package before you pay.

Is a Shams company really taxed at 0%?+

Only on qualifying income, and only while the conditions hold, among them adequate substance, transfer pricing compliance, audited financial statements and non-qualifying revenue within 5% of total revenue or AED 5,000,000, whichever is lower. Media and consulting are not qualifying activities, so income from clients outside the free zones stays at 0% only while it fits inside that limit. Breach it and the status is lost for that tax period and the next four, leaving the standard 0% up to AED 375,000 and 9% above. We check which route fits before you pick activities.

How long does it take?+

Shams's published timeline gives 1-2 working days for the licence. With visas, the e-channel and immigration card take 3-5 working days, the visa application 4-5, the medical test 1-2 and the residency visa with biometrics 3-4, so about 11-16 working days more. The Emirates ID usually follows within 7-10 working days. The FTA processes a complete corporate tax registration in 20 business days, and the bank keeps its own clock.

Can you open a bank account for the company?+

We prepare the application and stay with it, but the bank decides. Shams gives registered companies a list of recommended banking partners. Our Company + Bank Account package adds a bank shortlist for your profile and a KYC file covering source of funds, contracts and a business plan, and we support you at the bank meeting, in person or by video where the bank allows. The dirham is pegged to the US dollar at AED 3.6725.

How many visas can a Shams company get?+

Up to 50 per licence, depending on your activity and office space, and the Authority sets headcount at its discretion. Above 10 visas Shams asks for a business plan and bank statements, above 20 for an annual audited financial report, and some nationalities may need pre-approval. Each allocation costs AED 1,600, is renewed with the licence and is not itself a visa. Staff are sponsored through the Authority, and the company pays every employment cost.

Can a Shams company sell on the UAE mainland?+

Not directly. Federal guidance says a free zone company works on the mainland through a licensed mainland distributor or its own mainland branch or company, and Shams publishes no mainland permit or dual licence. For a Qualifying Free Zone Person, income of a mainland branch is taxed at 9%. Goods moved into the mainland also become subject to customs duty.

Do I need audited accounts?+

The zone's 2017 Regulations ask for accounting records and let the company appoint an auditor by resolution. They and Shams's terms state no duty to file audited accounts with the Authority, except for visa allocations above 20, and we check the 2024 text for your year. Corporate tax is stricter: a Qualifying Free Zone Person must prepare audited financial statements, as must a company with revenue above AED 50,000,000. Under the 2017 text the first financial year may run up to 18 months.

What happens if the licence lapses?+

A 30-day grace period runs from expiry. After it, Shams charges AED 200 a month until the licence is renewed or cancelled, sends a legal notice at six months, then suspends the licence at seven for a further AED 1,000 and cancels the immigration card and visas where they exist. All penalties are settled before renewal or cancellation. A company that had visas waits a year after cancellation before it can reopen.

Which documents do you need from me?+

A clear, complete passport copy with your specimen signature, plus an Emirates ID if you live in the UAE. Shams asks for no NOC. A corporate owner with 25% or more adds its certificate of incorporation, memorandum, certificate of incumbency or good standing, a board resolution and an ownership chart, each issued within the last 90 days. The UAE is not a party to the Apostille Convention, and Shams publishes no legalisation rule but sells MOFA attestation as an option, so we confirm what your papers need before you order anything.
