Hamriyah Free Zone dates from 1995 and is run by the Hamriyah Free Zone Authority (HFZA), whose company rules are issued under Sharjah Emiri Decree No. 6 of 1995. It is built for goods: 30 million square metres, access to a 14-metre deep port and a 7-metre inner harbour, customs on site, and sectors for oil and gas, food, manufacturing, maritime industry and logistics. A foreign founder can own 100% of an FZE (one shareholder) or an FZC (up to five), or open a branch of an existing company. HFZA leases everything from 10 sqm offices to pre-built warehouses of 200-600 sqm and plots from 2,500 sqm on 25-year renewable leases, with a rent holiday while you build. Goods are imported, exported and re-exported without customs duty.
The conditions get less space in the brochure. HFZA publishes no full price list: its FAQ gives AED 11,000 as the basic licence cost, on an undated page, and we quote the rest for your project. Visas follow the facility and are processed on the project's actual needs and performance, at HFZA's sole discretion. Every FZE and FZC files accounts audited by an HFZA-approved auditor within three months of the year-end. An FZC also needs at least one director and its secretary resident in the UAE. The office has to be inside the zone, and sales to the mainland go through a licensed distributor or a mainland branch or company, with customs duty on goods that cross. The free zone 0% corporate tax rate reaches only the qualifying income of a company that keeps Qualifying Free Zone Person status.

HFZA issues Commercial (trading, general trading, e-commerce), Service and Industrial licences. Activities outside its lists are approved case by case; HFZA's environment, health and safety team reviews industrial applications and issues the NOC that chemical import, export or storage needs.Commercial, Service and Industrial licences; industrial files and chemical NOCs go through HFZA's EHS team.
The Industrial licence covers importing raw materials, manufacturing, processing or assembly, then packaging and exporting the finished goods. The file adds an environmental, health and safety data sheet and a feasibility study or business plan.
Oil and gas is one of HFZA's six sectors. Importing, exporting or storing chemicals needs an NOC from its EHS department on top of the licence.

Licence type, legal form and facility chosen against your activities and headcount - the decision HFZA's Commercial Department asks for at the first meeting.
Company name and the product categories or service activities, 3 to 10 depending on the package. A branch carries its parent's name.

The first audit comes early. An FZC's first financial year runs from incorporation to December, so a company formed in October closes its first year in December and owes accounts signed by an HFZA-approved auditor by the end of March, unless HFZA allows longer. Renewal is processed against them or your written undertaking to file.

The free zone 0% follows the activity, not the address.
Corporate tax is 0% on taxable income up to AED 375,000 and 9% above, for financial years starting on or after 1 June 2023. A Qualifying Free Zone Person pays 0% on qualifying income and 9% on other taxable income; manufacturing, processing, logistics and distribution from a Designated Zone are on the qualifying list. The 0% depends on conditions, among them adequate substance, audited accounts and non-qualifying revenue within 5% of the total or AED 5,000,000, whichever is lower. Small business relief (revenue up to AED 3,000,000, tax periods ending on or before 31 December 2029) is not open to a QFZP. Can I set up a Hamriyah company without travelling to the UAE?+
HFZA's pages do not say whether the whole set-up can be done from abroad, and its document list asks for copies of the shareholders' and manager's visit or tourist visas. We prepare the file with you remotely and confirm the licence stage with HFZA before you book anything. The visa stage - medical test, Emirates ID and stamping - needs you in the UAE.
How much does a Hamriyah company cost?+
Our registration work starts from $2,900; with a UAE bank account set up, from $5,400. Zone fees come on top: HFZA's FAQ gives AED 11,000 as the basic licence cost, on an undated page, and the zone publishes no full price list, so we quote its office, visa and other fees for your case. The licence is paid every year. For warehouse packages HFZA lists indicative extras of AED 3,500 (licence) and AED 5,000 (service fee) a year, a one-time AED 9,000 incorporation fee and a refundable AED 5,000 deposit, with visa costs excluded.
What taxes does a Hamriyah company pay?+
Corporate tax is 0% on taxable income up to AED 375,000 and 9% above it. HFZA states that Hamriyah is a qualified free zone for corporate tax, so a company here can be a Qualifying Free Zone Person and pay 0% on qualifying income if it meets the conditions, among them adequate substance in the UAE, audited accounts, the transfer-pricing rules and non-qualifying revenue within 5% of total revenue or AED 5,000,000, whichever is lower. Other taxable income is taxed at 9%. VAT is 5%, withholding tax is 0% and there is no personal income tax.
How long does registration take?+
HFZA says it can issue a licence within an hour once every document is in, and it rejects incomplete applications, so most of the time goes into the file. After the licence come security approval and the establishment card, then the e-channel account and the visas. The FTA's processing time for corporate tax registration is 20 business days from a complete application, and the bank sets its own pace. We put dates for your case in the quote.
Can I open a bank account for the company?+
Yes, on the bank's terms. HFZA's FAQ mentions branches of leading banks among the zone's facilities but gives no account-opening guidance. Banks look at the licence and lease, who owns the company, where the money comes from and what the business will do. Do I need a UAE resident on the company?+
For an FZC, yes. Its rules require individual directors and an individual secretary, with at least one director and the secretary resident in the UAE - one person can hold both posts. An FZE also needs at least one director and a secretary, and we confirm the officer set-up for your form before filing. No local partner or local shareholder is required.
Can my Hamriyah company sell on the UAE mainland?+
Not directly. Federal guidance says a free zone company reaches the mainland through a licensed mainland distributor or through a mainland branch or company, and HFZA's pages describe no mainland permit or dual licence. Goods moved into the mainland market pay UAE customs duty, and a mainland branch's income is taxed at 9%, not 0%. Separately, HFZA has an NOC application for individuals (shareholders, directors, managers or employees) who start a business outside the zone, with a fee of AED 1,500 for a shareholder and AED 3,000 for the others.
Which facility do I need, and how many visas does it bring?+
It depends on the work. The Start Up package lists no office area and carries one visa. Smart offices are 10 sqm with 4 to 7 visas, Deluxe starts at 12 sqm with 2, and Supreme goes up to 40 sqm with 12. Pre-built warehouses of 200, 400 and 600 sqm carry 25, 40 and 50 visas, and land from 2,500 sqm comes with a flexible quota. HFZA still processes visas on the project's actual needs and performance, at its discretion.
Do I really need an audit every year?+
Yes. HFZA's rules require every FZE and FZC to file annual accounts with a signed report from an HFZA-approved auditor within three months of the year-end, unless HFZA allows longer. The licence is renewed against those accounts or against a written undertaking to file them, and a missed filing brings penalties. A temporary waiver is possible on an undertaking, but its fee is not refunded. Separately, a Qualifying Free Zone Person needs audited financial statements for corporate tax.
How much share capital do I need?+
HFZA's rules set no minimum amount. Capital is stated in dirhams, in shares of AED 1,000 or multiples, and paid in cash unless HFZA allows contributions in kind; in an FZC no share is issued until the capital is fully paid. The site does not say how capital is proven, so we confirm the amount and the evidence HFZA expects for your project.
