Mexico has one securities regulator and two doors. The Comisión Nacional Bancaria y de Valores authorises the casa de bolsa under Ley del Mercado de Valores art. 113 on a capital ladder it writes itself in the CUCB art. 10 - 3,000,000 UDIs for a services-only house, 9,000,000 UDIs for a full intermediary and 12,500,000 UDIs with securities lending, about MXN 26.0 million, 78.0 million and 108.3 million at the 31 December 2025 UDI of 8.665387 - and it registers the asesor en inversiones under art. 225, where the capital is set by the Commission's own rules. The Ley Federal de Derechos prices the casa de bolsa file at MXN 39,413.73 to examine and MXN 571,544.81 to authorise (art. 29 fr. XIII-XIV); LMV arts 114-117 print no decision period, only the 30 business days of art. 116 before operations start. The market is 126,014,024 people at the 2020 census, taxed at 30% with 10% on dividends abroad.

Mexico in brief

One regulator, an authorisation with a UDI ladder, and a registration.

The Ley del Mercado de Valores, reformed to 14 November 2025, gives the Comisión Nacional Bancaria y de Valores the gate. Art. 113: to organise and operate as a casa de bolsa requires the Commission's authorisation. The applicant is a sociedad anónima; art. 115 lists the file - shareholding, business programme, internal controls, projected financials and the technological infrastructure with its security measures (III b, 2023 reform). The capital is in the CNBV's CUCB, art. 10 as reformed on 23 June 2017: 3,000,000 UDIs for a house limited to the services of art. 171 fr. I, VII, VIII, X, XIII, XX and XXII, which never executes a trade; 9,000,000 UDIs for any art. 171 activity outside securities lending and fr. IV-VI; 12,500,000 UDIs with those. Paid by 31 December at the prior 31 December UDI - 8.665387 for 2026, so about MXN 26.0, 78.0 and 108.3 million - and the capital neto may never fall below it.

The lighter door is art. 225, rewritten by the decree of 28 December 2023. To be an asesor en inversiones requires registration with the Commission - not authorisation. A persona física proves honorabilidad, a satisfactory credit history and certification from a gremial association the CNBV recognises as a self-regulatory body; a sociedad civil, anónima or de responsabilidad limitada adds its partners' and managers' honorabilidad (fr. II), a capital mínimo set by the CNBV's general rules (fr. III), the persons holding its capital and the origin of the money (fr. IV), and its apoderados' certification (fr. VI). An asesor holds a mandate to instruct intermediaries, including foreign institutions of the same type (art. 226 I), and an S.A. adviser may seek to found a fund (art. 225 Bis). LMV arts 114-117 set no decision period; art. 116 has the casa de bolsa prove capital, officers and infrastructure at least 30 business days before it starts. We build from Mexico City.

One regulator, two doors: the CNBV authorises the casa de bolsa (LMV art. 113) on the CUCB art. 10 ladder - 3,000,000, 9,000,000 or 12,500,000 UDIs, about MXN 26.0, 78.0 and 108.3 million in 2026 - and registers the asesor en inversiones (art. 225) with capital set by its own rules. Fund operators need LFI art. 33 authorisation.

MXN 39,413.73 to examine and MXN 571,544.81 to authorise a casa de bolsa (LFD art. 29); no decision period in LMV arts 114-117, 30 business days of pre-start proof (art. 116). 30% ISR, 10% on dividends abroad, 16% IVA. 126,014,024 people. Built from Mexico City.

The two builds

The registered asesor - or the authorised casa de bolsa.

One regulator, two legal acts: the asesor en inversiones registers under art. 225, with its capital set by the CNBV's rules; the casa de bolsa is authorised under art. 113 on the CUCB art. 10 ladder of 3,000,000 to 12,500,000 UDIs, with fees the Ley Federal de Derechos prints. We fix the door first, then build once.

The registered asesor - or the authorised casa de bolsa.

Why Mexico

A 126-million market with a UDI ladder and a registration door.

Mexico's argument is a capital ladder you can price in advance, a registration door for advisers, fees in a federal law and a market of 126,014,024 people.

A capital ladder in UDIs

CUCB art. 10: 3,000,000 UDIs for a services-only house, 9,000,000 for full intermediation, 12,500,000 with securities lending - about MXN 26.0, 78.0 and 108.3 million at the 31 December 2025 UDI. You choose the rung by activity set.3m, 9m or 12.5m UDIs.

126,014,024 people

The 2020 census count (INEGI, 25 January 2021) - the pool behind the BMV and BIVA, reachable only through a Mexican entity.Censo 2020.

Registration for advisers

LMV art. 225: an asesor en inversiones registers with the CNBV - honorabilidad, a credit history, gremial certification and a capital the Commission sets by rule - and instructs foreign intermediaries under an art. 226 I mandate.Art. 225, capital per CNBV rules.

Fees printed in a federal law

Ley Federal de Derechos art. 29: MXN 39,413.73 to examine and MXN 571,544.81 to authorise a casa de bolsa (fr. XIII-XIV); MXN 44,509.99 and MXN 457,759.63 for a fund operator.LFD art. 29.

30% and 10%, in the statute

LISR art. 9 taxes the fiscal result at 30% with no SME step; art. 164 fr. I withholds 10% on dividends to non-residents as a definitive tax, with the treaty position settled per structure.LISR arts 9 and 164.

No clock, but a known start rule

LMV arts 114-117 print no decision period. What they do print: capital, officers and infrastructure proven at least 30 business days before operations (art. 116), and a capital pegged to the prior 31 December UDI, so the peso figure is known for the whole year.30 business days, art. 116.

How it compares

How Mexico differs from other routes.

The honest comparison: a UDI capital ladder and fees printed in a federal law, but no decision period - against neighbours that print a clock.

The CNBV reviews the art. 115 dossier or the art. 225 registration pack; the craft is a file that already carries the CUCB art. 10 capital at the right rung and the certified people. The checklist below is what a passing application contains.

01
Mexican sociedad anónima - the casa de bolsa form under the LMV; an asesor may be a persona física, a sociedad civil, a sociedad anónima or a sociedad de responsabilidad limitada (art. 225 fr. I, as amended 28 December 2023).
02
Casa de bolsa capital - CUCB art. 10 (DOF 23 June 2017): 3,000,000 UDIs for the services of art. 171 fr. I, VII, VIII, X, XIII, XX and XXII only, 9,000,000 UDIs for any art. 171 activity outside securities lending and fr. IV-VI, 12,500,000 UDIs with those; capital neto never below the applicable minimum.
03
The peso figure - subscribed and paid by 31 December at the UDI of the prior 31 December: 8.665387 for 2026, about MXN 26.0 million, 78.0 million and 108.3 million; a new casa de bolsa pays it in before starting operations.
04
The art. 115 file - shareholding, business programme, internal-control systems, projected financials and the technological infrastructure with its information-security measures (art. 115 III b, 2023 reform).
05
Pre-start proof - art. 116: capital, officers and infrastructure proven to the CNBV at least 30 business days before operations begin.
06
Adviser persons - honorabilidad, a satisfactory credit history and gremial certification for a persona física (art. 225); a company adds its partners' and managers' honorabilidad (fr. II), a capital mínimo per CNBV general rules (fr. III), the shareholder list with the origin of funds (fr. IV), administrative and technical capacity (fr. V) and certified apoderados (fr. VI).
07
A client mandate - an asesor holds a mandate to instruct intermediaries or foreign institutions of the same type (art. 226 I) and observes the conduct rules of art. 188 III-IV.
08
Fees at filing - MXN 39,413.73 for the study of a casa de bolsa application and MXN 571,544.81 on authorisation (LFD art. 29 fr. XIII-XIV); MXN 44,509.99 and MXN 457,759.63 for a fund operator.
09
Fund management separately - operadoras, distribuidoras and valuadoras of fund shares need their own CNBV authorisation (LFI art. 33); an S.A. adviser may seek authorisation as founding partner of a fund (art. 225 Bis).
10
Tax registration - ISR at 30% (LISR art. 9), 10% definitive withholding on dividends to non-residents (art. 164 fr. I, treaty position confirmed per structure), IVA at 16% (LIVA art. 1) with the art. 15 fr. X interest exemption; the asesor capital figure and the annual inspection derechos of LFD arts 29-D and 29-E are confirmed before you sign.

The registration door is the hook: a capital set by the CNBV's rules rather than a UDI ladder, a mandate that reaches foreign platforms, and the right to found funds since 2023. The casa de bolsa is the heavier build - 3,000,000 UDIs at the least, about MXN 26.0 million in 2026, paid in at the 31 December UDI before the first operation.

FAQ

The Mexican investment licence, answered.

Who licenses investment firms in Mexico?+

The Comisión Nacional Bancaria y de Valores. It authorises casas de bolsa under Ley del Mercado de Valores art. 113, registers asesores en inversiones under art. 225 and authorises fund operators, distributors and valuers under the Ley de Fondos de Inversión art. 33.

What is the difference between a casa de bolsa and an asesor en inversiones?+

Authorisation against registration. A casa de bolsa is a sociedad anónima the CNBV authorises to place, promote, trade and custody securities (arts 113, 171) on 3,000,000 to 12,500,000 UDIs of capital (CUCB art. 10); an asesor registers, advises and instructs intermediaries under a mandate (arts 225-226), with a capital the CNBV sets by rule.

What capital does a casa de bolsa need?+

CUCB art. 10: 3,000,000 UDIs for a services-only house that never executes a trade, 9,000,000 UDIs for full intermediation, 12,500,000 UDIs with securities lending and the art. 171 fr. IV-VI activities. It is paid by 31 December at the prior 31 December UDI - 8.665387 for 2026, so about MXN 26.0, 78.0 and 108.3 million.

How long does the CNBV take?+

LMV arts 114-117 set no decision period. The fixed terms run the other way: art. 116 has the casa de bolsa prove capital, officers and infrastructure at least 30 business days before it starts operating, and art. 117's 90 business days apply only to the foreign-government shareholding exception. We plan the file for completeness.

What must an individual adviser show?+

Honorabilidad, a satisfactory credit history and the certification issued by a gremial association the CNBV recognises as a self-regulatory body (art. 225). A company adviser - S.C., S.A. or S. de R.L. - adds a capital mínimo under CNBV rules (fr. III), its shareholders and the origin of the funds (fr. IV), and its apoderados' certification (fr. VI).

What does the file cost?+

Ley Federal de Derechos art. 29: MXN 39,413.73 for the study of a casa de bolsa application (fr. XIII) and MXN 571,544.81 for the authorisation (fr. XIV); a fund operator pays MXN 44,509.99 and MXN 457,759.63. Annual inspection fees under arts 29-D and 29-E are confirmed separately.

How are Mexican investment firms taxed?+

ISR at 30% on the fiscal result (LISR art. 9), dividends outside CUFIN grossed up and taxed at 30% (art. 10), 10% definitive withholding on dividends to non-residents (art. 164 fr. I) with the treaty position settled per structure, and IVA at 16% with the art. 15 fr. X exemption for interest but none for brokerage commissions.

Can a foreign group own a casa de bolsa?+

The LMV allows foreign financial institutions to hold majority stakes in filiales under Mexico's international treaties and prints no percentage cap; only a foreign-government shareholding needs the art. 117 exception, decided within 90 business days. The treaty route depends on the parent's jurisdiction, so we confirm it for your group before the structure is drawn.

Mexico or Brazil for a new firm?+

Mexico buys a UDI ladder from 3,000,000 UDIs, a registration door for advisers, fees printed in a federal statute and a flat 30% with 10% on dividends; Brazil buys a larger market of 214.2 million, a manager registration with a 60-day clock and a capital formula from R$ 2 million per activity. Brazil tells you the clock; Mexico does not.

Why Prifinance for Mexico?+

A Mexico City office for the CNBV file, the CUCB art. 10 rung fixed and priced at the 31 December UDI before drafting, apoderados certified through the recognised gremial association, and the art. 115 or art. 225 dossier lodged complete with the LFD derechos paid on the day and the art. 116 proof scheduled 30 business days ahead of launch.
