Set up a Saudi company - the Gulf's only large domestic market, a state spending trillions on becoming something new, 100% foreign ownership under MISA licences, and a regional-HQ rule that moved the multinationals to Riyadh. The operating manual: corporate tax is 20% with zakat mechanics beside it, Saudisation quotas are enforced by algorithm, and the giga-project pipeline pays those who prequalify, not those who visit.A Saudi LLC: the Gulf's only real domestic market, sovereign trillions building a decade, 100% ownership via MISA, and the RHQ rule that moved the multinationals. The manual: 20% on the foreign share, VAT 15%, Saudisation enforced by algorithm, and pipelines that pay the prequalified.
Updated

The one Gulf market that is actually a market - mid-rebuild.
Saudi Arabia is the Gulf's exception: thirty-six million people constitute a genuine domestic economy - retail, housing, healthcare, entertainment - while Vision 2030 spends sovereign trillions rebuilding everything around it: NEOM and the giga-projects, new airlines and stadiums, mining under the ground and tourism above it, an entertainment industry conjured from prohibition in under a decade. Foreign entry runs through MISA: investment licences grant 100% ownership across most sectors to applicants with credible parent-company track records, and the corporate machine - commercial registration, tax, GOSI - has digitised beyond recognition. The regional-headquarters rule concentrated decisions: since 2024, state contracts require bidders' regional HQs in the Kingdom, and the multinationals moved; RHQ status carries its own incentive package including long tax holidays for the HQ entity itself.
The manual: the tax mechanic is dual - foreign shareholders' profit share pays 20% corporate tax while Saudi and GCC shareholders' share pays zakat at 2.5% on the zakat base - and VAT runs at 15%, tripled in 2020 and unbowed since. Saudisation (Nitaqat) is enforced by algorithm: quota bands by sector and size decide your visa capacity, and hiring plans are compliance architecture, not HR preference. The market rewards presence - decisions happen in Riyadh meetings, not emails - and the giga-projects pay through prequalification pipelines that reward early registration and local files. Costs run Gulf-high, dispute resolution improves but tests patience, and rules move fast in a state rebuilding itself weekly. For contractors, consumer brands, healthcare, entertainment and industry, this is the region's deepest opportunity set - entered properly. We enter it properly.
The exception: 36M consumers make a genuine market while Vision 2030 rebuilds everything - giga-projects, entertainment from zero, mining, tourism. MISA licences grant 100% to credible parents; the platforms digitised beyond recognition; since 2024 state contracts require a Riyadh RHQ, with holidays sweetening the move.
The terms: dual tax - 20% on the foreign share, zakat 2.5% on the Saudi/GCC share - VAT 15% e-invoiced by mandate; Nitaqat bands decide visa capacity in real time; decisions happen in Riyadh rooms; giga-projects buy through prequalification files, not visits. The region's deepest opportunity set, entered with architecture.

The platforms are fast when files are complete; the strategy is the MISA licence class, the Saudisation plan and - for groups - the RHQ question.Licence class and Saudisation first, MISA in 1-3 weeks, CR and ZATCA in two, banking in 2-4, iqamas in 3-8 - two months to positioned and working.

Can I open a Saudi company without visiting?+
Mostly - MISA, incorporation and tax registrations run by power of attorney with legalised parent documents. Banks want to meet management, iqamas require biometrics, and the market itself rewards presence: decisions here happen in rooms. One well-planned Riyadh trip completes the set - and starts the relationships.
How much does it cost?+
Setup from $4,400, or $6,900 with banking. RHQ licensing is scoped per group. Renewals with accounting run from $3,000 a year - Kingdom-grade compliance at Kingdom-grade cost, and the market's depth justifies it.
Is 100% foreign ownership real?+
Yes - through the MISA licence: most sectors grant full foreign ownership to applicants with credible parent track records (typically financials and registrations from home), with a shrinking restricted list. The licence is the entry key to everything - commercial registration, banking, visas - and its class determines what you may do. We match the class to the plan before anything files.
How does the 20%/zakat split work?+
By shareholder: the foreign-held share of profits pays 20% corporate income tax; the Saudi/GCC-held share pays zakat at 2.5% on a different base. Wholly foreign companies simply pay 20%; mixed ventures compute both. Add VAT at 15% on supplies and withholding of 5-20% on cross-border payments by type. No salary anywhere carries personal income tax.
What is the RHQ rule?+
Since 2024, companies bidding for state contracts need their regional headquarters in the Kingdom - the rule that moved multinationals to Riyadh. RHQ status is its own MISA licence with an incentive package including long tax holidays for the HQ entity's qualifying income. For groups selling to the Saudi state - which is the buyer of the decade - the question is not whether but how, and we structure the how.
How strict is Saudisation?+
Algorithmically: Nitaqat assigns quota bands by sector and headcount, your band decides visa capacity in real time on the Qiwa platform, and falling bands freeze hiring automatically. It is compliance architecture, not preference - so we engineer it: headcount plans that hold the band, Saudi roles designed genuinely, and visa pipelines that flow. Planned for, it is manageable; discovered late, it is the classic stall.
How do the giga-projects actually buy?+
Through prequalification: NEOM, Qiddiya, Diriyah and the state companies run vendor registration portals, score local presence and files, and award through their EPC chains. Early registration, a Saudi entity, references and patience are the currency; visiting without a file is tourism. We build the files and the positioning - the pipeline pays those already in it.
What changed for entertainment and tourism?+
Everything: sectors that did not exist a decade ago - cinemas, concerts, events, destination tourism - now run on sovereign-backed calendars, licences exist for all of it, and international operators are courted rather than tolerated. The build-out needs content, operations and management at every tier. It remains a regulated society with rules worth respecting; inside them, the opportunity is genuinely new.
How is banking?+
Serious and improving: SNB, Al Rajhi and peers run thorough KYC tied to the MISA licence and commercial registration, accounts open in two to four weeks on complete files, and the riyal's peg - defended by the world's deepest oil balance sheet - keeps treasury calm. ZATCA's e-invoicing means your books and your bank agree by design.
How long does it take?+
MISA licence: one to three weeks with legalised documents. Incorporation and registrations: two more. Banking: two to four. Iqamas: three to eight under the Nitaqat plan. A working, banked, visa-carrying Saudi operation inside two months - positioned for the pipeline it came for - is the working default.
