Uzbekistan in brief

Quick at the registry, strict about language and signatures.

Uzbekistan's LLC Law is only a few months old. Law ZRU-1137 of 21 April 2026 took effect on 22 July 2026 and replaced the 2001 act, and the LLC, or masʼuliyati cheklangan jamiyat (MChJ), is still the usual route for foreign founders. One participant is enough and 50 is the cap. Individuals and companies can both take part, and the law sets no general nationality rule or minimum capital: each participant pays in within the term the founding documents set, at most a year after registration. Public Services Centres register companies online through the Single Portal or at the counter, in real time and within 30 minutes. Corporate tax is 15%. The Investment Law guarantees that foreign-currency funds move in and out of the country freely once taxes and fees are paid.

The conditions are procedural, and most of them concern language and signatures. Founding documents are filed in the state language. The name is chosen in the Latin alphabet, and the system holds a reserved name for 60 calendar days. For an online request, each founder who is not an Uzbek citizen must sign with their own electronic digital signature (EDS). A representative with a power of attorney can file in person instead. The Apostille Convention applies, but not between Uzbekistan and Germany, Austria or Greece. The system calculates the state duty and only overpayments are refunded; for a request filed through the Single Portal, the duty is 90% of the counter rate. Under Art. 4 of the LLC Law, a director whose unlawful acts bring the company to insolvency can be made subsidiarily liable for its obligations.

Law ZRU-1137 has governed LLCs since 22 July 2026: one to 50 participants and no general minimum capital. Public Services Centres register online or at the counter within 30 minutes. CIT is 15%, and the Investment Law guarantees free transfer of foreign currency after tax.

The conditions: documents in Uzbek, the name in Latin script and held 60 days, and an e-signature from each non-citizen founder online, or a representative with your power of attorney in person. The Apostille Convention is not in force with Germany, Austria or Greece.

Requirements

What Uzbek law actually demands.

01
1 to 50 participants - Individuals or companies. A sole participant cannot itself be a one-person company, unless it is a joint-stock company with one shareholder.
02
An elected director - An individual with full legal capacity, elected by the participants for the term in the charter. The post can go to an outsider or a foreign national.
03
Capital paid within a year - No general minimum outside licensing rules. Each participant pays in full within the term in the founding documents, at most a year from registration.
04
Documents in Uzbek - The charter, and the founding agreement when there are several founders, are filed in the state language. The name is in Latin script: the full name contains "masʼuliyati cheklangan jamiyat", the short one may use "MChJ".
05
E-signature for non-citizens - An online request for a company with founders who are not Uzbek citizens must carry each such founder's electronic digital signature.
06
A postal address - The company must have one and report any change to the registry. A change by simple notice is open only to a company with no tax debt above 300 times the base amount.
How it works

Four steps in the system, and the paperwork before them.

The registration Regulation, approved by Cabinet of Ministers Resolution No. 66, sets four steps in the registration system: the request, the name, the state duty, then review and registration. The last is the quick one, at most 30 minutes. Preparing the charter and the signatures takes longer, and our own preparation time is confirmed in your quote.Four steps in the registration system: request, name, duty, review. The review takes up to 30 minutes; our preparation time is in your quote.

The system checks the data and registers the company or refuses it. An unpaid duty and filing with the wrong registry are both grounds for refusal.

FAQ

Uzbekistan company registration, answered honestly.

Can I register an Uzbek LLC without travelling to Uzbekistan?+

Yes. Which route suits you is the first thing we settle, because the registration Regulation has two. Online, the request goes through the Single Portal and must carry the electronic digital signature of each founder who is not an Uzbek citizen; we confirm for your case how you obtain one. In person, a representative files at a Public Services Centre with an ID and a document confirming authority, such as a power of attorney.

How much does it cost?+

Registration starts from $2,400. The official state duty and a legal address, if you need ours, are quoted separately. With an EMI or online bank account, from $4,300. Except for credit organisations, no capital has to be paid in before registration: each participant pays within the term the founding documents set, at most a year after registration.

How long does registration take?+

The Regulation allows 30 minutes at most, in real time, once the request is filed and the duty paid. IT Park's guide for foreign founders speaks of one to two business days after submission. The slow part comes before filing: the Uzbek charter and the signatures. Our own preparation time depends on your founders, so the quote sets it.

What taxes will an Uzbek LLC pay?+

Corporate income tax is 15%, or 20% for commercial banks, mobile operators, cement and polyethylene-granule producers, and markets and shopping malls. VAT is 12% once turnover passes 12,000 BCU. Dividends and interest paid to non-residents carry 10% withholding before treaties, and Uzbekistan has treaties in force with 55 countries. Employers pay 12% social tax on payroll, and personal income tax is a flat 12%. CIT is reported quarterly, with the annual return due by 1 March.

Should a new company choose the turnover tax?+

It depends on the margin, and we run both regimes on your numbers before you file. A company with turnover up to 12,000 BCU may opt for the turnover tax, generally at 4%, though the rate runs from 0% to 25% by type of business. At 4%, it costs less than 15% CIT whenever profit is above about 27% of turnover, on our arithmetic. Leaving it has a cushion: since 1 January 2026, a company moving to CIT for the first time pays no CIT for the following tax period, except on dividends and interest.

Can a foreigner own 100% and be the director?+

In general, yes. The LLC Law lets individuals and companies be participants and sets no general nationality rule, though another law can restrict certain categories of people. One participant is enough. The director must be an individual with full legal capacity; Art. 42 sets no nationality or residency condition, and IT Park's guide says a foreign national can be appointed. We check sector limits for your activity, and whether a foreign director needs a work permit, before filing. One exception is written into the Regulation: markets and trade complexes need a state body holding at least 51% of the founders' share.

Is there a minimum capital?+

No general one. Licensing requirements can set a minimum for a licensed activity, and in a credit organisation each participant pays at least 30% of its contribution before registration. Otherwise the charter sets the amount, paid in full within the term in the founding documents and no later than a year after registration. Contributions can be cash, securities, property or rights with a money value. A non-cash contribution above 10,000 BCU needs an appraisal organisation, and the participants approve its value unanimously.

How do banking and money transfers work?+

In the Company + Bank Account package we open an account with an EMI or online bank remotely, once the certificate is issued. IT Park's guide notes that a corporate bank account can be opened once registration is approved. We arrange a local account on request, quoted separately, after checking the currency-control rules that apply to it. The Investment Law guarantees free transfer of foreign-currency funds into and out of Uzbekistan after taxes and fees, and repatriation of assets when an investment ends.

What is the catch for a foreign founder?+

Paperwork in Uzbek, and signatures. Founding documents are filed in the state language, and lex.uz, the national legislation database, marks its Russian versions of laws as unofficial translations: the official text is Uzbek. Papers from Germany, Austria or Greece cannot rely on an apostille, because the Convention is not in force between those states and Uzbekistan. The signature rule bites hardest. Online, every non-citizen founder signs the request with their own electronic digital signature, so before the name is reserved we agree how you sign: online, or through a representative filing in person.

What does the 2026 LLC Law mean for a new company?+

Law ZRU-1137 of 21 April 2026 replaced the 2001 law on limited and additional liability companies on 22 July 2026, and ZRU-1158 amended it from 25 July 2026. For a new company, one participant is enough, but it cannot be another one-person company unless that is a joint-stock company with a single shareholder. Above 50 participants, a company has a year to convert or a court liquidates it. There is no general minimum capital. The full name must include "masʼuliyati cheklangan jamiyat" (the short name may use "MChJ"), and a company with foreign participation may show its founders' nationality in it.
