Tajikistan in brief

Quick to register, strict with dormant companies.

In Tajikistan the tax authority registers companies, and it works as a single window: no legal review of the file, no documents beyond the statutory list. It has 24 hours from filing to issue the certificate and the company's identification number, and statistics and social insurance registration come out of the same filing. There is no state duty. Foreign founders normally use an LLC. One founder is enough and can also be the director; the minimum capital is 500 somoni, about $54 at the National Bank rate of 9 October 2026. The 2025 investment law applies the rules in force on the investment date for 15 years, with exceptions, and guarantees the transfer of after-tax income. Goods producers pay 13% corporate income tax (CIT) instead of 18%.

The conditions are mostly paperwork and deadlines. The law wants the documents handed over in person, so a founder abroad signs a power of attorney and our local team files. Foreign papers need a Tajik translation certified by a notary, plus an apostille or legalisation unless a treaty waives it; Austria, Belgium and Germany objected to Tajikistan joining the Apostille Convention, so papers from those three need full legalisation. The tax authority does not check the capital at registration, but it must be paid within a year, and a company that never forms it can be liquidated. The tax authority can also ask a court to close a company that files no tax, statistical or social insurance reports for more than six months running. For banking, an EMI account opens remotely, while Orienbank or Amonatbank need a 1-2 business-day visit.

One window, the tax authority, registers an LLC within 24 hours of filing and charges no state duty. One founder can be director, minimum capital is 500 somoni, accounts abroad are allowed, and the 2025 investment law has a 15-year stabilisation clause. Producers pay 13%.

Conditions: the file goes in by hand (our team, by PoA) with notarised Tajik translations and, unless a treaty waives it, an apostille or legalisation (full legalisation for Austria, Belgium and Germany). Capital unpaid after a year, or over six months without reports, can end in liquidation.

What Tajik law actually demands.

01
500 somoni, paid within a year - The minimum capital. Nothing has to be paid before registration, but the full amount and proof of it are due within one year, or the company faces liquidation.
02
One to 30 founders - Individuals or companies. A sole founder can be the director, but cannot itself be a one-person company.
03
The beneficial owner, named - The application identifies the beneficial owner. A corporate founder adds a shareholder-register extract, a no-tax-debt certificate and beneficial-owner documents.
04
A legal address on file - A copy of the address document goes into the filing. Failing to update the address in the state register on time can lead to a liquidation claim in court.
05
Tajik name and round seal - The full name in Tajik must include "doroi mas'uliyati mahdud", and the company must have a round seal carrying that name.
06
Apostille and Tajik translation - Foreign papers need a notarised Tajik translation and, unless a treaty waives it, an apostille or legalisation. From Austria, Belgium or Germany: full legalisation only.

FAQ

Tajikistan company registration, answered honestly.

Can I register a Tajik company without travelling?+

Yes. The law has the applicant hand the documents over in person, but the applicant can be your representative. You sign a power of attorney before a notary and add an apostille or legalisation - full legalisation if it is issued in Austria, Belgium or Germany - and our local team files it. A trip comes into the picture only if you want a local bank: Orienbank and Amonatbank need a 1-2 business-day visit.

How much does it cost?+

Turnkey registration starts from $3,400 including the legal address for the first year, the seal and the founder's tax number; with an EMI or online bank account, from $5,300. Help with a local account at Orienbank or Amonatbank, which needs a 1-2 business-day visit, is from $3,900. State registration carries no state duty, and notary and translation costs are itemised in your quote. From the second year the legal address is $1,900 a year.

How long does it take?+

The tax authority's part is fast: it has 24 hours from filing, and if it runs over it still has to register the company. Our timeline is 5-6 business days from receipt of your signed and apostilled power of attorney, and that covers the Tajik paperwork, the filing, the seal, the tax number and the electronic signature. Before that, the pace is set by your notary and by whether your documents take an apostille or full legalisation.

Is there really a minimum capital?+

Yes: 500 somoni, about $54 at the National Bank rate of 9 October 2026. Nothing has to be paid before registration. The founders have up to one year from registration to pay it in full and file proof, and if the capital is never formed the tax authority can apply to court to liquidate the company.

What taxes will the company pay?+

CIT is 18%, or 13% for goods producers and 20% for financial institutions and mobile operators. Small businesses with income up to TJS 1 million a year can be taxed at 6% under the simplified regime. VAT registration applies above TJS 1 million of turnover over 12 months, at 14% until the end of 2026 and 13% from 1 January 2027. That 2027 cut comes from the Tax Code as amended to June 2024, so check it against the current text before you price long contracts on it. Dividends to a non-resident owner carry 12% withholding before treaties, and the employer pays 20% social tax on salaries. The CIT return is due by 1 April, with advance payments on the 15th of each month.

How does banking work?+

The Company + Bank Account package opens an account with an EMI or online bank remotely. A Tajik LLC may keep accounts abroad, but it must notify the National Bank and the tax authority within 10 working days of opening one. Exporters should plan a local account too, because export proceeds have to reach an authorised bank within the contract term. A local account at Orienbank or Amonatbank comes after the registration certificate, the legal basis for opening it, and needs a 1-2 business-day visit.

Which documents need an apostille?+

The foreign papers in the file: founders' IDs, the founder's decision, the power of attorney and, for a corporate founder, its registration extract, shareholder-register extract, no-tax-debt certificate and beneficial-owner documents. Each needs a Tajik translation certified by a notary and an apostille or legalisation, unless a treaty with your country waives it. Tajikistan joined the Apostille Convention in 2015, but Austria, Belgium and Germany objected, so the convention does not apply between them and Tajikistan and their documents need full legalisation. The tax authority may not ask for anything outside the statutory list.

Can I be the only founder and the director?+

Yes. A single founder may own the LLC and run it as director, provided the sole founder is not itself a one-person company. Founders can be individuals or companies, up to 30. The application names the beneficial owner, and a corporate founder adds a shareholder-register extract, a certificate of no tax debt and beneficial-owner documents. If you plan to live in Tajikistan and manage the company there, we confirm the visa and work-permit position for your case.

What catches founders out after registration?+

Apart from the capital deadline, it is the six-month rule. The tax authority can ask a court to liquidate a company that files no tax, statistical or social insurance reports, or pays no taxes, for more than six months in a row. A company that does not update its address in the register on time is exposed the same way. Budget for accounting from day one; ours starts from $250/month.

Is a free economic zone worth it?+

Only if the business actually operates inside the zone. The exemption applies to activity there and nothing else, and it lifts every Tax Code tax except social tax and personal income tax. PwC lists five zones, with minimum investments of $500,000 for manufacturing, $50,000 for trading and $10,000 for services. On manufacturing the sources disagree: FEZ Panj's regulation, amended in March 2026, says $300,000 for production. It also charges $5,000 for the certificate and requires activity to start within two years of registration. The zone administration issues the FEZ certificate, which then goes into the registration file.
