Register a company in The Gambia
, a river country with a one-day registry.A private company limited by shares, filed in English with the Ministry of Justice, which says registration can be done within a day. Shareholders and directors may live abroad, and GIEPA's investor guidance names no general cap on foreign ownership. Corporate tax is 27%. We are equally plain: the registry wants the company's TIN card in the file, each non-resident needs a local agent, tax is at least 1% of turnover, and The Gambia is outside the Apostille Convention.A private company filed in English at the Ministry of Justice, which says registration can be done within a day. A one-day registry, if the papers arrive in the right order.
The Gambia is a narrow river country with Senegal on every side except the Atlantic coast. It belongs to ECOWAS and ratified the African Continental Free Trade Area agreement in April 2019. Companies are registered by the Companies Department of the Attorney General's Chambers and Ministry of Justice, at its Banjul office or the KMC branch in Kanifing, and the ministry says the process can be completed within a day. Filings are in English. GIEPA, the investment agency, names no general cap on foreign ownership and states that dividends and after-tax profits can be transferred home through the banking system without conditions. A Special Investment Certificate, open to foreign investment of at least US$250,000, brings five years without income tax in priority sectors and eight in priority areas.
Most of the conditions are about order. The registry's checklist includes a copy of the company's TIN card, so the tax number comes first: it is applied for at a Gambia Revenue Authority (GRA) tax office or online, before the registration form goes in. A shareholder or director who lives abroad must name an agent in The Gambia. Corporate tax is the higher of 27% of net profit or 1% of turnover, 2% if the accounts are unaudited, so a year with a loss still produces a bill. The Gambia is not party to the Apostille Convention. The dalasi floats, and the Central Bank may restrict buying, holding or transferring foreign exchange for up to twelve months, which its Board can extend by twelve more. The registry's fee bands name no minimum share capital. We confirm the capital rules, the number of directors and the yearly registry filings for your company before anything is filed.
A river country beside Senegal, in ECOWAS and AfCFTA. The Ministry of Justice registers companies in English, within a day, it says. GIEPA names no general foreign-ownership cap and says after-tax profits transfer freely. SIC holders (foreign, from US$250,000) get 5-8 years without income tax.
Order matters: the TIN card goes into the registry file, and non-residents need a local agent. Tax is the higher of 27% of profit or 1-2% of turnover. Not an Apostille country. The dalasi floats, and the Central Bank can restrict foreign exchange for a time.

What Gambian law actually demands.
TIN first, then a day at the registry.
The Ministry of Justice checklist sets the order: name, tax number, then the application with everything attached. Times below are the authorities' published figures; our own preparation time is set in your quote.Name, then the company TIN, then Form SWR 7 with everything attached - within a day at the registry, by the ministry's own figure. Licences and the bank follow.
We check your activity against GIEPA's licence list and settle who acts as agent for any non-resident. Then we size the share capital against the fee bands.
Name search and reservation at the Companies Department for GMD 500, while the Memorandum and Articles are drafted in English.
Application at a GRA tax office or online, with the Memorandum and Articles. The registry will want a copy of the card.
Form SWR 7 with the Memorandum and Articles, the TIN card, IDs of shareholders, directors and secretary, and any agent's particulars. GMD 1,000 plus the incorporation fee.
Operational licence from Banjul City Council or Kanifing Municipal Council, plus a ministry licence in regulated sectors. NEA clearance applies to projects that could harm the environment.
The bank account opens in person at a Gambian bank or remotely with an EMI. Hiring brings SSHFC registration, plus permits and payroll tax for each foreign employee.
The tax number comes before the company here. The registry's checklist asks for a copy of the company's TIN card in the application, so the GRA gets the Memorandum and Articles first and the registry second. Book the registry day before the card exists and the file is incomplete.

A 27% profit tax with a turnover floor under it.
Corporate tax is the higher of 27% of net profit or 1% of turnover on audited accounts, and 2% of turnover on unaudited ones; the GRA's online calculator applies the same rule. VAT is 15% and becomes compulsory once taxable supplies reach GMD 2,000,000 in a tax year, with exports of goods and services at 0%. Dividends carry a 15% final withholding tax whether the shareholder is resident or not. PwC publishes no summary for The Gambia, so these figures come from the GRA's own FAQ, its brochures with rates dated 2018 and its live corporate-tax calculator; the social security rates are SSHFC's. They are rechecked before filing, and withholding on interest, royalties and fees paid abroad is confirmed for your case.

Can I register a Gambian company without travelling there?+
We have found no rule from the registry or GIEPA that founders must attend, or one on filing by power of attorney, so we confirm the route for your case before anyone books a flight. GIEPA recommends a legal practitioner for the registration steps, and the registry works from its Banjul office and KMC branch. A shareholder or director who lives abroad must have a local agent named in the application. An EMI or online bank account opens remotely; for a Gambian bank account, GIEPA's guidance is a visit to a branch.
How much does it cost?+
Registration starts from $2,400. Official registry fees and a legal address, if you need ours, are quoted separately. With an EMI or online bank account, from $4,300. For scale, the Ministry of Justice charges GMD 500 to reserve the name, GMD 1,000 for business registration and GMD 10,000 to incorporate with share capital up to GMD 500,000, rising in bands to GMD 25,000 above GMD 10,000,000.
How long does it take?+
At the registry, within a day by the Ministry of Justice's own figure. The company's TIN has to exist before that; GIEPA's 2019 guide put it at one day. Our own preparation time is set in your quote. Licences and the bank account come after incorporation, and in a regulated sector the ministry licence is the step to plan around.
What taxes will the company pay?+
Corporate tax is the higher of 27% of net profit or 1% of turnover, 2% if the accounts are unaudited. VAT is 15% once taxable supplies reach GMD 2,000,000 a year, and exports are zero-rated. Dividends carry a 15% final withholding tax. With staff, the employer adds 10% of basic salary to the NPF and 1% IICF, plus a yearly payroll tax for each non-Gambian employee: GMD 10,000 for ECOWAS citizens, GMD 50,000 for others.
What is the catch?+
The turnover floor. A company with a loss still pays 1% of turnover, or 2% if its accounts are not audited. Below a net margin of about 3.7%, the 1% floor is bigger than 27% of profit; without an audit the line moves to about 7.4%. For a thin-margin trading company, audited accounts can halve the tax bill.
Can a foreigner own 100% of the company?+
As far as we can tell, yes. GIEPA's investor guidance names no general cap on foreign ownership, and non-resident shareholders are allowed with a local agent. The one exception we found is foreign exchange bureaus: the Central Bank's May 2024 guidelines require applicants to be of Gambian nationality. Other regulated sectors need their own licence, and the registry's fee bands name no minimum share capital.
How does banking work?+
The Central Bank of The Gambia lists 11 licensed commercial banks, and GIEPA's investor steps have you open the company account in person at a branch. Our Company + Bank Account package opens an account with an EMI or online bank remotely instead, with the KYC file prepared by us; a local account is quoted separately. The dalasi floats freely, and the Central Bank's policy allows temporary restrictions on buying, holding or transferring foreign exchange.
Do my documents need an apostille?+
The Gambia is not party to the Apostille Convention, so an apostille is not automatically accepted there. For individual founders the registry asks for a copy of a national ID card, passport or driving licence. A branch of a foreign company files the parent's Memorandum and Articles, with a certified English translation if they are in another language. We check how any other foreign document must be certified before you sign it.
Are there tax incentives for investors?+
Two schemes run through GIEPA. A Special Investment Certificate needs at least US$250,000 of foreign investment and an award fee of US$1,000; it brings five years without income tax in priority sectors or eight in priority areas, plus import duty relief on capital goods. An EPZ licence, for up to ten years, removes corporate or turnover tax for companies exporting at least 80% of output. Exporters outside a zone that ship 30% or more get a 10% reduction for up to five years.
What has to be filed every year?+
With the GRA: the corporate tax return and final payment by 31 March, quarterly declarations and instalments by the 15th after each quarter, monthly PAYE, VAT and withholding schedules by the 15th, and an annual withholding statement two months after the year ends. With foreign staff, payroll tax is due by 31 January, and residence and work permits cost GMD 10,000 a year for ECOWAS nationals and GMD 40,000 for others, expiring every 31 December. What the registry expects each year is confirmed when we take the company on.
