Requisitos exigidos para el registro de empresas

El registro de una empresa en Santa Lucía se ha simplificado al máximo, pero es necesario cumplir con las condiciones obligatorias: facilitar la información necesaria a los agentes locales contratados en el momento de la apertura y seleccionar el nombre de la empresa. Debe contener una abreviatura que indique su formato. Los no residentes constituyen una sociedad en la jurisdicción en forma de sociedades internacionales (IBC), de inversión, de holding y de responsabilidad limitada. La más popular es la primera modalidad, la cual puede fundar un único accionista.

Constituir una empresa en Santa Lucía es un procedimiento progresivo durante el cual:

  • Se prepara un plan de negocio detallado con una descripción del proyecto. Seguidamente, se presenta al Ministerio de Comercio, solicitando que se apliquen deducciones y beneficios fiscales.
  • Se comprueba la disponibilidad del nombre.
  • Se redactan los artículos de incorporación, los estatutos de la sociedad (estos son los únicos documentos mercantiles que están disponibles públicamente), la notificación sobre el registro de la oficina y el juramento de los propietarios, que demuestran que han alcanzado la mayoría de edad y asumen la responsabilidad de las acciones que lleven a cabo.
  • Se presenta la documentación al registro mercantil y se paga la tasa de registro.
  • Se recibe un certificado (el procedimiento dura unos 5-6 días si los documentos están correctamente cumplimentados).
  • Se recibe un permiso especial cuando se adquieren acciones de empresas locales.
  • Se elabora una licencia (si la actividad requiere permisos) en la Autoridad de Supervisión Financiera.

Una empresa registrada está obligada a conservar los documentos de origen sobre su situación financiera y las transacciones realizadas en su jurisdicción. Para operar, necesitará un sello (en la isla se fabrican de caucho, tendrá que ir al continente a por el sello en relieve). La sociedad también recibirá un número de identificación fiscal y deberá inscribir a los empleados en el servicio de la seguridad social.
