Aruba es un territorio independiente que pertenece al Reino de los Países Bajos. Posee las características y ventajas propias de un offshore clásico, cuenta con una economía estable y una infraestructura turística desarrollada.

El registro de una empresa en Aruba está regulado por una serie de instrumentos normativos y legales, siendo el más importante el Reglamento de Sociedades de 1988. Se establece la nueva forma organizativa y jurídica de las personas jurídicas, la AVV (Aruba Vrijgestelde Vennotschap). Se trata de una sociedad que está completamente exenta de impuestos, un análogo de la sociedad de responsabilidad limitada.

A raíz de los cambios legislativos posteriores, ahora es posible crear este tipo de empresas:

  • A.B.V. (Netherlands Antilles Besloten Vennootschap): empresa cerrada de las Antillas Neerlandesas.
  • V. (Naamloze Vennootschap): sociedad limitada de tipo abierto.
  • V. (Vrijgestelde Vennotschap): sociedad que tiene las características de una SRL cerrada.
  • Stichting - un fondo privado en el que no hay accionistas.

La modalidad más atractiva para los inversores extranjeros es la primera, la cual goza de las máximas ventajas fiscales.

Principales ventajas que ofrece la apertura de una empresa en Aruba:

  • Precio asequible: a partir de mil dólares.
  • Eficiencia: de 10 a 30 días naturales, en función de la forma organizativa y jurídica elegida para la sociedad.
  • Ausencia de control de divisas para los no residentes.
  • No existen requisitos relativos a la residencia de los accionistas.
  • Las empresas no están obligadas a someterse a una auditoría anual.
  • Máxima confidencialidad sobre la información relativa a las cuentas bancarias de una persona jurídica.

Características del procedimiento de constitución

Aruba es un país offshore del tipo clásico, por lo que posee las condiciones más favorables para los inversionistas extranjeros que deseen constituir una sociedad en esta jurisdicción. Para crear una empresa A.V.V. exenta de impuestos, necesita lo siguiente:

  • Asegurar la presencia de al menos dos participantes (personas físicas y/o jurídicas).
  • Disponer de una dirección legal y oficial de la empresa.
  • Nombrar a un director.
  • Elaborar un memorando de entendimiento (protocolo).
  • Preparar los estatutos traducidos al neerlandés y presentarlos para su aprobación al Ministro de Justicia.
  • Reunir el capital autorizado de la sociedad, que no debe ser inferior en ningún caso a 6.000 dólares.
  • Emitir al menos una acción, incluyendo una acción al portador.
  • Pagar el impuesto del timbre en caso de inscripción.

Las empresas de este tipo están sujetas a restricciones en cuanto al tipo de actividad: no pueden dedicarse a la prestación de servicios bancarios, de seguros y algunos otros.

El registro de una empresa en Aruba en la forma organizativa y jurídica de N.V. tiene una cierta especificidad en comparación con el procedimiento anterior:

  • El capital autorizado de dicha organización no debe ser inferior a 28 mil dólares estadounidenses (se permite depositar tanto en moneda local como extranjera).
  • Al menos un 20% de esta cantidad debe ser abonada de forma efectiva en el momento del registro de la entidad legal.
  • Es necesario garantizar la realización de una contabilidad de obligado cumplimiento (aunque no hay necesidad de presentar informes obligatorios ya que Aruba es un paraíso fiscal).
  • Al menos uno de los participantes de la sociedad debe estar presente en la jurisdicción en el momento de llevar a cabo las actividades de registro.

Para ciertas sociedades como el "fondo privado" o la N.A.B.V., no existen requisitos legislativos sobre el importe mínimo del capital autorizado.
