Oregon LLCs are governed by ORS Chapter 63, and their articles go online through the Oregon Business Registry to the Secretary of State's Corporation Division. Articles of Organization cost $100, nonrefundable and paid in advance, and Articles of Incorporation for a business corporation cost the same. The division publishes 1-3 business days for registry filings, and an online filing usually starts processing within one business day. Oregon has no general sales or use tax. It has no general state business licence either: registering with the Corporation Division is not a licence, and licences are issued by profession or industry. The operating agreement may be written or oral and is not filed with the state, and changing the registered agent later costs nothing.
The registered agent has to be an Oregon resident whose business office is the registered office, or a registered business entity, and the office has to be a physical street address in Oregon, not a mail-forwarding business or a virtual office. A founder abroad cannot fill the role. The articles list each organiser and at least one member, manager or authorised representative by name and address, and filed information becomes public record. The $100 annual report is due on the anniversary of the original filing, and for an LLC a missed one is grounds for administrative dissolution. Corporate excise tax for a C-Corp doing business in Oregon is 6.6% on the first $1 million of taxable income and 7.6% above, never less than the $150 minimum. LLC or C-Corp, one owner or several. With two or more members the LLC is a partnership by default, which can bring Form OR-65 and the $150 Oregon minimum, plus federal withholding on foreign partners' share of effectively connected income.
The name must include 'LLC', 'L.L.C.' or 'limited liability company'. Holding it in advance costs $100, the same as the filing itself, for 120 days.

The $100 Oregon annual report falls due one year after the articles were filed. A foreign-owned single-member LLC also sends Form 5472 with a pro forma 1120, generally by the 15th day of the 4th month after its tax year ends.
The quiet trap is the CAT's registration line, which sits below its tax line. A business must register within 30 days of reaching $750,000 of commercial activity in a year, although the tax is only paid above $1 million: $250 plus 0.57% of taxable Oregon commercial activity over that mark, after a 35% subtraction for the greater of cost inputs or labour costs. LLCs and partnerships are covered too. The annual return is due by the 15th day of the fourth month after the tax year ends.

Can I form an Oregon company without travelling to the US?+
Yes. The articles are filed online through the Oregon Business Registry, and an Oregon LLC can be organised by any individual aged 18 or older, or by an entity. The registered agent at an Oregon street address is in our package for the first year. No SSN is needed for the EIN: as an international applicant you can phone the IRS on 267-941-1099 (not a toll-free number), or fax or mail Form SS-4 with 'foreign' on line 7b. For banking we prepare remote applications to fintech platforms, and use a traditional bank where you have a US footprint.

Formation starts from $2,400 all-in, including the Oregon filing fee ($100), the registered agent for the first year, the EIN and the operating agreement. What taxes will the company pay?+
It depends on the entity. A C-Corp doing business in Oregon pays 21% federal tax and Oregon excise tax of 6.6% on the first $1 million of taxable income and 7.6% above, with a $150 minimum under $500,000 of Oregon sales, and dividends to a non-resident owner carry 30% withholding unless a treaty or the Code lowers it. A single-member LLC is disregarded for federal income tax and Oregon follows that, but a foreign-owned one still files Form 5472 with a pro forma 1120 or risks a $25,000 penalty. An LLC with two or more members files Oregon Form OR-65 as a partnership once it has Oregon-source income or an Oregon-resident partner. There is no general sales tax to add.
Can Oregon tax a company that made no profit?+
Yes. The minimums come first: a C-Corp doing business in Oregon pays at least the minimum excise tax, $150 while Oregon sales stay under $500,000 and rising in steps to $100,000 at $100 million and above, and an LLC taxed as a partnership owes $150 when it does business in Oregon and has to file Form OR-65. Then there is the Corporate Activity Tax, worked out on commercial activity rather than profit: any business with more than $1 million of taxable Oregon commercial activity pays $250 plus 0.57% of the amount above $1 million, after subtracting 35% of the greater of its cost inputs or labour costs.
LLC or C-Corp?+
If you are running a trading or service business from abroad, the LLC is usually our starting point. A single-member LLC is disregarded for federal income tax, and Oregon follows the same classification. A second member makes it a partnership, which can mean Form OR-65, a $150 Oregon minimum when it does business in Oregon, possible extra Oregon filings for nonresident owners (Forms OR-OC and OR-19), and federal withholding on foreign partners' share of effectively connected income at 37%, or 21% for corporate partners. If investors will buy shares, we start from the C-Corp, which means 21% federal tax plus Oregon excise tax, an annual shareholders' meeting and kept records. S-Corp status is closed to you. Non-resident aliens cannot hold S-Corp shares.
How does banking work?+

When is the annual report due, and what if it is missed?+
On the anniversary of the original filing, every year, not on a fixed calendar date. The fee is $100 for an Oregon LLC or corporation, an online filing is done in minutes, and the state mails a renewal notice about 45 days ahead to the registered office, which is why the agent's address matters. For an LLC, a missed report or unpaid fee is grounds for administrative dissolution. A company dissolved for less than 5 years can reinstate online or on paper by paying a reinstatement fee plus the missed annual fees; the state's pages give no amount, so we confirm it for your case.
Whose names become public, and is there a BOI report?+
The articles name each organiser and at least one member, manager or authorised representative, with addresses, and the Secretary of State notes that filed information becomes public record and suggests you may want to avoid giving a home address. Its page on ownership reporting describes only the federal FinCEN rule. FinCEN's final rule, issued on 11 August 2026 and in force from 14 August 2026, made the 2025 exemption permanent: companies formed in a US state, including those owned from abroad, file no BOI report. Only companies formed under a foreign country's law that register to do business in a US state still report, and only their non-US beneficial owners.
I already have an LLC in another state. Does it need Oregon?+
Only if it does business in Oregon, and the Secretary of State's own test is blunt: if you expect to profit from your activities in Oregon, you are probably doing business there. The company then files an Application for Authority as a 'foreign' LLC, which in Oregon law means formed outside Oregon, not owned from abroad. The fee is $275, and each annual report after that is $275 rather than $100. The application can be filed online, and we handle it as a state qualification, from $700.
