New Mexico still runs its original Limited Liability Company Act, Sections 53-19-1 to 53-19-74 NMSA 1978: bills to replace it with the revised uniform act died in 2015 and again in 2023. Every business filing now goes through the Secretary of State's online portal; paper is no longer accepted. Section 53-19-63 sets the fee for the Articles of Organization at $50. The articles give the registered agent, the registered office and, if it is elsewhere, the principal place of business. They do not have to name the members. Once the LLC exists, the Secretary of State asks it for no annual or biennial report; a 2007 bill to add biennial LLC reports died. Registering with the Taxation and Revenue Department, which anyone doing business in New Mexico must do, costs nothing.
The catches are mostly practical. The Secretary of State's filing guide gives no processing time - the portal emails the filer after review - and filing fees are non-refundable. Its website generally blocks access from foreign countries, so a founder abroad may not be able to open the portal or the public business record directly; the office helps by email instead. Tax is the other half. New Mexico has a gross receipts tax instead of a sales tax, imposed on the business at a 4.875% state rate plus county and city rates. A seller with no physical presence in the state owes it once it had at least $100,000 of taxable gross receipts in the previous calendar year. A C-Corp also owes a flat 5.9% corporate income tax and a $50 franchise tax a year.

The name must contain 'LLC', 'L.L.C.', 'LC' or another permitted form and be distinguishable from names on the state's record. A $20 reservation holds it for 120 days, with no extension.

Can I form a New Mexico company without travelling to the US?+
Yes, though in practice someone in the US handles the portal. Filing is online only, and the Secretary of State generally blocks its website for visitors from foreign countries; from abroad, the office helps by email at Business.Services@sos.nm.gov, and direct access may not always be possible. We file through the portal from the US. The EIN needs no SSN: international applicants can call the IRS on 267-941-1099 (not toll-free) or send the SS-4 by fax or mail.

Will the owners' names be on the public record?+
Not through the articles. They must name the registered agent and the registered office, and they need not name the members. Commenting on a 2023 bill, the Secretary of State's office put it plainly: under current law an LLC can be created 'merely by listing a registered agent', who may or may not be a member. That bill, SB 209, would have added each member's name and address to the articles, and it died. The Secretary of State does not collect beneficial ownership information either. The IRS still learns who the responsible party is from the SS-4.

If you also need an ITIN, the IRS says to allow 7 weeks, and it can take 9-11 weeks if you apply from overseas.
What taxes will the company pay?+
It depends on the entity. A C-Corp pays 21% federal and 5.9% New Mexico tax on taxable income, plus the $50 franchise tax, and dividends to a non-resident owner carry 30% withholding unless a treaty or the Code lowers it. A single-member LLC is disregarded for federal income tax, though a foreign-owned one still files Form 5472 with a pro forma 1120. A multi-member LLC doing business in New Mexico files a state pass-through return and withholds tax from each non-resident owner's share of net income; it may also elect, year by year, to pay the tax itself at the higher of the personal or corporate rate, currently 5.9%. Any company doing business in the state also deals with gross receipts tax.
How does the gross receipts tax work?+
It is New Mexico's tax on a business's receipts, and the law imposes it on the business, not on the buyer. Businesses commonly pass it on, and then it must appear as a separate line on the invoice. The state rate is 4.875%; counties and cities add their own, and the rate generally follows where the goods or the product of a service are delivered, with exceptions such as professional services. A seller with no physical presence in the state owes it once it had at least $100,000 of taxable gross receipts in the previous calendar year. Rates can change on 1 January and 1 July.

LLC or C-Corp?+
For a holding or service company run from abroad, we usually start from the LLC: no state annual report, no member list required in the articles, and pass-through treatment federally, with Form 5472 if a single foreign owner holds it. If you plan to sell shares to investors, the C-Corp is the vehicle: 21% federal plus 5.9% state tax, the $50 franchise tax and a $25 report every two years, with an articles fee of $100 to $1,000 depending on authorised shares. An S-Corp is closed to you, since non-resident aliens cannot be S-Corp shareholders.
Does a New Mexico company file a BOI report with FinCEN?+
No. FinCEN's final rule took effect on 14 August 2026 and made the March 2025 exemption permanent: companies formed in a US state, foreign-owned ones included, file no BOI report. Only companies formed abroad that register to do business in a US state still report, and only their foreign beneficial owners. The Secretary of State does not collect beneficial ownership information either.
My LLC is from another state. Can it operate in New Mexico?+
Yes, after registering. In state law a 'foreign' LLC is one formed in another US state; the word says nothing about where its owners live. It registers with the Secretary of State before transacting business here; the fee is $100. An out-of-state corporation applies for a certificate of authority instead, at $1 per 1,000 authorised shares represented in New Mexico, from $200 to $1,000. Either kind registers with the Taxation and Revenue Department too if it does business here.
