Colorado runs formation through one online system at the Secretary of State. An LLC is formed with Articles of Organization under the Colorado Limited Liability Company Act, a corporation with Articles of Incorporation under the Colorado Business Corporation Act. Both cost $50, and neither can be filed on paper. Online documents are filed in real time, and an LLC's Articles take effect on payment unless you set a delayed date up to 90 days out. After that the state wants one Periodic Report a year, at $25. On tax, the Department of Revenue applies one flat rate to C corporations and individuals alike - 4.4% for tax year 2025 - and the state sales tax is 2.9% before local taxes.
The conditions are about people and dates. Since 1 July 2025 (House Bill 24-1137) a registered agent is either an individual aged 18 or over with a valid Colorado driver's licence or ID and a Colorado home or usual place of business, or an entity in good standing with a Colorado office open in business hours. A founder abroad with no Colorado ID cannot be their own agent. The principal office street address in the Articles is public. The Periodic Report can be filed two months either side of the report month. For a January month, the company is noncompliant if nothing is filed by 31 March and Delinquent if nothing is filed by 31 May, and the cure costs $100. Over all of it sits the IRS: a single-member LLC owned from abroad files Form 5472 with a pro forma Form 1120, by fax or post, and missing it costs $25,000.

An EIN by fax usually comes within 4 business days, or in about 4 weeks by post. Banking starts once the EIN is in. A founder who also needs an ITIN should allow 7 weeks, or 9-11 weeks when applying from abroad.
Can the company get a US bank account?+
Yes, and the second package exists for it. We choose between a fintech platform and a traditional bank for your file, prepare the application for Mercury or Relay-class platforms, and set up ACH, wires and Stripe. A traditional bank is a route where the business has a US footprint. The decision to open the account stays with the bank.
Can I be my own registered agent?+
Only with a Colorado ID and a Colorado home or place of business. Since 1 July 2025 (House Bill 24-1137) an individual agent needs a valid Colorado driver's licence or ID and a Colorado primary residence or usual place of business; an entity agent must be in good standing with a Colorado office open in business hours. P.O. boxes and commercial addresses cannot be the agent's street address. For a founder abroad this is the biggest practical limit, which is why the first year of our agent is in the package.
What does a foreign-owned LLC file with the IRS?+
A single-member LLC wholly owned by a foreign person is treated as a corporation for Form 5472. It files Form 5472 with a pro forma Form 1120 by the 1120 due date, the 15th day of the 4th month after its tax year ends. It cannot be e-filed: it goes by fax or post to the IRS in Ogden. The penalty for not filing is $25,000, plus $25,000 for each 30 days the failure runs on beyond 90 days after an IRS notice.
LLC or C-Corp?+
An LLC fits a founder who wants profit taxed through the owners: one owner makes it a disregarded entity, two or more a partnership. A partnership LLC withholds US tax on a foreign member's share of effectively connected income - 37%, or 21% for a corporate member. A C-Corp pays 21% federal tax, plus Colorado's rate if it does business there. It suits a company that will issue shares to investors. S-corp status is closed to non-resident owners, and an LLC that elects corporate tax on Form 8832 cannot change again for 60 months.
Do I have to report beneficial owners?+
Not for a company formed in Colorado. The Secretary of State does not collect beneficial ownership information, and FinCEN's final rule, effective 14 August 2026, exempts US companies from BOI reports. Only companies formed abroad and registered to do business in a US state still report, and only their foreign owners.
What happens if the Periodic Report is missed?+
You can file it from two months before to two months after the report month shown on the company's Summary page. Later than that, the $50 late penalty applies. For a January report month, the company is noncompliant if nothing is filed by 31 March and Delinquent if the report is still missing on 31 May; it then files a Statement Curing Delinquency ($100). After five years or more, the cure also needs a statement under penalty of perjury, an affidavit of authority and a government-issued photo ID.
