Cheap to keep, but public about who owns it.
Arizona forms companies through the Arizona Corporation Commission (ACC) rather than the Secretary of State, and the filing runs online through the Arizona Business Center. An LLC exists once its Articles of Organization take effect. The state fee is $50, or $85 with expedited review, and $400 on top of the filing fee buys two-hour service. Where Arizona saves money is after formation: the ACC requires no annual report from LLCs, and its LLC fee schedule lists no annual fee or franchise tax. Corporations pay 4.9% state tax on net income, with a $50 minimum. If the business will operate in Arizona anyway, forming here avoids the $150 Foreign Registration Statement that an out-of-state LLC files to qualify.
The costs are privacy and a little paperwork. Arizona's Articles are public and name the owners: every member of a member-managed LLC, or the managers plus each member holding 20% or more of capital or profits. Every company also needs a statutory agent (Arizona's term for the registered agent) with an Arizona street address. An individual agent must be a permanent, full-time Arizona resident and an LLC cannot be its own agent, so a founder living abroad cannot take the role personally. If the agent's street address is outside Maricopa and Pima counties, the LLC must also publish its notice three times in a newspaper within 60 days. Regular ACC review typically takes 14-16 days. Taxable sales, retail included, need a TPT licence from the Department of Revenue first.

What Arizona law actually demands.
From first call to an approved Arizona LLC.
The ACC posts processing times every Monday; its FAQ puts regular review at 14-16 days and expedited review at 3-5. Two choices come first because they change the paperwork: who manages the LLC, and which county its statutory agent sits in.Structure and agent county first, then the Articles (14-16 days, 3-5 expedited), the EIN by fax (generally within 4 business days), then the operating agreement and banking.
LLC or C-Corp, member- or manager-managed. The second choice decides whose names go on the public Articles.
We check the name against ACC records. A $10 reservation holds it for 120 days and cannot be renewed.
Form L010 goes to the ACC with the cover sheet, the member or manager structure attachment and the agent's signed acceptance. Without the attachment, the ACC rejects it.
SS-4 for a responsible party with no SSN or ITIN, faxed so the IRS can fax the number back.
The agreement is signed and kept in the company records. It is not filed with the ACC. Bank or fintech applications go out once the EIN is issued.
An LLC files nothing with the ACC, but a foreign-owned single-member LLC files Form 5472 with a pro forma 1120, generally by the 15th day of the 4th month after year-end. A corporation files its $45 ACC report by the date the ACC assigns.
The quiet trap is publication. If the statutory agent's street address is outside Maricopa and Pima counties, the LLC must run its notice three times in a newspaper in the agent's county within 60 days, and only after the ACC approves the Articles. The ACC says it will tell you by letter. The notice repeats what the Articles say, member names included.

Yes. The Articles go to the ACC online through the Arizona Business Center, and the statutory agent signs its own acceptance. No SSN is needed for the EIN: international applicants can call the IRS on 267-941-1099 (not toll-free) or send the SS-4 by fax or mail. For banking we prepare remote applications to fintech platforms and use a traditional bank where you have a US footprint.

Will my name be on the public record?+
Usually, yes. This is the real cost of Arizona. The Articles of a member-managed LLC list every member's name and address; a manager-managed LLC lists its managers and each member owning 20% or more of capital or profits. Where newspaper publication applies, the notice carries the same information. A corporation's annual report names shareholders holding more than 20% of any class of shares, and its Certificate of Disclosure covers officers, directors, incorporators and holders of more than 10%. Do I have to publish a newspaper notice?+
For an LLC, only if the statutory agent's street address is outside Maricopa and Pima counties. In those two counties the ACC posts the notice on its website automatically. Elsewhere the LLC runs it three consecutive times in a newspaper of general circulation in the agent's county, within 60 days and never before the ACC approves the Articles. The ACC writes to you if publication is required, and filing the affidavit of publication afterwards is optional.
What taxes will the company pay?+
It depends on the entity. A C-Corp pays 21% federal and 4.9% Arizona tax on net income (minimum $50), and dividends to a non-resident owner carry 30% withholding unless a treaty or the Code lowers it. A single-member LLC is disregarded for federal income tax, though a foreign-owned one still files Form 5472 with a pro forma Form 1120. If the business makes TPT-taxable sales in Arizona, it owes transaction privilege tax: 5.6% at state level for retail, plus county and city rates. Non-residents owe Arizona tax on Arizona-source income, and we confirm the personal rate for your case.
How long does it take?+
The ACC's own estimate is 14-16 days for regular review and 3-5 days with expedited review ($35). Next-day review costs $100 on top of the filing fee, and the clock starts only once the filing is complete and paid. A faxed EIN application generally comes back within 4 business days; by mail, allow about 4 weeks. Banking applications start after that.

LLC or C-Corp?+
For a trading or service business run from abroad, we usually start from the LLC. It files no ACC annual report, and a single-member LLC is disregarded for federal income tax, though a foreign-owned one still files Form 5472 with a pro forma 1120. An LLC with two or more members is a partnership by default and withholds tax on its foreign partners' share of effectively connected income - 37%, or 21% for corporate partners. If you plan to issue shares to investors, we start from the C-Corp: 21% federal plus 4.9% Arizona tax and a $45 annual report. An S-Corp is not open to you, since non-resident aliens cannot be S-Corp shareholders.
Do I need a TPT licence?+
Yes, before the first sale, if the company makes TPT-taxable sales in Arizona; retail is the usual case. The ADOR licence costs $12 per location, and a city or county licence may be needed on top. ADOR's own wording is that TPT is 'actually a tax on a vendor'. The state rate is 5.6%; combined with the county rate it is 6.30% in Maricopa and 6.10% in Pima, before city taxes.
Does an Arizona company file a BOI report with FinCEN?+
No. FinCEN's final rule took effect on 14 August 2026 and made the March 2025 exemption permanent: companies formed in a US state, foreign-owned ones included, file no BOI report. Only companies formed abroad that register to do business in a US state still report their foreign owners.
