Alaska has no personal income tax and levies no statewide sales tax; where a sales tax exists, a municipality sets it. For a foreign-owned single-member LLC that keeps the state layer thin. The Articles of Organization (form 08-0484) are filed online with the Alaska Corporations Section for $250 and post immediately. The Initial Report, due within six months, carries no fee, and after that the company files a $100 Biennial Report every two years. One member is enough. A manager does not have to be a member, and the operating agreement stays with the company instead of going on file. The heavier work is federal: the EIN without an SSN, and Form 5472 every year when a single foreign owner holds the LLC.
The registered agent must be a full-time Alaska resident or a corporation authorised to do business there, physically present at a real Alaska address. An LLC cannot act as agent, and virtual or mail-forwarding addresses are not allowed. The Articles need a six-digit NAICS code, and an online filing becomes non-refundable and a permanent record the moment it posts, so we settle every detail before submitting. Before the company engages in business it needs an Alaska Business License at $50 a year. The Biennial Report is due on 2 January and costs $137.50 once it is postmarked after 1 February; missed reports can end in involuntary dissolution. How long does it take?+
The online filing posts immediately. The EIN by fax generally arrives within 4 business days; by mail it takes about 4 weeks, which is why we fax. The Alaska Business License has a standard processing time of 10-15 business days from March to September. Bank onboarding is the variable part, and we quote the platform's own timing instead of a promise. Paper filings normally take 10-15 business days, longer from October to February.
Who can be my registered agent?+
Only a full-time Alaska resident or a corporation authorised to do business in Alaska. LLCs, LLPs, LPs and out-of-state individuals cannot serve, and the company cannot be its own agent. The agent must be physically present at a real Alaska address; a virtual address or mail-forwarding service is not accepted. Our package includes the agent for the first year. A later change costs $25 and goes by mail or fax, not online.
Do I need an Alaska Business License?+
Yes - the state requires one before the company engages in business. It is a separate application from the Articles: $50 a year, $100 for each endorsement, one business name per licence, and licences cannot be refunded or transferred to a new owner. Standard processing from March to September is 10-15 business days, so it is best filed straight after formation.
When are the Initial and Biennial Reports due?+
The Initial Report is due within six months of formation, costs nothing and reports officers and/or ownership. The Biennial Report is due on 2 January every two years - a company formed in an even year files in even years, one formed in an odd year in odd years - and filing opens on 2 October. It costs $100, or $137.50 when postmarked after 1 February. Missed reports can lead to involuntary dissolution, with reinstatement fees on top.
Is an Alaska LLC anonymous?+
No, and we would not sell it that way. The Initial Report records officers and/or ownership, and when members, managers or owners of 5% or more change and no Biennial Report is due, a Change of Officials form goes in within 90 days. Federal BOI reporting to FinCEN does not apply to US-formed companies - FinCEN's final rule, effective 14 August 2026, made that exemption permanent - but the state record stays.
How does banking work for a non-US owner?+
That is what the second package adds. We decide between a fintech platform and a traditional bank for your file, prepare the application for Mercury / Relay-class platforms and set up ACH, wires and Stripe onboarding. A traditional bank is a realistic route where the business has a US footprint; without one, fintech is the usual answer.
Is Alaska the right state if the business operates elsewhere?+
Often, with two caveats. The $250 filing fee is higher than Washington's $180 or Oregon's $100, and the business licence adds $50 a year. And the Alaska company does not cover operations in other states: a business that actually operates in Washington or Oregon registers there too as a foreign (out-of-state) entity, for $180 or $275, which our state-qualification add-on handles from $700.
