UAQ Free Trade Zone is a government licensing authority of Umm Al Quwain, on Sheikh Mohammed Bin Zayed Road 45 km from Dubai. It works from two sites, Umm Al Thoub and Ahmed Bin Rashid Port, and the whole port complex is classified as part of the zone - four berths on an 845 m quay. Every entity has limited liability: an FZE for one shareholder, an FZC for two to 50, or a branch of an existing company, with 100% ownership. The zone lists more than 1,500 activities. A commercial licence takes 10 similar or 3 different categories, and a consultancy/service licence can sit in the same company. Formation is remote. Profits and capital can be repatriated in full, and the dirham is pegged to the US dollar at 3.6725.
The plain part starts with money. The zone publishes package prices, not a fee schedule, and its own pages disagree: UAQ START, the package with one residence visa, appears at AED 12,500 on one page and AED 13,500 on another, so we confirm the live price before anything is paid. A UAQ FTZ company falls under the federal Corporate Tax Law: 0% on taxable income up to AED 375,000 and 9% above it. A Qualifying Free Zone Person pays 0% on qualifying income and 9% on the rest; the conditions include adequate substance, audited financial statements, transfer-pricing compliance and non-qualifying revenue held to 5% of total revenue or AED 5,000,000, whichever is lower. VAT is 5%, with registration mandatory once taxable supplies and imports pass AED 375,000 a year. It is the zone's stated minimum: AED 300,000, in shares of AED 1,000. The same page says no proof of start-up capital is required and states no paid-up rule. We check with the zone how your capital is recorded before the documents are drafted.
Will the company pay 0% corporate tax?+
The free zone 0% applies only to qualifying income, and only while the company is a Qualifying Free Zone Person: adequate substance in the zone, audited financial statements, transfer-pricing compliance and non-qualifying revenue within 5% of total revenue or AED 5,000,000, whichever is lower. Transactions with individuals are an excluded activity in most cases, and income of a mainland branch is taxed at 9%. A company that does not qualify pays 0% on taxable income up to AED 375,000 and 9% above.
How long does registration take?+
The zone quotes one to two working days for the licence. Before that come the name check and the security checks on passports; after it, visas and the bank account run on their own timelines, which we confirm in your quote. Corporate tax registration is due within three months of incorporation under FTA Decision No. 3 of 2024, the rule the FTA's registration page still cites; we check the FTA's 2026 decision on registration timelines before filing. The FTA lists 20 business days to process a registration.
Can the company open a UAE bank account?+
Yes, if a bank accepts the file. The zone works with partner banks, including the National Bank of Umm Al Quwain, and says plainly that its account-opening assistance is not an approval. We shortlist banks and EMIs that fit your activity and residence, build the KYC file - source of funds, contracts, a business plan - and prepare the meeting, in person or by video where the bank allows.
Can I sell to customers elsewhere in the UAE?+
Not directly. The zone's licence covers business inside the free zone and outside the UAE; for the local market it says to work through an agent or distributor. Under the federal rules the other route is a separately licensed mainland branch or company; a mainland branch of a QFZP is a domestic permanent establishment, and its income is taxed at 9%. Goods moved into the mainland also become subject to customs duty.
How many visas can the company get?+
That depends on the facility and the package. A shared workstation is the minimum, the licence-only LYTE package includes no visa, and the zone's office listing (from 9 sq m) mentions 6+ visas, but no quota table by size is published, so we confirm yours with the zone. Visas run two years, dependants - spouse, children, parents and maids - can be sponsored, and approval rests with the authorities. A package may cover the founder's visa without dependants.
What has to be filed every year?+
The licence renewal, UBO register updates within 15 days of any change, and the corporate tax return within nine months after each tax period. A Qualifying Free Zone Person, or any company with revenue above AED 50,000,000, needs audited financial statements. We also check whether the zone wants accounts filed with it.
What is the catch with the low package price?+
Mostly in what sits outside the package. The zone publishes packages instead of a fee schedule, so extra visas or a larger office have no published price. Its terms rule out refunds and cancellation once a service is paid and used. And the monthly payment plan on its home page shows no total or term; we ask for both in writing before you pay.
