Suriname in brief

Simple to form under the new code. Not a low-tax play.

Suriname sits on the north-east coast of South America, between Guyana and French Guiana, with Brazil to the south. Paramaribo is the capital, and gold and oil lead the exports. The country is a CARICOM member state. Its company law is new: Book 2 of the Civil Code (S.B. 2024 no. 164) now governs the naamloze vennootschap, or NV, and the published commencement resolution sets 1 May 2025 as its start date. One person can found an NV, and Book 2 sets no minimum capital. Shares are registered only; bearer shares cannot be issued. After the deed, the notary registers the company in the trade register kept by the Kamer van Koophandel en Fabrieken (KKF), and the company registers for tax in the online portal of the Belastingdienst, the tax authority.

The deed is executed by or before a Surinamese notary and drawn up in Dutch. Book 2 also allows ministerial model deeds in place of a notary, but we have not confirmed that any exist, so we plan on the notary. The texts we work from do not say whether a founder abroad may sign by proxy, and we agree that with the notary before anything else. Tax is the bigger point. Companies pay a flat 36%, and a 25% dividend tax applies when profits are paid out. BTW (VAT) at 10% applies once turnover passes SRD 1,000,000 in a calendar year. Since June 2021 the SRD has floated. The Trade Register Act leaves KKF registration and annual fees to a state decree, and they are itemised in your quote. The Belastingdienst's checklist for an NV also includes a copy of the lease.

What Surinamese law actually demands.

A notarial deed, in Dutch - The NV is founded by notarial deed, executed by or before a Surinamese notary and drawn up in Dutch. Book 2 lets the minister for economic affairs set model deeds instead; until one is confirmed for your case, we plan on a notary.

NV in the name - The name starts or ends with 'naamloze vennootschap', 'N.V.' or 'NV' and uses Latin characters only. The KKF applies the same rule to abbreviated names.

Shares paid, equity not negative - Registered shares only, at least one carrying profit rights. Each share is paid at least at its nominal value, and the founders declare in the deed that equity at formation is not negative. A contribution in kind needs an opening balance sheet.

A board and a seat in Suriname - Every NV has a board, and the deed names the first directors and where they live. The articles state the place in Suriname where the company has its seat.

ID checks before shares - Shares are issued only after the subscriber's identity is checked, and the ID documents are kept with the shareholder register. The Belastingdienst also asks for the IDs of the director and the shareholders.

Accounts within six months - The board prepares annual accounts and a board report within six months of the year-end and keeps the records for ten years. Under the 2017 Annual Accounts Act, medium and large companies are audited.

One flat rate for companies, and it is 36%.

Companies pay a flat 36% under the Income Tax Act 1922, in the version the Belastingdienst publishes, and a non-resident company pays it on Surinamese-source income such as the profits of a permanent establishment. Dividend tax is 25%, remitted within a month. BTW has applied since 1 January 2023. Its general rate is 10%, exports are zero-rated, and a company registers once its turnover passes SRD 1,000,000 in a calendar year. Can I set up a Surinamese NV without travelling?+

We do not promise that up front. The deed must be executed by or before a Surinamese notary, and the texts we work from do not say whether a founder may sign through a proxy. Two things help. Suriname is a party to the Apostille Convention, so papers from other member states travel with an apostille, and a new company registers for tax online. We agree the signing route with the notary first.

How much does it cost?+

Registration starts from $2,900. Official notary and KKF fees and a legal address, if you need ours, are quoted separately. With an EMI or online bank account, from $4,800. Book 2 sets no minimum capital: each share is paid in at least at the nominal value you choose.

How long does registration take?+

There is no official processing time we can quote for any step. What is fixed is the order: the notary registers the NV with the KKF as soon as possible after the deed, and the Belastingdienst's checklist asks for a recent KKF extract before the FIN. The published text of the Trade Register Act makes the first registration due within one week of starting business. Our own preparation time is confirmed in your quote.

What taxes will the company pay?+

Corporate income tax is a flat 36%, and we found no minimum tax in the Income Tax Act. Dividend tax is 25%. BTW is 10% at the general rate and 0% on exports; the Belastingdienst also lists 5% and 25% rates. Registration for BTW starts once turnover passes SRD 1,000,000 in a calendar year. If you see 46% quoted somewhere, that is the solidarity levy, which the Act's own text says lapsed on 1 January 2022; we recheck the current position before filing. For interest, royalties or fees paid abroad, we work out the treatment case by case.

Is Suriname a low-tax option?+

No, and we would not sell it as one. At 36%, the corporate rate sits above Trinidad and Tobago's 30% and Colombia's 35%, though Guyana charges commercial companies 40%. In Suriname, dividends then carry 25% dividend tax on top. The case for a Surinamese NV is local: a contract, staff, customers or assets in the country. If your income comes from elsewhere, you will hear that from us at the consultation.

Can the company open a bank account?+

Pack 2, from $4,800, adds an account with an EMI or online bank, opened remotely, with the KYC file and compliance onboarding prepared by us. A local bank account is available on request and quoted separately. Plan for the currency as well. The SRD has floated since 7 June 2021, with the rate set by supply and demand, and supervised banks and exchange offices are the only authorised dealers for the public. Moving profits abroad is a question we answer for your specific case.

Why an NV and not a BV?+

Book 2 names five legal persons: the foundation, the association, the cooperative, the mutual insurance society and the NV. The BV is not among them. The NV is the company with share capital. Since it takes one founder and no minimum capital, it also fits a small project. The published adaptation law repealed the old Commercial Code titles that held the NV rules, so guides written before May 2025 may describe a different regime.

Do I need a local director or a Surinamese partner?+

We found no residence or nationality rule for directors in the Book 2 articles we have reviewed, and no foreign-ownership limit in the other official texts we read. The deed records the first directors and where they live. The Staatsblad text of the Trade Register Act adds that if no director is based in Suriname, the person running the business there day to day must also file with the KKF. We check your sector before filing.

Do I need an office in Suriname?+

The articles must name the place in Suriname where the company has its seat, and the Belastingdienst's checklist for an NV includes a copy of the lease. A legal address from us is quoted separately where you need one. We check that a given address arrangement meets the Belastingdienst's lease requirement before you rely on it.

What does the company file each year?+

Annual accounts and a board report within six months of the year-end, with records kept for ten years. A provisional income tax return is due by 15 April, the tax is paid in four instalments (15 April, 15 July, 15 October and 31 December), and the final return follows within six months of the year-end. BTW is filed monthly between the 1st and the 15th, wage tax by the seventh working day after month-end. The 2017 Annual Accounts Act allows Dutch or English. Large companies deposit their accounts with the trade register, and because the Act's size classes date from 2017, we look at where your company falls before the first accounts are due. The Trade Register Act also provides for an annual KKF fee, with the amount left to a state decree.
