Fiji put company registration online in June 2019. Name reservations and company applications go to the Registrar of Companies through its e-services, and the Certificate of Incorporation comes back in electronic form. A founder who is abroad can appoint an agent to lodge. One member is enough for a private company, whose name must end in Pte Limited or Pte Ltd, and the Registrar's forms are in English. Since September 2024 the government's businessNOW portal has bundled the follow-on filings, the tax number and the Reserve Bank letter for issuing shares among them, with a target of 14 days for each complete application. Corporate tax is 25%. The Investment Act 2021, in force since 1 August 2022, commits Fiji to treating foreign investors no less favourably than local ones in like circumstances.
A foreign investor, meaning any individual who is not a Fijian citizen or any legal person with its headquarters registered or incorporated outside Fiji, must bring at least FJD 300,000 into Fiji as paid-up capital within 3 months of incorporation, and send the Ministry an update report within the same 3 months. Restricted activities start higher. Retail, hotels, real estate and fishing are among them, at FJD 500,000 to FJD 2,000,000. The Registrar also wants a director who ordinarily lives in Fiji, which the Act defines as 6 of the previous 12 months. Money leaves under exchange control: banks can remit dividends to non-residents up to FJD 500,000 a year, and above that the Reserve Bank decides. The Registrar's company page still asks foreign shareholders for a certificate under the Foreign Investment Act 1999, repealed in 2022, so we confirm what it wants before lodging.
Registration has been online since June 2019 and the certificate is electronic; an agent can lodge for you. One member is enough and the forms are in English. businessNOW carries the TIN and the Reserve Bank share letter, with a 14-day target. Corporate tax 25%.
The conditions: foreign investors bring FJD 300,000 paid up within 3 months, more in restricted sectors (up to FJD 2,000,000 within 12 months), and one director must live in Fiji 6 months of 12. Dividends above FJD 500,000 a year need the Reserve Bank.

Talk to a specialist →Fiji company registration, answered honestly.
Can I register a Fijian company without travelling to Fiji?+
Yes. The Registrar takes name reservations and company applications online and issues the Certificate of Incorporation electronically, and Investment Fiji confirms that investors who are not in the country can have an agent lodge for them. The part you cannot cover from abroad is the resident director: the Registrar wants at least one director who ordinarily lives in Fiji, which means 6 of the previous 12 months there. If you want a local bank account, the bank may also ask for your investor permit.
How much does it cost?+
Registration starts from $2,900. Official Registrar of Companies fees and a legal address, if you need ours, are quoted separately. With an EMI or online bank account, from $4,800. The official fees themselves are small: FJD 50 for the name and FJD 45 for a private company. A foreign investor, though, also has to bring FJD 300,000 into Fiji within 3 months of incorporation.
Is the FJD 300,000 rule real?+
Yes, and it is the first thing we plan around. The Investment (Reserved and Restricted Activities) Regulations 2022 set a minimum of FJD 300,000 for foreign investors: any individual who is not a Fijian citizen, and any legal person with its headquarters registered or incorporated outside Fiji. Investment Fiji describes it as paid-up capital, and the money has to reach Fiji within 3 months of incorporation. Restricted activities need more, up to FJD 2,000,000 for hotels, resorts and real estate. The Minister may waive the threshold on an economic analysis or a skills assessment, though we would not build a plan around a waiver. Missing the deadline is an offence: an individual faces a fine of up to FJD 10,000, up to 5 years in prison, or both; a body corporate, a fine of up to FJD 50,000.
What taxes will the company pay?+
Corporate tax is 25%, charged on worldwide income for a resident company. VAT is 12.5% from 1 August 2025 and compulsory once turnover passes FJD 100,000. Payments to non-residents carry 10% withholding on interest and 15% on royalties and management or professional fees, before treaty relief. PwC's 2024 summary lists 0% on dividends to non-residents, which we reconfirm before you distribute. The tax return is due three months after the income year, and advance tax is paid in nine instalments.
How long does registration take?+
The Registrar publishes no incorporation timeline, so we will not quote one. businessNOW, the government's one-stop portal, targets 14 days for each complete application, which covers the Reserve Bank share letter and the TIN. The fixed date comes from the law: FJD 300,000 in Fiji and the update report filed within 3 months of incorporation. Our own preparation time is confirmed in your quote.
How does banking work for a Fijian company?+
Our second package opens an account with an EMI or online bank, remotely. A Fiji dollar account with a commercial bank comes later: Investment Fiji says it can be opened after approvals from the Registrar, FRCS and the Reserve Bank, and the bank may also want your investor permit from the Immigration Department. Exchange control applies to money going out. Banks can remit dividends to non-resident shareholders up to FJD 500,000 a year, with a tax clearance certificate for amounts above FJD 20,000, and anything larger needs the Reserve Bank.
Do I need a local partner or a local director?+
No partner. Investment Fiji answers that question with a straight no, and a single shareholder is enough. A director, yes: the Registrar requires at least one director ordinarily resident in Fiji for a private company. A public company needs three directors, two of them resident, plus a resident secretary. For a private company, no secretary is listed.
Which activities are restricted for foreign investors?+
The 2022 regulations give a complete list with higher thresholds. Retail business (FSIC 451-479), logging (with value adding) and nightclubs or liquor bars away from hotels or resorts need FJD 500,000; tobacco manufacturing and homestays or backpackers FJD 1,000,000; fishing FJD 1,500,000; hotels, resorts and real estate other than agency FJD 2,000,000. The first FJD 300,000 must arrive within 3 months and the rest within 12 months. The regulations list no activity reserved for domestic investors, but investment in critical infrastructure, such as energy, transport, communications or data storage, needs the Minister's approval.
What does the Registrar ask foreign shareholders for?+
Here the official sources disagree. The Registrar's company page, last updated in September 2025, still says registration for foreign shareholders is subject to Investment Fiji approval and asks for a Foreign Investment Registration Certificate under the Foreign Investment Act 1999. That Act was repealed when the Investment Act 2021 took effect on 1 August 2022, and Investment Fiji now says investors register directly with the Registrar. We confirm what the Registrar currently wants on your file before lodging. For each foreign director and member, its checklist asks for the passport bio-data page.
What has to be filed every year?+
The annual fee, within 28 days after each anniversary of registration. The corporate tax return, three months after the income year, with advance tax in nine instalments. VAT returns, monthly or quarterly, once you are registered. For reporting, the Act sorts companies by revenue, small up to FJD 5 million and large above FJD 20 million, and we confirm what your company must lodge. A foreign investor also files one update report with the Ministry within 3 months of incorporation.
