Slovakia licenses investment firms under zákon č. 566/2001 Z. z., the ZoCP, amended for MiFID II by zákon č. 237/2017 Z. z. and for the IFD by zákon č. 209/2021 Z. z. The § 54 permit makes the holder an obchodník s cennými papiermi: an akciová spoločnosť with its seat in Slovakia (§ 54 ods. 1), 'o.c.p.' in its name, licensed for the § 6 ods. 1 písm. a)-i) services from reception and transmission to OTF operation, with custody ancillary under § 6 ods. 2. Capital sits in § 54 ods. 11-14: 750 000 eur for own-account dealing or firm-commitment underwriting (písm. c) or f)), 150 000 eur for every other firm, 75 000 eur for a firm limited to písm. a), b), d), e) or g) and holding no client assets, 750 000 eur for an OTF operator dealing on own account. Fund managers are licensed separately as a správcovská spoločnosť under zákon č. 203/2011 Z. z.

Národná banka Slovenska is the single gate and decides within six months of a complete application (§ 55 ods. 6). Its fee schedule is printed. Opatrenie NBS č. 5/2021, as amended by opatrenie č. 8/2024 from 1 January 2025, charges €1,000, €1,700 or €3,400 for the investment-services permit by scope, €3,400 for a foreign firm's branch, €350 to add an investment service and €40 for prior consent to a board member; the annual contribution for 2026 is 0.1% of assets, at least €1,000. The Garančný fond investícií pays up to €50,000 per client - two and a half times the €20,000 the directive requires. Tax: 10% on taxable income up to €100,000, 21% up to €5 million, 24% above, and 7% on dividends to individuals. § 15 písm. b) of the income tax act as in force from 1 January 2025: 10% on taxable income up to €100,000, 21% up to €5,000,000, 24% above - the rate follows the size of the book.By size of income.

What is the samostatný finančný agent route?+

The light permit under § 18 of zákon č. 186/2009 Z. z. for a natural or legal person - reception and transmission and advice in transferable securities and fund units - at an NBS fee of €1,000 (company) or €350 (individual), with annual contributions from €1,000 or €500. Its insurance and client-money rules are confirmed for your case.

Who has to be in place?+

A predstavenstvo of at least two members under § 71 ods. 1, each with the NBS's prior consent, and a riadiaci orgán and vrcholový manažment that pass § 55 ods. 2 písm. d). The seat must be in Slovakia. The ZoCP prints no residency rule and no staff minimum - the NBS reads substance from the file.

How is a client protected if the firm fails?+

The Garančný fond investícií pays up to €50,000 per client for protected client assets under ZoCP §§ 80-98 - two and a half times the €20,000 minimum of Directive 97/9/EC. Every obchodník, foreign branch and správcovská spoločnosť contributes; the 2026 rate sits in the fund's own decision.

How are Slovak investment firms taxed?+
