Liechtenstein foundation: the Stiftung under PGR Art. 552.

A Liechtenstein foundation is a Stiftung under Art. 552 of the Persons and Companies Act (PGR), with at least CHF 30,000 of capital and a council of two or more, one FMA-licensed under the Treuhändergesetz (TrHG) or 180a-Gesetz. Family foundations need not register. They deposit a notice with the Office of Justice within 30 days. Heirs and creditors may challenge the endowment like a gift. We build it from Vaduz.

Liechtenstein in brief

Liechtenstein foundation: a civil-law legal person, deposited rather than registered.

A Liechtenstein foundation rests on Art. 552 §§ 1-41 of the Persons and Companies Act (Personen- und Gesellschaftsrecht, PGR) of 20 January 1926, LGBl. 1926 Nr. 4. The current foundation law, Art. 552 §§ 1-41, was enacted by LGBl. 2008 Nr. 220, and the official consolidated text is dated 1 September 2026. § 1(1) defines the Stiftung as a legally and economically independent special-purpose fund (Zweckvermögen), created as a legal person by the founder's unilateral declaration. The purpose may be private-benefit or common-benefit (§ 2(1)). A pure family foundation (reine Familienstiftung) serves only the education, endowment or support of members of one or more families, or similar family interests. The Office of Justice (Amt für Justiz) keeps the commercial register and takes the founding notices. Under § 29(2) it is also the supervisory authority, whose department now uses the acronym STIFTA (formerly STIFA). The trust-law reform of LGBl. 2026 Nr. 12 amended §§ 21 and 29, among other sections, from 1 July 2026.

The statutory fees are small. Depositing the founding notice costs CHF 300 and a commercial-register entry CHF 700 under the register fees ordinance (LGBl. 2003 Nr. 67), which sets no annual registry fee. The formation duty under the Tax Act (Steuergesetz, SteG) is 2 per mille of the capital, at least CHF 200 (Art. 66(3)). A passive foundation can apply for private asset structure (PVS) status and pay only the CHF 1,800 minimum income tax (Art. 64(8)). Deadlines are short. The notice is due within 30 days of establishment (§ 20(1)), every later change within 30 days (§ 20(3)), and the beneficial owners register (VwbP) receives its report within 30 days of the notice. Art. 552 has no firewall against forced heirship or foreign judgments; § 38(1) lets heirs and creditors challenge the endowment like a gift. A family that prefers a trustee has the Treuhänderschaft of PGR Art. 897-932, revised from 1 July 2026.

The Stiftung of PGR Art. 552: a legal person created by the founder's unilateral declaration, with CHF 30,000 of capital and a council of at least two, one of them FMA-licensed. The Office of Justice takes the notice; STIFTA supervises common-benefit or opted-in foundations.

A family foundation deposits its notice (CHF 300) within 30 days instead of a public entry. PVS status costs CHF 1,800 a year. The endowment stays open to challenge by heirs and creditors like a gift.

The two builds

Deposited with the Office of Justice, or registered.

Two questions shape the build: must the foundation register (§ 14), and does STIFTA supervise it (§ 29)? STIFTA's figures for 31 December 2025 show 7,145 non-registered foundations and 1,791 registered ones, 1,396 of them common-benefit.

A deposited family foundation, or a registered one; STIFTA supervises common-benefit foundations and those whose deed opts in.

Common-benefit or trading

Common-benefit foundations, and private-benefit ones running a trade a special law allows, must be entered in the commercial register and acquire legal personality by the entry (§ 14(4)). Common-benefit ones come under STIFTA, with a court-appointed auditor (§ 27(1)).

Why Liechtenstein

Six reasons families use the Stiftung.

✓
Deposited, not published

A family foundation's founding notice stays with the Office of Justice. Only the depositor and persons he authorises can request the documents; third parties get an Amtsbestätigung limited to items 1-7 and 10 of § 20(2), and domestic authorities retrieve the data online (Art. 955a-955b PGR).Notice stays with the Office of Justice.

✓
Capital in three currencies

The minimum capital is CHF 30,000, or EUR 30,000 or USD 30,000 when it is raised in euros or dollars (§ 13(1)). The deed must dedicate assets of at least that amount.CHF, EUR or USD 30,000.

✓
A licensed member on every council

Art. 180a PGR requires at least one council member with management and representation power to hold a licence from the Financial Market Authority (FMA), under the Treuhändergesetz or the 180a-Gesetz. Legal persons may sit on the council too (§ 24(2)).One FMA-licensed member, Art. 180a.

✓
Revocation the founder can keep

The deed may reserve the founder's right to revoke the foundation or to amend it. That right cannot be assigned or inherited, and a founder who is a legal person cannot reserve it at all (§ 30).Reserved, never assigned or inherited.

✓
No statutory end date

Art. 552 sets no maximum duration; the deed states one only if the foundation is limited in time (§ 16(1) item 6). Grounds for dissolution include insolvency, a court order and a valid council resolution (§ 39(1)).Duration only if the deed limits it.

✓
A passive foundation's tax line

With PVS status a foundation pays only the CHF 1,800 minimum income tax and is not assessed (SteG Art. 64(8)). Without it, the rate is 12.5% of taxable net income (Art. 61).PVS: CHF 1,800, not assessed.

How it compares

How Liechtenstein differs from other foundation jurisdictions.

Three of these four statutes set a minimum endowment and Jersey's sets none. Liechtenstein puts its floor at CHF 30,000 and takes a deposited notice, not a public entry, from a family foundation.

Taxation of Liechtenstein foundations.

The SteG of 23 September 2010 (LGBl. 2010 Nr. 340) taxes a foundation as a legal person. For a passive family foundation the deciding question is PVS status.

PVS status

A private asset structure pursues no economic activity: it only acquires, holds, manages and sells financial instruments, participations, cash and bank balances, controls no company it holds, solicits no investors and says so in its statutes (SteG Art. 64(1)-(2)).No activity, no control, no investors.

CHF 1,800, a year ahead

A PVS is not assessed and owes only the minimum income tax of CHF 1,800 (Art. 64(8)). Because it is not assessed, the tax is paid one year in advance (Art. 62(2)).Minimum tax paid a year ahead.

12.5% without the status

A foundation outside the PVS regime pays income tax of 12.5% on its taxable net income (Art. 61), with the CHF 1,800 minimum credited against it (Art. 62(1)).12.5% of net income otherwise.

Formation duty

The duty is 2 per mille of the capital, at least CHF 200 (Art. 66(3)). On the CHF 30,000 minimum, 2 per mille comes to CHF 60, so the CHF 200 floor applies.CHF 200 on the minimum capital.

Yearly PVS confirmation

The conditions are confirmed on application and again every year (Art. 64(4)). The Tax Administration decides and keeps checking; its decision can be appealed within 30 days (Art. 64(5)).Confirmed yearly; appeal within 30 days.

Register access is limited

The VwbP register is not public. Third parties reach it only with a legitimate interest tied to fighting money laundering or terrorist financing (VwbPG Art. 17(6)); not registering is fined up to CHF 200,000 (Art. 31).Open to authorities, not to the public.

FAQ

The Liechtenstein foundation: practical questions.

Does a Liechtenstein Stiftung have to be registered?+

Only when its purpose requires it. A common-benefit foundation must be entered, and so must a private-benefit one that runs a trade under a special law (§ 14(4)). Any other private-benefit foundation may register but has no duty to; it deposits a founding notice with the Office of Justice instead (§ 14(5)).

Who can see a deposited founding notice?+

The depositor and the persons he authorises. Third parties get only an official confirmation (Amtsbestätigung) of items 1-7 and 10 of § 20(2) (Art. 955a(1) PGR), while prosecutors, the FIU, the FMA and the Tax Administration retrieve the notified data online (Art. 955b(2)). Filings of registered foundations are public under Art. 953(1).

Who must sit on the foundation council?+

At least two members, and legal persons may serve (§ 24(2)). Under Art. 180a PGR one member with management and representation power is an EEA national, a treaty-equivalent person or a legal person and holds an FMA licence under the Treuhändergesetz or the 180a-Gesetz. The FMA grants the 180a licence to full-time employees of a domestic Treuhänder, for CHF 2,000.

How long does it take to set up a Liechtenstein foundation?+

Two statutory deadlines govern the set-up: the founding notice within 30 days of establishment (§ 20(1)) and the VwbP report within 30 days of the notice. The Office of Justice's processing time is confirmed when we file. In our planning the deed and the source-of-wealth file take longest.

What does a Liechtenstein foundation cost?+

Official fees are CHF 300 for the founding notice or CHF 700 for a register entry, a formation duty of at least CHF 200 and CHF 15 per Amtsbestätigung copy (§ 20(4)). The foundation needs CHF 30,000 of capital, and PVS status means CHF 1,800 a year in minimum tax. Our Vaduz fee comes in writing after a free assessment.

Can heirs or creditors challenge a Liechtenstein foundation?+

Yes. Under § 38(1) heirs and creditors may challenge the endowment like a gift; under § 38(2) the founder and his heirs may attack the foundation for defects of intention, also after registration. In a family foundation the founder may add a narrower rule: a beneficiary's creditors cannot take gratuitous entitlements through security, enforcement or insolvency proceedings (§ 36(1)).

What is PVS status for a private foundation in Liechtenstein?+

PVS (Privatvermögensstruktur) is the tax status of a passive legal person that pursues no economic activity, controls no company it holds and solicits no investors (SteG Art. 64(1)-(2)). A foundation holding it pays only the CHF 1,800 minimum income tax and is not assessed. The Tax Administration decides on application, and the foundation confirms the conditions every year.

How much control can the founder keep?+

As much as the deed reserves under § 30: the right to revoke the foundation or amend the deed, which the founder can neither assign nor bequeath and which a legal-person founder cannot hold. If he reserved revocation and is himself the final beneficiary, the beneficiaries lose their § 9 rights to inspect the deed and obtain information (§ 10(1)).

Liechtenstein or Jersey for a family foundation?+

Jersey asks for less money at the start: a Jersey foundation needs no initial endowment (Foundations (Jersey) Law 2009, Art. 7(1)), only a JFSC-registered trust company business may apply, and incorporation costs GBP 205 within 5 business days. Liechtenstein asks CHF 30,000, but its family foundation files a deposited notice instead of a register entry and can take PVS taxation.

Why Prifinance for a Liechtenstein foundation?+

We draft the deed and regulations under Art. 552, line up the council and its licensed member, and prepare the founding notice, the VwbP report and the PVS application as one file. The work runs through our Vaduz office.

Must it register?+

Only common-benefit or trading foundations.

Who sees the notice?+

The depositor and authorities; others a limited Amtsbestätigung.

Who sits on the council?+

Two or more, one FMA-licensed.

How long?+

Notice within 30 days of establishment.

What does it cost?+

CHF 300 notice, CHF 200 duty, CHF 30,000 capital.

Heirs and creditors?+

They may challenge the endowment like a gift.

What is PVS?+

Passive status: CHF 1,800 minimum tax.

Founder control?+

Revocation or amendment reserved, never inherited.

Or Jersey?+

Jersey needs no endowment; Liechtenstein CHF 30,000.
