DIFC foundation: the Foundations Law, DIFC Law No. 3 of 2018.
A DIFC foundation is a body corporate, separate from its founders, registered by the DIFC Registrar of Companies (RoC) under the Foundations Law, DIFC Law No. 3 of 2018. Registration is free; the licence costs US$350 a year plus AED 20. UAE Corporate Tax treats it as a taxable juridical person unless the Federal Tax Authority (FTA) approves Family Foundation status. We build it from our own Dubai office.

DIFC foundation: free to register, so the real choices are the office and the tax.
A DIFC foundation rests on the Foundations Law, DIFC Law No. 3 of 2018, read in its Consolidated Version No. 3 of March 2024. Art. 10(1) makes it 'a body corporate with a legal personality separate from that of its Founder(s) and any other person'. Its objects may benefit persons identified by name, category or class, be exclusively charitable, or be objects that are not exclusively charitable (Art. 12), and commercial activity is allowed only where it is necessary for, and ancillary or incidental to, those objects. The founders apply through the DIFC Portal (Art. 17(1)). The Registrar of Companies, an independent statutory office under the Operating Law, DIFC Law No. 7 of 2018, registers the foundation and issues a certificate stating its status, a registration number and a licence (Art. 17(5)-(6)). Its foundations register is open to inspection for a fee, except the nationality and address of any natural person (Art. 35(2)).
At the Registrar the money is small: registration is Nil and the operating licence costs US$350 a year plus the AED 20 knowledge and innovation fee (Table of Fees, Rev. 16). A DIFC foundation setup is one submission on the portal, and the Foundations Handbook (Rev. 03, approved 30 March 2026) expects the initial approval e-mail typically within 3 to 5 working days. Two choices carry the weight. The registered office comes from a Registered Agent licensed by the DIFC Authority (DIFCA) and registered with the Dubai Financial Services Authority (DFSA), your own DIFC lease or an affiliate's office. Tax is the other. For Corporate Tax the foundation is a juridical person taxed in its own right, at 0% up to AED 375,000 and 9% above, unless the FTA approves it as a Family Foundation under Art. 17 of Federal Decree-Law No. 47 of 2022. One of the conditions: its main purpose is not the avoidance of Corporate Tax.

Per the Foundations Law and the Foundations Handbook, Rev. 03, as of 2026. A foreign foundation can continue into the DIFC for US$500, or register as a Recognised Foundation with a Registered Agent (Art. 62(3)).
Six reasons founders choose the DIFC.
A DIFC foundation is a body corporate separate from its founders (Art. 10(1)), and a founder gains no interest in it merely by endowing it with the initial capital (Art. 27(4)).Separate from its founders.
The Law sets no minimum capital: the initial capital may comprise any property (Art. 27(1)-(2)). A portfolio, shares in a company or cash can each form the endowment.Any property as capital.
A disposition valid under DIFC law is not void or voidable because of foreign law or heirship claims (Art. 14(1)). A foreign judgment inconsistent with Arts. 13 to 15 is not recognised or enforced (Art. 16(1)).Foreign heirship claims filtered.
Powers a founder reserves must be set out in the Charter and last no longer than the founder's life, or 50 years from establishment where the founder is a legal person (Art. 26(2)(d)-(e)).Founder's life or 50 years.
Registration is Nil and the licence US$350 a year plus AED 20. A notice amending the charter or By-laws costs US$100, and so does a certificate of good standing (Table of Fees, Rev. 16).Nil to register, US$350 a year.
Art. 17 of the Corporate Tax Law lets a qualifying foundation apply to be treated as an Unincorporated Partnership, which is not a Taxable Person in its own right (Art. 16(1)).Art. 17 transparency on approval.

Taxation of DIFC foundations.
For a DIFC foundation, UAE Corporate Tax is a larger question than the Registrar's fees, so we settle the tax route while the charter is drafted.
The FTA's guide CTGFF1 (June 2026) treats a foundation with separate legal personality as a juridical person, subject to Corporate Tax in its own right in the first instance.Juridical person first.
Cabinet Decision No. 116 of 2022 sets 0% on taxable income up to AED 375,000 and 9% above it. A juridical person established in the UAE is a Resident Person (Art. 11(3)(a)).0% to AED 375,000, then 9%.
Under Art. 17 the foundation must serve identified or identifiable natural persons or a public benefit entity, mainly hold and invest assets, and do nothing that would be a Business if its founder or beneficiaries did it directly. Avoiding Corporate Tax cannot be its main purpose.Natural persons; no business done through it.
Corporate Tax registration comes first. The application goes in before the end of the Tax Period, takes effect from that period's start, and needs a confirmation within 9 months of each period's end.Apply within the Tax Period.
The FTA says they pay no Corporate Tax on their distributive share of a Family Foundation's income, and need not register unless they run a separate UAE business above AED 1 million a year.No Corporate Tax on their share.
The foundation becomes a Taxable Person again from the start of the Tax Period in which the failure occurred. The DIFC Handbook calls VAT a 5% indirect tax; we confirm the VAT position per structure.Taxable again from that period.
*As of 2026 per Federal Decree-Law No. 47 of 2022 as amended, Cabinet Decision No. 116 of 2022 and the FTA guide CTGFF1 (June 2026). Beneficiaries' home-country tax is modelled per structure.

The DIFC foundation and the Registrar: founders' questions.
What is a DIFC foundation?+
A DIFC foundation is a body corporate under the Foundations Law, DIFC Law No. 3 of 2018, with a legal personality separate from its founders (Art. 10(1)). It holds property for named persons or a class, for charity or for other objects, and endowing it gives the founder no interest in it (Art. 27(4)).
Does a DIFC foundation need a Registered Agent?+
No: Art. 24(1) says a foundation may, but need not, have one, and Art. 24(5) allows only one at a time. Without an agent, the registered office is your own DIFC lease or an affiliate's office and the By-laws are filed with the application. A Recognised Foreign Foundation must appoint one (Art. 62(3)).
Who sits on the council, and when is a guardian needed?+
The council needs at least two members, individuals aged 18 or over or bodies corporate (Art. 22(2)). A guardian is required only for a charitable or specified non-charitable object (Art. 23(1)), and the guardian may not act as a council member.
How long does it take to set up a DIFC foundation?+
The Foundations Handbook gives 3 to 5 working days, typically, for the initial approval e-mail after the single portal submission. Address, DocuSign signatures and fee payment come next, and their pace depends on the documents, so we assemble the KYC pack and the registered office first.
What does a DIFC foundation cost?+
At the Registrar, registration is Nil and the licence US$350 a year plus AED 20; data protection registration, where personal data is processed, adds US$750, then US$250 a year, and an establishment card, where needed, US$618. A Registered Agent and the accounts are budgeted per build. Our fee for the DIFC file is confirmed in writing after a free assessment.
Is a DIFC foundation taxed in the UAE?+
Yes, in the first instance. The FTA treats a foundation with separate legal personality as a juridical person subject to Corporate Tax: 0% on taxable income up to AED 375,000 and 9% above (Cabinet Decision No. 116 of 2022). Approved Family Foundation status under Art. 17 changes that.
What is a Family Foundation for Corporate Tax?+
A foundation the FTA approves under Art. 17 of Federal Decree-Law No. 47 of 2022 to be treated as an Unincorporated Partnership, which is not a Taxable Person in its own right. It must serve identified or identifiable natural persons or a public benefit entity, do nothing that would be a Business if done by its founder or beneficiaries, and not exist mainly to avoid Corporate Tax.
Can a creditor or an heir challenge a DIFC foundation?+
Yes, within limits. If a transfer was meant to defraud a creditor and left the founder insolvent, the foundation meets the claim from that property (Art. 14(3)-(4)); set-aside actions have three years (Art. 53A(1)). A founder's later bankruptcy alone does not undo a transfer (Art. 14(2)), and foreign heirship rights over a living person's movables or DIFC land are not recognised (Art. 15).
ADGM foundation or DIFC foundation?+
ADGM's registry fees are lower: US$200 to incorporate (US$500 with data protection) and US$200 a year, against the DIFC's Nil and US$350 plus AED 20. ADGM requires a registered company service provider for non-exempt foundations and a council of at least two, and leaves the guardian optional during the founder's lifetime; in the DIFC the Registered Agent is optional.
Why Prifinance for a DIFC foundation?+
