The gateway economy of a continent.
South Africa is the most industrialised economy in Africa: the JSE is the continent's largest stock exchange, the banking system is genuinely first-world, and the CIPC registry incorporates a Pty Ltd in days with one director and no minimum capital. English-law commercial tradition, a huge treaty network and world-class professional services make it the natural base for doing business across sub-Saharan Africa.
And to position it exactly: South Africa is not a tax play. Companies pay 27% on worldwide income, dividends carry a 20% withholding, VAT runs at 15%, and SARB exchange control still wraps the rand. What you buy is market access - local clients and marketplaces, government tenders, FSCA financial licences and the headquarter-company regime for holding African subsidiaries. If your goal is low tax rather than African presence, we will say so on the first call and point you to a different flag.

Can I open a South African company without visiting?+
Yes. CIPC incorporation, SARS registration and even bank onboarding with most institutions run remotely - you sign electronically and we handle the filings. Some banks may ask for a video call or a local visit for full-service accounts; EMIs do not.
How much does it cost?+
Turnkey registration starts from $2,400 including CIPC fees, the memorandum, SARS registration and the first year of the registered address. With a bank or EMI account arranged, packages start from $4,200. Annual returns and renewals run from $1,200.
Is South Africa an offshore jurisdiction?+
No - and we say it up front. Corporate tax is 27% on worldwide income, dividends carry 20% withholding and the rand is exchange-controlled. You register here for the market, banking and FSCA licences, not for tax. If low tax is the goal, we will point you to Mauritius, the UAE or a classic offshore instead.
What tax will the company actually pay?+
27% on profits, wherever earned. Genuine small businesses can qualify for the small-business-corporation ladder that starts at 0%. VAT at 15% applies above R1m turnover, dividends leave at 20% minus treaty relief, and capital gains are taxed at an effective 21.6%. We model your numbers before you commit.
Do I need a local director or shareholder?+
No. One director and one shareholder of any nationality are enough, and 100% foreign ownership is standard. You do need a South African registered address and a public officer for SARS - both are part of our package.
How is banking?+
The best on the continent - Standard Bank, FNB, Absa and Nedbank offer real corporate banking with ZAR and multi-currency accounts. Onboarding for foreign-owned companies means thorough KYC; we prepare the file and introduce you to the institutions that fit your profile.
What is exchange control in practice?+
SARB rules govern moving money out of the rand zone: dividends, royalties and loan repayments follow set procedures through your bank. It is paperwork, not a wall - but it must be structured from day one, and we do exactly that.
What licences does the FSCA offer?+
Financial-services-provider (FSP) licences for advice, brokerage and asset management, insurance licences - and since 2023 crypto-asset-service-provider (CASP) authorisation. An FSCA licence is the most respected financial credential in Africa; we scope and file the application.
What is the HQ-company regime?+
A statutory regime for using South Africa as the holding platform for African subsidiaries: relief from CFC rules, no dividends withholding on qualifying distributions and easier treaty access. For groups building across the continent it is the serious alternative to Mauritius.
How long does it take?+
Name reservation and incorporation take about a week; SARS registration adds a few days. Plan on two weeks to a trading-ready company and one to three more for a working bank account.
