Registration is the quick part.
Chad is landlocked and exports oil. It belongs to CEMAC and OHADA, so a company formed in N'Djamena runs under OHADA's Uniform Act on commercial companies and trades in the CFA franc, issued by the BEAC and fixed at XAF 655.957 to the euro. ANIE, the public investment and export agency, runs a one-stop shop (Guichet Unique) where the RCCM entry, statutes, publication and tax number all go through one office, with a 72-hour target. Foreign capital can hold the whole company. The 2008 Investment Charter gives foreign companies the same protection as Chadian ones and guarantees the transfer of booked profits. New companies in agriculture, farming, renewable energy and ICT are taxed on half their corporate tax base for their first five years.
The conditions are stricter than the 72 hours suggest. Corporate tax is 35%, and the 1.5% minimum tax on turnover is due even in a year that ends in a loss. ANIE's file needs a bank certificate of capital deposit and statutes already signed and registered at the tax office, which charges a registration duty; PwC lists 0.25% to 15% depending on the deed and gives no specific rate for formation. A non-resident stake of 10% or more is declared to the BEAC and the ministry in charge of money and credit at least 30 days before the investment is made. Once registered, the company is resident under CEMAC exchange rules and needs BEAC authorisation for a foreign-currency account outside CEMAC. Chad is not party to the Apostille Convention, so foreign documents go through legalisation. Online filing is not live yet. We plan travel and logistics around current official travel advice.
Landlocked and oil-exporting, in CEMAC and OHADA. ANIE's one-stop shop takes the RCCM entry, statutes, publication and tax number through one office, target 72 hours. Foreign capital can own 100%, and the XAF is fixed at 655.957 to the euro.
The plain part: 35% corporate tax and a 1.5% turnover minimum, even in loss years. The capital goes into a bank before filing, and a non-resident stake of 10% or more is declared to the BEAC and the ministry at least 30 days before the investment.

What Chadian law actually demands.
Six steps, and the order matters.
ANIE takes a complete file, bank certificate and registered statutes included, so most of the calendar runs before the 72 hours start.BEAC declaration at least 30 days ahead, then the bank deposit and registered statutes, then ANIE's 72-hour one-stop shop. EMI account in 2-3 weeks.
Your activity, the capital figure, the office and the account route under CEMAC rules, checked before you spend anything.
IDs of managers and partners, and a criminal record or sworn statement for each manager. Chad is outside the Apostille Convention, so we confirm the legalisation route for your country.
A non-resident stake of 10% or more is declared to the BEAC and the ministry at least 30 days before the investment is made.
Capital goes into a bank, which issues the deposit certificate. The tax office registers the signed statutes and charges the registration duty.
Online filing is not live yet, so the file goes in at ANIE's physical one-stop shop. RCCM entry, publication and NIF come out together.
Our team runs the EMI application remotely once the BEAC route is clear; a local bank account is the alternative.
The declaration goes to two places, the BEAC and the ministry in charge of money and credit, and the rule has no minimum amount, so even a small SARL with a non-resident owning 10% or more is covered. We put its 30 days at the start of the plan, before any capital moves.

Can I register a Chadian company without travelling?+
Our team can file for you at ANIE's physical one-stop shop (remote filing, $500); the online platform is not live yet. ANIE's published document list says nothing about filing through a representative, so we confirm the power of attorney with the one-stop shop before you sign it. Chad is not party to the Apostille Convention, so an apostille does not cover papers used there; we check the legalisation route for the country they come from.
How much does it cost?+
Registration starts from $2,500. The legal address (from $600 a year) and remote filing (from $500) are billed separately, and the duty for registering the statutes is paid to the tax office on top. With an EMI or online bank account, from $4,400. A Chadian company needs BEAC authorisation for a foreign-currency account outside CEMAC, so we check that route with you before opening; a local bank account is the alternative, from $3,900.
Is there a minimum capital?+
ANIE says the SARL has no minimum capital. The OHADA Uniform Act sets XAF 1,000,000 unless national law says otherwise, and we have not found a Chadian text that changes it. We confirm the figure the registry applies before you deposit anything. Whatever the amount, it goes into a bank first, because ANIE's file includes the bank's deposit certificate.
What taxes does a Chadian company pay?+
Profit is taxed at 35%, and a minimum tax of 1.5% of turnover applies even in a loss year. VAT runs at 18% (9% on listed local products, 0% on exports). For dividends the withholding is 20%; for payments to providers outside CEMAC, 25%. Salaries are taxed at up to 30%, and the employer adds 16.5% social security on each salary up to XAF 500,000 a month (at most XAF 82,500 per employee). Corporate returns are due by 30 April. All of these are PwC's figures, last reviewed in August 2024, and we recheck them against the current finance law before filing.
How long does it take?+
ANIE's target is 72 hours for a complete file. Completing the file takes longer: legalised documents, the BEAC declaration at least 30 days before a foreign investment is made, the bank deposit certificate and the registered statutes. After registration, the EMI account takes 2-3 weeks. Once we know which country your documents come from, we give you a dated plan.
How does banking work for a Chadian company?+
Under CEMAC exchange rules (Regulation 02/18), a Chadian company is a resident. It may not open a foreign-currency account outside CEMAC unless the BEAC authorises it, and a foreign-currency account inside CEMAC needs BEAC authorisation too. We check the EMI route with you before opening anything; a local bank account (from $3,900) is the alternative. Day to day, current payments abroad are free once the origin of the funds is shown, and imports of XAF 5 million or more are domiciled with a bank.
Does my investment have to be declared to the central bank?+
If a non-resident takes 10% or more of the company, yes. Article 118 of CEMAC Regulation 02/18 says foreign direct investments are declared to the BEAC and to the ministry in charge of money and credit at least 30 days before they are made. The rule sets no minimum amount. In our plans the declaration comes first, at least 30 days before the capital goes in.
Do I need an office in Chad?+
Yes. ANIE's file needs proof of the registered office - a lease or title deed - and a location plan of the premises. Our legal address is from $600 a year, billed separately, and before you take it we confirm it comes with the lease ANIE expects.
What does the company file after registration?+
Tax returns go in online: monthly returns, including the minimum tax under the normal and simplified regimes, then the annual corporate return by 30 April (an exceptional extension to 15 May can be requested). Late returns cost 5% a month on each tax. Accounts follow SYSCOHADA, and only a CEMAC chartered accountant may validate them. Business licence tax, 0.35% of turnover from two years earlier, is due by 31 December; companies under the real regime are exempt in their first year.
Is Chad a good base for an international holding or trading company?+
No, and we say so in the first call. Corporate tax is 35% with a turnover minimum, and Chad's only tax treaty is the CEMAC treaty. A Chadian SARL is worth its cost when the contracts or the customers are in Chad. For a regional structure, look at the comparison above first.
