Register a company in Botswana, the governance benchmark.

Set up a Botswana (Pty) Ltd - Africa's strongest credit, no exchange controls since 1999, a 22% rate that falls to 5% in the special economic zones, and courts that enforce contracts without drama. We are equally plain: the home market is 2.6 million people, the economy still breathes with diamonds while lab-grown stones squeeze them, and everything ships through South African ports.

Botswana in brief

The country that managed its luck - and now must outlive it.

Botswana is the governance story Africa's sceptics cannot explain away: six decades of unbroken constitutional rule, the continent's strongest sovereign credit, corruption rankings alongside European states, and a diamond partnership with De Beers managed so shrewdly it financed roads, schools and reserves instead of palaces. For business the practical consequences are rare on the continent: exchange controls were abolished in 1999 - capital, dividends and fees move freely - courts enforce contracts under a respected Roman-Dutch/common-law blend, and the pula is a managed, credible currency. Corporate tax is 22%, approved manufacturers and IFSC financial-services companies pay 15%, and the special economic zones cut qualifying projects to 5% for their first decade, 10% after.

The honest terms: the home market is 2.6 million people - Botswana is a base and a platform, with the real market next door through SACU's customs union (South Africa duty-free among it); everything physical routes through South African ports, so logistics inherit that dependency; and the diamond engine that built the miracle is under structural pressure from lab-grown stones - a challenge Gaborone discusses openly and answers with diversification: copper mining's new wave, beef's EU quota, Okavango's premium tourism, and the SEZ-and-IFSC push this page describes. Skills are thin in spots, work permits deliberate, and utilities occasionally tested. Botswana rewards the patient and the properly documented - which is precisely the client we build for.

FAQ

Botswana company registration, answered.

Can I open a Botswana company without visiting?+

Yes - OBRS incorporation, tax registrations and much of the bank preparation run by power of attorney. Banks prefer meeting a director once, and licence tracks (mining, tourism, finance) reward presence. We sequence one Gaborone trip where it earns most.

How much does it cost?+

Turnkey registration starts from $2,900; with banking from $4,900. SEZ and IFSC applications are scoped per project. Renewals with accounting run from $1,800 a year.

What makes Botswana different from its neighbours?+

Institutions, measurably: Africa's strongest sovereign credit, corruption rankings alongside European states, six decades of constitutional continuity, and - uniquely practical - no exchange controls since 1999. Money enters, works and leaves on ordinary banking rails. The neighbours offer bigger markets; Botswana offers the confidence that what you build remains yours.

What taxes will the company pay?+

24.5% standard; 15% for approved manufacturers and IFSC-accredited financial companies; 5% for the first decade in a special economic zone, then 10%. VAT is 14%, dividends out carry 10% before treaties. The regime election is the planning - and unlike most of the continent, the after-tax number transfers without ceremony.

How do the SEZ incentives work?+

SEZA-approved projects in the designated zones receive 5% corporate tax for ten years, 10% thereafter, plus customs and operational facilitation. Applications are substantive - investment, jobs, export orientation - and the zones target manufacturing and logistics aimed at SACU and SADC markets. For production plays, it is among Africa's best written offers, and we build files that pass.

What is the IFSC?+

Botswana's International Financial Services Centre accreditation: qualifying financial-services companies - regional treasury, funds, fintech, insurance - pay 15% with exemptions from withholding taxes on cross-border flows. Combined with no exchange controls and the sovereign's credit, it makes Gaborone a quiet, credible base for African financial operations. Accreditation is substantive; we run it as its own track.

How exposed is Botswana to diamonds, honestly?+

Materially: diamonds still dominate exports and revenues, and the lab-grown squeeze on natural stones is a structural challenge Gaborone discusses with unusual candour. The state's answer - copper's new mines, beef, tourism, the SEZ/IFSC push - is real but young. For investors this cuts both ways: macro cycles will wobble with the stones, while the diversification itself is the opportunity set.

What about logistics for physical goods?+

Landlocked reality: imports and exports route mainly through South African ports and roads, inheriting Transnet's queues and costs; the Kazungula bridge north and Walvis Bay's corridor west are improving alternatives. We price the logistics honestly in any goods model - Botswana's paperwork will not delay you, but the ports next door might.

How is banking?+

Solid and conservative: FNB, Stanbic and Absa run mature operations, accounts open in one to three weeks on complete files, and multi-currency balances are routine. KYC is thorough in the Southern African way. The absence of exchange controls means the account actually does what accounts elsewhere only promise.

How long does it take?+

The company: one to three weeks through CIPA and BURS. Banking: one to three more. Work permits: deliberate - four to ten weeks with a proper file. SEZ or IFSC tracks: three to ten weeks of substantive review. A working, banked Botswana platform inside six weeks is the honest default.
