ООО — SARL (Société à ResponsabilitéLimitée). It takes about a month to open a firm and has eight stages. The official language of the country is French and all the documents must be filled using this language or you need to translate it. All the procedures for citizens or non-residents are similar to each other. People who are not citizens of this country just need to inform the government about the intention to set up the company.

If you plan to register a company in Mali you should remember that:

  • the procedure of preparation the documents, as governmental decree says, cannot go on more than three days;
  • to open foreign currency account you need to get special permission of Ministry of Finance and National bank of West Africa and then prolong it every year (according to ECOWAS);
  • before establishment of a firm you need to pay 100% of registered capital (1 million franks of KFA is minimum). You can pay through bank directly or through the notary.

How to set up a company

Registration of a company in Mali can be done through the unified service desk. Before submitting the documents need to be notarized in the local company. Local notary will make a statute, register all the papers, take the Stamp Duty and help in the court process. Also fixed payment (for minimum capital it will be 25 000 franks KFA) includes a payment for the work of notary, advertising about new firm in the official newspapers and payment of charges of the unified service desk.

The founders of the business can sigh written deposition (affidavit) that C-suite don’t have criminal history. If the capital is bigger than minimum there will be an extra payment 3%.

Then you will need

  • furnish two certificates that confirm no record of convictions of the director. You can receive it in court (even after registration). All you need is to show the copies of identity cards of each founder;
  • to pay stamp duty through the notary or representative of tax bureau;
  • register to pay taxes;
  • get a license and permission for doing business.

Then you need to send all the documents to the unified service desk and if all the documents were filled correctly the company will be registered in Commercial Registry. After this all the founders get identification number NINA and register in pension and social department.
