Serbia is an industrially developed country, which is geographically and culturally close to Russia. Here everything necessary is provided for successful commercial activities. With the help of the existing companies in Serbia it is possible to establish effective business processes. Moreover, setting up a company here is one of the easiest and facilitated ways to get a residence permit (boravak).
It is possible to conduct individual enterprise in Serbia, but in this case it will be necessary to be absolutely liable.
The company's opening in Serbia is possible in several forms:
DOO is the most advantageous form of business, because its registration does not take up much time, liability is limited by deposit. At the opening there is need to deposit a half of a capital and the rest part - within two years after setting up a company. It is possible for non-residents as well as for a legal entity to start a business. Along with this it is allowed to act under the power of attorney. It is not as if Serbia is an offshore, but it provides opportunities for effective and profitable business.
In Serbia there is a special Agency that deals with registration of businesses. It puts a company into the Corporate Registry. Company’s founders need to submit copies of passports (in case of a private individual) or registration certificate in case of setting up a company on behalf of a legal entity. Also, it is necessary to complete a power of attorney for an individual, whom will be given a right to sign documents and implement registration procedures. All presented into the Agency documents should be translated into Serbian (for that an authorized judicial officer or assurance agency will be needed), notarized and apostilled, if the main jurisdiction of applicants does not belong to the Hague Convention countries.
In order to register a company in Serbia it is necessary to:
An application should be completed in two copies. It is essential to put a business address, legal form and a full name of an organization on the form (in case of an individual enterprise – a name of an applicant). If association is liable (in Serbia it is possible to set up the same companies as, for example, in Russia), it is needed to write every owner’s contribution. All documents should be submitted to a tax authority, which is obliged to send a notification to an applicant after the ending of registration.
A national court certifies all documents. After getting a certificate founders can order a company seal and set up a real account in a local bank. Companies are obliged to maintain records and file regular reports. For this reason it is worth concerning about bookkeeping. Non-residents who gain income in Serbia pay taxes into the public treasury of the country.
