Participation in ALADI and MERCOSUR trade agreements contributes to the active development of trade with other countries in the region. Therefore, despite the country&#8217;s small size, opening a business in Uruguay is profitable and promising.<\/p>\n<h2>Advantages of registering a company<\/h2>\n<ul>\n<li>political and economic stability;<\/li>\n<li>convenient geographical location;<\/li>\n<li>tax preferences;<\/li>\n<li>developed infrastructure.<\/li>\n<\/ul>\n<\/div>\n<div class=\"info-block\">\n<h2>Main forms of legal presence and doing business<\/h2>\n<ul>\n<li><em><strong>a public company with limited liability (Sociedad An\u00f3nima &#8211; SA);<\/strong><\/em><\/li>\n<li><em><strong>Limited Liability Company (Sociedad de Responsabilidad Limitada &#8211; SRL);<\/strong><\/em><\/li>\n<li><em><strong>General Partnership (Sociedad Colectiva &#8211; SC);<\/strong><\/em><\/li>\n<li><em><strong>Limited Partnership (Sociedad en Commandita Simple &#8211; SCS);<\/strong><\/em><\/li>\n<li><em><strong>Individual Entrepreneurship (Empresa Unipersonal).<\/strong><\/em><\/li>\n<\/ul>\n<p>To register a company in Uruguay, entrepreneurs often choose SRL. To create a company, at least two shareholders are required. The minimum size of the share capital is 20,531 Uruguayan pesos (about 520 US dollars).<\/p>\n<\/div>\n<div class=\"info-block\">\n<h2>Registration procedure<\/h2>\n<ul>\n<li>select and reserve a unique company name;<\/li>\n<li>submit the articles of association and the memorandum of incorporation to the National Audit Office (AIN) for approval;<\/li>\n<li>register the company in Uruguay in the National Commercial Registry (RNC);<\/li>\n<li>publish an extract of the articles of incorporation in the official gazette;<\/li>\n<li>obtain a tax identification number (RUT);<\/li>\n<li>register the company with the State Insurance Bank (BPS);<\/li>\n<li>open a bank account;<\/li>\n<li>obtain additional licenses and permits (if necessary).<\/li>\n<\/ul>\n<\/div>\n<div class=\"info-block\">\n<h2>Legislation and regulatory environment<\/h2>\n<p>The current system of promoting investments is outlined in Law No. 16.906. According to the legislation, companies receive tax preferences when certain conditions are met (creation of jobs, increase of exports, conducting research and development, implementing environmentally friendly technologies, etc.).<\/p>\n<\/div>\n<div class=\"info-block\">\n<h2>Tax system<\/h2>\n<ul>\n<li><em>corporate tax &#8211; 25%;<\/em><\/li>\n<li><em>PIT &#8211; 12% (for non-residents), 10% to 36% (for residents);<\/em><\/li>\n<li><em>VAT &#8211; 22% (10% applies to certain goods and services);<\/em><\/li>\n<li><em>tax on dividends &#8211; from 0 to 12% (for individuals), 25% (for resident legal entities);<\/em><\/li>\n<li><em>no capital gains tax.<\/em><\/li>\n<\/ul>\n<p>In Uruguay, there are special economic zones (SEZ) where registered companies are exempt from paying taxes for 5 to 15 years. To obtain the status of a free trade zone user, a company must be registered with the Direcci\u00f3n de Zonas Francas. Companies created here cannot engage in industrial, commercial, or service activities on the country&#8217;s territory outside the SEZ but can engage in international services and trade.
